ONEOK and ONEOK Partners Announce Reorganization December 20, 2012 BIOGRAPHICAL INFORMATION: Pierce Norton Pierce Norton is executive vice president, commercial, ONEOK and ONEOK Partners. Previously, he was executive vice president and chief operating officer of ONEOK and ONEOK Partners. In 2011, Norton served as chief operating officer of ONEOK, responsible for the company s natural gas distribution and energy services business segments, as well as the environment, safety and health, and technical services organizations. Previously, he was president of ONEOK Distribution Companies Oklahoma Natural Gas, Kansas Gas Service and Texas Gas Service and was executive vice president of natural gas, with responsibility for all natural gas pipelines and the natural gas gathering and processing businesses within ONEOK Partners. He began his natural gas industry career in 1982 at Delhi Gas Pipeline, a subsidiary of Texas Oil and Gas Corporation. He later worked for American Oil and Gas with operational responsibilities for natural gas gathering and processing, and intrastate and interstate pipelines. He then worked for KN Energy as vice president and general manager of the Heartland Region, before moving to Bear Paw Energy as vice president of business development. In 2002, he was named president of Bear Paw Energy, now ONEOK Rockies Midstream, a subsidiary of ONEOK Partners. Norton earned a Bachelor of Science degree in mechanical engineering in 1982 from the University of Alabama in Tuscaloosa. He also is a graduate of the Harvard Business School s Advanced Management Program. Rob Martinovich Rob Martinovich is executive vice president, operations, ONEOK and ONEOK Partners. From March 2011 to December 2012, he was executive vice president, chief financial officer and treasurer, ONEOK and ONEOK Partners, and a member of the ONEOK Partners board of directors. Prior to holding that position, Martinovich was ONEOK s chief operating officer, responsible for ONEOK s natural gas distribution and energy services operating segments, as well as the company s environment, safety and health, and technical services organizations. He also served as president of ONEOK Partners natural gas gathering and processing business. Prior to joining ONEOK in 2007, he was group vice president of environment, health and safety, operations and technical services of DCP Midstream, LLC. Martinovich joined DCP Midstream in 2000 as senior vice president, responsible for the Permian Basin assets and in 2002 was named senior vice president, responsible for the Mid-Continent and Rocky Mountain assets. 1
Before joining DCP Midstream, he was senior vice president of GPM Gas Corp., the natural gas gathering, processing and marketing subsidiary of Phillips Petroleum Company. Martinovich joined Phillips in 1980 as a resin development engineer and held various engineering and sales and marketing positions in the research and development and the plastics divisions of Phillips, and served on the company s corporate planning and development staff. Martinovich earned a Bachelor of Science degree in chemical engineering in 1980 from the University of Notre Dame in South Bend, Ind. He is a graduate of the Harvard Business School s Advanced Management Program. Derek Reiners Derek Reiners is senior vice president, chief financial officer and treasurer, ONEOK and ONEOK Partners, after serving as senior vice president and chief accounting officer, ONEOK and ONEOK Partners, since joining the company in 2009. Previously, he worked for Grant Thornton LLP in Tulsa and Dallas, Texas, where he was a partner and served as the north Texas energy industry practice leader. He also worked for Arthur Andersen LLP in various roles with increasing levels of responsibility. A certified public accountant and a member of the American Institute of Certified Public Accountants, Reiners earned a Bachelor of Science degree in business administration in 1993 from Oklahoma State University in Stillwater with majors in finance and economics. He earned a master s degree in accounting in 1999 from Oklahoma State University. Mike Miers Mike Miers is vice president and chief accounting officer, ONEOK and ONEOK Partners. From 2009 to 2012, he was vice president - controller of ONEOK Partners. Previously, he was vice president of audit, business process improvement and business development of ONEOK. He joined ONEOK as a senior analyst in 1998 and has since held positions of increasing responsibility, including senior manager finance; director of accounting - energy services; and senior manager - business development. Prior to joining the company, he worked at Mobil Corp.and Ernst & Young LLP. A certified public accountant and a member of the American Institute of Certified Public Accountants and the Oklahoma and North Carolina Societies of Public Accountants, Miers earned a Bachelor of Science degree in business administration and a Master of Accounting degree in 1992 from the Kenan-Flagler School of Business at the University of North Carolina at Chapel Hill and a Master of Business Administration degree in 1998 from the Cox School of Business at Southern Methodist University in Dallas. 2
Caron Lawhorn Caron Lawhorn is senior vice president, commercial, natural gas distribution. From March 2011 to December 2012, she was president of ONEOK Distribution Companies, responsible for the company s three natural gas utilities Oklahoma Natural Gas, Kansas Gas Service and Texas Gas Service. In 2009, she was named senior vice president, corporate planning and development of ONEOK and ONEOK Partners, responsible for business development, strategic and long-range planning and capital investment. She was named senior vice president and chief accounting officer of ONEOK in 2007, adding responsibility for ONEOK Partners in 2008. Prior to that, she was senior vice president of financial services and treasurer of ONEOK. She joined the company in 1998 as manager of auditing, after serving as a senior manager at KPMG and chief financial officer of Emergency Medical Services Authority in Tulsa. A certified public accountant, Lawhorn earned her Bachelor of Science degree in business administration from the University of Tulsa, where she was named an Outstanding Alumna in the College of Business. She also is a graduate of the Harvard Business School s Advanced Management Program. Greg Phillips Greg Phillips is senior vice president, operations, natural gas distribution. From March 2011 to December 2012, he was president of Oklahoma Natural Gas Company. Phillips joined Oklahoma Natural Gas in 1986 as an engineer trainee. He has held several roles, including manager of operations of ONEOK Natural Gas Transportation and ONEOK WesTex Transmission; vice president of natural gas supply of ONEOK Field Services; and regional vice president of Texas Gas Service in Austin. He was president of Texas Gas Service from July 2008 until March 2011. Phillips earned a Bachelor of Science degree in petroleum engineering in 1985 from the University of Tulsa. Rick Grundman Rick Grundman is vice president of rates and regulatory affairs, natural gas distribution. Since July 2010, he was vice president, administration, Oklahoma Natural Gas, in Oklahoma City. Previously, he served as vice president of administration of Texas Gas Service in Austin. Grundman began his industry career with Southern Union Gas in 1995 in community and government relations. He held positions of increasing responsibility within the company and upon ONEOK s acquisition in 2003 of Texas Gas Service from Southern Union, he was named manager, government relations. 3
Grundman earned a Bachelor of Liberal Studies degree in 1994 from St. Edward s University in Austin. Krystal Parker Krystal Parker is vice president, customer service, natural gas distribution. From 2009 to 2012, she was vice president of Texas Gas Service s western region in El Paso. Parker began her natural gas industry career in 1998 with KN Field Services, which was acquired by ONEOK Field Services in 2001. She has held several management positions, including director,customer service, Kansas Gas Service. Parker received her Bachelor of General Studies degree with a concentration in psychology in 2002 from the University of Kansas in Lawrence. Ron Bridgewater Ron Bridgewater is vice president, asset management and engineering, natural gas distribution. From 2007 to 2012, he was vice president of Kansas Gas Service s eastern region in Overland Park. He began his career in the natural gas industry in 1988 as a natural gas distribution engineer. He joined Kansas Gas Service in 1994 and has held positions of increasing responsibility. Bridgewater earned a Bachelor of Science degree in mechanical engineering in 1988 from the University of Missouri in Columbia. Teryl Rose Teryl Rose is vice president, resource management, natural gas distribution. From 2003 to 2012, he was vice president of Kansas Gas Service s western region in Wichita. Rose began his career in the energy industry in 1989 as a transmission worker for Western Resources. After ONEOK acquired Kansas Gas Service from Western Resources in 1997, Rose held positions of increasing responsibility and moved into area and regional management roles. He attended Bethel College in North Newton, Kan. Kent Shortridge Kent Shortridge is vice president, operations, Oklahoma Natural Gas, based in Oklahoma City, the largest natural gas distributor in Oklahoma, serving approximately 830,000 customers, including the Tulsa and Oklahoma City areas. In February 2012, he was named vice president of Oklahoma Natural Gas Company s eastern region in Tulsa. 4
He joined ONEOK in 1990 as a field engineer and has held various positions of increasing responsibility. Previously, he was president, natural gas pipelines, ONEOK Partners, responsible for interstate and intrastate natural gas pipelines and storage; vice president, natural gas supply and administration, ONEOK Distribution Companies; and vice president, commercial, of ONEOK Partners intrastate pipelines and storage assets. Shortridge earned a Bachelor of Science degree in industrial engineering in 1990 from the University of Oklahoma in Norman and a Master of Business Administration degree in 1997 from Oklahoma State University in Stillwater. Dennis Okenfuss Dennis Okenfuss is vice president, operations, Kansas Gas Service, based in Overland Park, the largest natural gas distributor in Kansas serving approximately 643,000 customers, including the Wichita, Topeka and Kansas City areas. Previously, he was vice president, administration, and manager, business development, Kansas Gas Service. Okenfuss began his energy industry career with Western Resources in 1985 as a field engineer. He served in various positions at Western Resources in both the natural gas and electric operations until the natural gas properties were acquired by ONEOK in 1997. Okenfuss earned a Bachelor of Science degree in civil engineering in 1984 from the University of Missouri in Columbia and a Master of Business Administration degree in 1994 from Rockhurst University in Kansas City, Mo. Brad Dixon Brad Dixon will retire May 1, 2013, after serving as president of Kansas Gas Service since 2005. He began his natural gas industry career with Kansas Gas Service in 1979 and has held various management positions in accounting, customer service and gas supply. He joined ONEOK in 1997 when Kansas Gas Service was acquired from Western Resources. He was named vice president of the company s western region in 2002 and to his current position in January 2005. Dixon earned a Bachelor of Business Administration degree in 1975 from Washburn University in Topeka. Kari French Kari French is vice president, operations, Texas Gas Service, based in Austin, the thirdlargest natural gas distributor in Texas, serving approximately 630,000 customers, including Austin, El Paso and the Rio Grande Valley. Previously, she was president, Texas Gas Service, and vice president, administration, Kansas Gas Service. 5
She began her natural gas industry career as an administrative assistant for Rangeline Corporation in 1990. She joined Kansas Gas Service in 2005 as the manager, human resources. French earned a Bachelor of Arts degree in psychology in 2001 from William Jewell College in Liberty, Mo., and a Master of Science degree in counseling psychology in 2005 from Avila University in Kansas City, Mo. Kevin Burdick Kevin Burdick is vice president, natural gas gathering and processing, ONEOK Partners. From 2009 to 2012, he was vice president and chief information officer, responsible for all information technology functions across ONEOK, including hardware, software and communications infrastructure necessary to support the business segments. Burdick joined ONEOK in 2007 as manager, information technology design integration. Prior to that, he held information technology positions of increasing responsibility at CITGO Petroleum in Tulsa from 1992 to 2007. Burdick earned a Bachelor of Science degree in mathematics in 1988 from the University of Oklahoma in Norman and a Master of Business Administration degree in 1995 from Oklahoma State University in Stillwater. Brien Brown Brien Brown is vice president and chief information officer. He joined ONEOK in 2009 as director, corporate applications. From 2006 to 2009, Brown worked for SAP Americas, following 14 years at CITGO Petroleum Corp., where he held a variety of positions of increasing responsibility, including manager, information technology applications. He began his career in 1989 as an auditor and certified public accountant for Price Waterhouse, now PricewaterhouseCoopers. Brown earned a Bachelor of Business Administration degree in accounting and management information systems in 1989 from the University of Oklahoma in Norman. Andrew Ziola Andrew Ziola is vice president, investor relations and communications, ONEOK and ONEOK Partners. He joined ONEOK through its acquisition of its initial general partner interest in Northern Border Partners, L.P. in 2004 and transferred to Tulsa as the manager, financial planning and analysis in 2006. He assumed his investor relations role in 2009, adding communications to his responsibilities in July 2012. Ziola earned a Bachelor of Science degree in Finance in 1991 from the University of Nebraska in Lincoln and a Masters of Business Administration degree in 2007 from Creighton University in Omaha, Neb. 6
Mike Clark Mike Clark is vice president, controller, ONEOK Partners. From 2009 to 2012, he was vice president, financial services, responsible for internal audit, enterprise risk management, Sarbanes-Oxley compliance and financial planning. He joined ONEOK through its acquisition of Kansas Gas Service in 1997 as an accounting manager and transferred to Tulsa as director of financial services in 2001. He previously held controller and auditing positions at Westar Energy and Kansas Power and Light. Clark is a certified management accountant, a certified internal auditor and holds a certification in risk-management assurance and earned a Bachelor of Business Administration degree in accounting in 1983 from Washburn University in Topeka, Kan. 7
