Listing on the NSE through GEMS reduces complexity and cost. GEMS is also a key pathway for natural resources companies seeking to raise capital and also meet the recently implemented local equity participation rule gazette by the Minister for Environment & Natural resources. EAST AFRICAN EXTRACTIVES INDUSTRY - STRATEGY DEVELOPMENT - 2016 - ONGOING Extractives industry strategy development for a prominent trade development agency across East Africa with a resource envelope of upto $1 billion (across various industry sectors including extractives) between 2017-2024. The focus is on identifying, developing and implementing high impact interventions in the extractives sector that result in increased trade between East African countries and beyond based on partnerships between regional governments and the private sector. 8 2. PROJECT ALPHA - 2015 - ongoing Mergers and Acquisitions USD 70million sell side transaction in the Agriculture sector. 3. CONSTRUCTION PROJECT FINANCE CAPITAL RAISING - 2015 - ONGOING USD 10 million structured project finance for the construction of a modern mall in Kitengela, Kenya. 4. CONSTRUCTION PROJECT FINANCE CAPITAL RAISING - 2015 - ONGOING USD 10 million structured project finance for the construction of a 90 room 4 star hotel in Kenya.

Experience 5. PROJECT SWEET THINGS - 2015 Mergers and Acquisitions USD $15 million sell side transaction in the FMCG sector and USD $5 million debt replacement. 6. PROJECT HORIZONS - 2015 USD 25 million Capital Raising (debt and equity) in the mid-stream oil and gas sector for construction of depot, petrol stations and working capital for bulk importation. 7. UNITED NATIONS - 2014 Provision of consultancy services on the intersection between human rights and the extractive industry in Kenya. 8.PARLIAMENT OF KENYA - ENVIRONMENT & NATURAL RESOURCES COMMITTEE - 2014 Strategic expert advisor to the full committee on mining with a focus on local mining policy, global best practice, mining economics, accountability and growth enablers. Developed and delivered a comprehensive workshop under the auspices of the State University of New York s Parliamentary Support Program. 9. KURWITU VENTURES LIMITED - 2014 Nominated advisor in the listing of Kurwitu Ventures Limited s ordinary shares in Growth Enterprise Market Segment ( GEMS ) of the Nairobi Securities Exchange. 9 10. PROJECT HEWA - 2014 KShs 920 million debt refinancing of a leading manufacturer of LPG cylinders and distributor of LPG. Mandate included financial evaluation to determine optimum debt carrying capacity and coordinating roadshows and information exchange with leading banks. 11. PROJECT SAFIRISHA - 2014 Mandated by a leading logistics company in Kenya to identify acquisition targets in Uganda, Tanzania and Rwanda. Mandate included target identification, high level due diligence, valuation, negotiations and financial closure. 12. PROJECT JUJA, KENYA - 2014 Mandate to raise US$ c10 million through the sale of 100 acres of prime land in Juja.

PROJECT INFINITY, KENYA 2013 Sell side advisory for a US$ 25 million minority equity stake in a leading bank in Kenya. LEADING BANK RIGHTS ISSUE, KENYA - 2012 Team leader in coordinating all advisors and deliverables in the US $38 million Rights Issue including valuation of the rights, preparation of information memorandum and obtaining regulatory approvals. 22. PROJECT ONE, KENYA - 2012 US$ c3 million capital raise of expansion capital for a boutique hotel in Nairobi. PROJECT CHAI, KENYA 2012 US$ c1.5 million capital raise of expansion capital for a leading branded food processor and distributor. Led valuation of company s business for purposes of ensuring maximum value obtained by shareholders. PROJECT MAFUTA, KENYA 2011 Buy side advisory for a US $200 million acquisition of a downstream petroleum marketer. Prepared deliverables including Investment Papers and Valuation Report. 25. PROJECT UMEME, KENYA 2011 Capital raising of US$150 million for financing 75MW hydro power project. Ensured quality of deliverables, prepared road show materials and presented investment proposal to various investors and involved in negotiating completion documents. 11 26. PROJECT POWER ENERGY, KENYA 2010 Bid preparation and financial/pricing modelling for 85MW heavy fuel power plant. Bid was won on the basis of most competitive financing/pricing proposal.

Directors Makena Mworia Chair Makena has over 10 years experience in the financial services and development sector. She holds a Masters in Business Administration, an MSc in International Securities, Investment and Banking and a Bachelor s degree in Financial Economics. Throughout her career she has held management roles in multinational financial institutions as well as local and global development organisations. She has worked in the various areas of specialisation including corporate and investment banking, strategic planning, and advisory. She has conducted consultancy roles with global development organisations such as the Cherie Blair Foundation, U.K that focus on promotion of effective development among women and SMME entrepreneurs in Africa and Asia. She is a Trustee of New Face New Voices, Kenya Chapter which is a Pan-African advocacy group that focuses on expanding the role and influence of women in the financial sector. This experience has enabled her to coordinate and manage relationships with several partners as well as build networks across various regions. Cliff Otega Managing Director and Head of Energy and Natural Resources 13 Cliff began his career with global advisory firm KPMG in Perth, Australia working with a variety of clients in financial services, government, healthcare and primarily the energy and natural resources sector including BHP Billiton, Woodside Energy and Shell Australia. He joined Canadian miner, First Quantum Minerals Ltd (FQM), in 2006 and spent over six years with the company a period coinciding with FQM s rapid growth from a single Africa-focused mine operation to a global mid-tier copper, gold and nickel producer with operations and projects in Europe, Australia, South America & Africa. Cliff s expertise includes advising enterprises on all aspects of corporate governance, internal audit and risk management. He holds a Bachelor of Science from Murdoch University and a Master of Commerce degree from the University of Western Australia. He is also a Certified Internal Auditor (CIA) and a Certified Information Systems Auditor (CISA).

Directors Joshua Goto Executive Director and Head of Real Estate and Project Finance Joshua previously worked in leading financial institutions in Kenya. He has broad operational, management, finance, project experience spanning over 11 years working with International and local financial institutions. He is a motivated, results-oriented professional with project and corporate real estate experience specializing in marketing, client representation, strategic planning and consulting. He has developed expertise in financial due diligence, Customer Relationship Management, Debt Origination, Project Finance, Risk Management, and Financial Management. He has worked in various sectors including financial services, telecommunications and tourism & hospitality. In his previous roles he has significantly contributed to the origination of key project developments, managed key client relationships while developing and improving of processes for implementation of policies. He holds a Bachelor of Commerce in Banking and Finance and a Diploma in Law. Chris Maranga Director, Corporate Finance 14 Chris was previously a Deal Principal at Phatisa, which manages the African Agriculture Fund. He has previously been an Associate Director with Standard Chartered Bank s Corporate Finance and Advisory Division in Africa. He has also worked as a Consultant in Deloitte s Corporate Finance Division and as a Senior Associate at PriceWaterhouseCoopers. He has a wealth of knowledge with over 15 years experience in a diversity of transactions across the Africa region including private equity investing, buy and sell side equity advisory transactions, privatisation of Government State Corporations, feasibility studies and financial due diligence assignments. He has also developed expertise in providing advisory services to clients in the agri-business, petroleum, airlines, financial services and telecommunications sectors in over 10 countries in Africa, the United Kingdom and the Middle East. Chris obtained a Bachelor s of Commerce (finance) degree and MBA (finance) from the University of Nairobi and is also qualified as an accountant with the Association of Chartered Certified Accountants (ACCA). He also obtained a higher diploma in Information Systems Management from the Institute for the Management of Information Systems (IMIS) and has completed level one of the CFA program.

Directors Sieka Gatabaki Non-executive Director Technology, Media and Telecommunicationt Sieka was previously at Bharti Airtel Africa Group Alliances as Financial Services Manager and prior to this, Director of Airtel Money Kenya. Sieka has a wealth of experience spanning over 8 years in Corporate and Channel development, Mobile commerce, Strategic planning, Marketing and Sales. He started his career as a national director for AIESEC in South Africa (2002), and moved on to be the African director for AIESEC International based in The Netherlands gaining broad experience in resource mobilization and strategy development across the African Continent. He returned back to Kenya to work at Kencall a Business Processes Outsourcing company as the Business Unit Manager for American business, before joining Airtel Kenya then operating as Celtel. James Nthuku Director, Structured Finance 15 James is a former corporate banker with a proven track record in structuring and advising clients on complex financing transactions. He has worked with clients across a range of industries especially in agribusiness, commodity trading, and energy (oil & gas, power, and renewable energy). Before joining Standard and Mutual, James was the Head of Corporate Banking, Energy, & Regional Trade at United Bank for Africa Kenya which he had joined from the Origination & Client Coverage (Corporate Banking) Division of Standard Chartered Bank Kenya. He has also worked as an Audit Associate for KPMG in Chicago, USA. James holds a Masters in Accounting Science, MBA in Finance, and a Bachelor of Commerce. He has also obtained his CPA Certification (IL, USA), completed Level I of the CFA program, and holds a Diploma from the Institute for the Management of Information Systems (IMIS, UK).
