Executive Leadership Brian D. McAuley Chairman Brian is a world class entrepreneur with extensive experience in start-up businesses. Most recently he was President and CEO of NeoWorld Communications since its founding in 1999. NeoWorld was sold to Nextel Communications in January 2003. Prior to NeoWorld, Mr. McAuley co-founded Nextel Communications, Inc. and was its President from 1987 to 1995. For both NeoWorld and Nextel, Mr. McAuley was personally involved in: 1) developing the financing and business plans and strategies to be employed, 2) making acquisitions, 3) raising capital, and 4) in the day-to-day operations of these telecommunications start up companies. From 1982 to 1986, Mr. McAuley served as Senior Vice President and Director of Millicom Incorporated, a company formed to participate in cellular telephone licensing and operations. Other career experiences include being Vice President of Robert s Foods, Corporate Controller of Norton Simon, Inc. and a Manager at the accounting firm of Deloitte Touche. Mr. McAuley has a Bachelor of Business Administration Degree from Adelphi University and is a Certified Public Accountant and a member of various finance and telecommunications industry organizations. In 2015 Mr. McAuley was inducted into the Wireless Hall of Fame. 1

Morgan O Brien Vice Chairman of the Board of Directors Mr. O Brien has served as a member of our board of directors since April 2012. From January 2009 to present, Mr. O Brien has served as a consultant to several wireless start-ups and as a member of the board of directors of Global Telecom and Technology Inc. As the co-founder and chairman of Nextel Communications, Inc., Mr. O Brien led the creation of the first all-digital nationwide wireless network (the Nextel National Network) and brought push-to-talk (PTT) communication to the mass business and consumer market. After the merger of Nextel with Sprint, he was a co-founder of Cyren Call Communications where he served until January 2009. Mr. O Brien was recognized in 1987 as New Jersey Entrepreneur of the Year and was voted the RCR Person of the Year in 1993 and again in 2006. In 2005, he was inducted into the Washington, DC Business Hall of Fame. In 2007, he was named a Fellow of the Radio Club of America and was named by Fierce Wireless as one of the top U.S. wireless innovators of all time. Mr. O Brien has also served on a number of boards of other public companies including Sprint Nextel and Williams Telecommunications. He also serves on the board of several private companies and charitable organizations. Mr. O Brien is a graduate of Georgetown University and received his law degree from Northwestern University. John C. Pescatore President & Chief Executive Officer Mr. Pescatore has served as President, Chief Executive Officer and member of our board of directors since August 2004. He is a seasoned telecommunications executive with particular expertise in start-up and rapidly growing companies. Before joining pdvwireless, Mr. Pescatore was Executive Vice President and Chief Operating Officer of NeoWorld. NeoWorld was founded to develop and launch a nationwide dispatch system and held spectrum in major markets throughout the United States. The company was successfully sold to Nextel Communications in 2003. Prior to that, Mr. Pescatore was Executive Vice President of Operations with Expanets, Inc., one of the fastest growing voice and data communications solutions and services businesses in the United States. He was one of the key architects in building Expanets and saw the business through enormous growth through strategic acquisitions. Before joining Expanets, Mr. Pescatore was part of the team involved in the start-up of Nextel Communications. Mr. Pescatore held numerous senior leadership positions at Nextel including Vice President of Operations, President of the Two-Way Radio Division and President of the New York Area during its digital system rollout. Mr. Pescatore started his career as a consultant with Deloitte & Touche. He earned his undergraduate degree in accounting and CPA certification from New York University. 2

Frank Creede Chief Technical Officer Frank Creede has led the strategy, development and operation of pdvwireless enterprise focused, carrier grade, mobile applications and cloud services since 2003. Frank is a member emeritus and former board member of the San Diego Tech Coast Angels and an angel investor in over 10 Southern California emerging high tech companies. Frank was formerly the Chairman, President, & CEO of Logic Innovations, Inc., a division of U.K. based Xyratex Ltd. Logic Innovations, which provided data broadcasting products and development services, was founded by Frank in 1986 and acquired by the former division of IBM in 1999. Frank also founded Staffing Innovations, LLC, a technical contract outsourcing business in 1997, which was acquired in 2012. Frank is a mentor at the Chairman s Roundtable, and a volunteer on the CommNexus NextStage and LBS committees. Frank holds a Bachelor of Science in Electrical Engineering from UC Davis and he has completed coursework for the MBA program at San Diego State University. Timothy Gray Chief Financial Officer Timothy Gray is the company s Chief Financial Officer. From November 2011 to May 2013, Mr. Gray served as Senior Vice President and Chief Financial Officer of MedImmune, Inc. and then served as Senior Vice President of Finance for MedImmune s Specialty Care Group until November 2013. Mr. Gray also served in various other financial roles at MedImmune since April 2008. Prior to joining MedImmune, Mr. Gray served in finance positions at AOL and Nextel Communications and started his career at Deloitte & Touche. Mr. Gray is a member of the Audit Committee of the Children s Inn at the National Institutes of Health. Mr. Gray holds a BBA in Accounting from the University of Notre Dame and is a Certified Public Accountant. 3

Leon Frazier Chief Sales & Marketing Officer Mr. Frazier became our Chief Sales and Marketing Officer in June 2014. Prior to joining pdvwireless, Mr. Frazier managed an independent consulting practice, a role he started in May 2012 after leaving Bloomberg Government. While at Bloomberg Government, which he was recruited to start in 2010, Mr. Frazier functioned as the Head of Sales and Marketing. Before joining Bloomberg, Mr. Frazier served as Sprint s Senior Vice President of Enterprise (including customers in the Finance, Construction, Manufacturing, Professional Services and Distribution industries) and Public Sector (State and Local Government, Education, Utilities, Healthcare and Federal Government) until his departure from Sprint in 2008. Enterprise and Public Sector ended 2007 with $9.7 billion in annual revenue. Mr. Frazier was Vice President of Sprint s Public Sector Business from September 2005 until August 2006. Prior to the Sprint/Nextel merger, Mr. Frazier was Vice President of Public Sector at Nextel, a position he held since 2001 after joining Nextel in 1997. He was responsible for designing and implementing a corporate accounts program focused on sales to Fortune 500 companies. Mr. Frazier has more than 33 years of experience in the telecommunications industry, starting in 1981 at RCA where he was a Senior Vice President and subsequent positions at General Electric and Mitel Business Telephone Systems, where he was Vice President and General Manager of the North American Division. Mr. Frazier graduated from Virginia Commonwealth University in 1971 with a bachelor s degree in Business Management. 4

Robert Schwartz Chief Strategy & Development Officer Mr. Schwartz joined pdvwireless as Chief Strategy & Development Officer in August 2015. Mr. Schwartz was formerly CEO of STI Brasil, LLC, a company focused on developing shared fiber infrastructure for wireless operators in Brazil. Prior to that, Mr. Schwartz was Managing Director of Unison Site Management and a Managing Partner of Woodmont Partners LLC, a strategic consultancy to telecom, media and technology companies. He also served as Executive Vice President of IDT Telecom and was involved in the launch of Teligent, later serving as Teligent s Senior Vice President of Corporate Development. In his distinguished career, Mr. Schwartz has led cross-functional teams in various areas, including strategy, capital markets, investor relations and M&A activities. Mr. Schwartz has an MBA from the Wharton School and a Bachelor of Business Administration from George Washington University s School of Government and Business. Richard E. Rohmann Executive VP As pdvwireless co-founder, Dick Rohmann currently serves as Executive Vice President. He created the database schema and user interface for the first commercial version of the company s series of telecommunications services that enable wireless push-to-talk dictation and documentation from mobile phones. He is a co-inventor on the company s six granted U.S. and international patents and several pending patents. Before co-founding the company, he served for nine years as Vice President of Operations and Vice President of Asset Management for The Lomas Santa Fe Group, a privately held real estate owner/developer best known for developing Regents Park in La Jolla and the 1,200 acre Lomas Santa Fe Community in Solana Beach, comprising two major shopping centers, a championship golf course, and 2,000 dwelling units. Prior to that he served as Vice President and Chief Operating Officer of HomeVest Real Estate Securities, and President of HHC Mortgage Corporation and HHC Management Company, real estate syndication affiliates of the former Home Federal S & L. His military service includes 4-1/2 years as an Aircraft Maintenance Officer in the United States Air Force. He holds an MBA in finance from San Diego State University and a Bachelor s degree in zoology, mathematics, and chemistry from the University of Colorado, which he attended as a Boettcher Scholar. 5

Steven J. Schreiber Vice President, Business Operations Mr. Schreiber is a senior executive with over 25 years of successful operating experience within several emerging and rapid-growth technology companies. Mr. Schreiber has overseen the development of pdvwireless sales and customer support operating structure from the ground up. He has also played an integral role in both creating and enhancing the company s operational tracking and analysis function. Prior to joining pdvwireless, Mr. Schreiber served as Managing Partner for Woodcliff Partners, LLC, a management consulting firm focused on advising small to mid-sized companies. Before that, Mr. Schreiber served in a senior executive role with Expanets, Inc., a leading provider of voice communication solutions to middle market companies. At Expanets, he played both an advisory and operational role assisting the company to execute a roll-up of 12 business entities of varying sizes with over $375 million in sales and 350 associates. Prior to Expanets, he worked for Nextel Communications for six years in various general management and operational roles; in his last role, he served as Vice President of National SMR Operations with responsibility for a $30 million business with over 200 associates. Mr. Schreiber has an undergraduate degree in Economics from the State University of New York at Binghamton Harpur College, and an MBA in Finance from New York University s Stern School of Business. Laura Politi Vice President, Human Resources Ms. Politi became our Vice President, Human Resources in June 2014. She is a senior executive with significant experience in both start-up companies and well established organizations. Prior to joining pdvwireless, Ms. Politi was the Executive Director of Human Resources at Progenics Pharmaceuticals, Inc. from 2004 to 2012, a bio-pharmaceutical company. She served as a member of the senior team and supported its significant growth and development. Prior to joining Progenics, she was the Vice President of Human Resources at the newly formed fractional jet ownership company CitationShares for 3 years and again was responsible for all human resource activities for the start-up. Ms. Politi was one of the first employees in the Nextel New York market and supported the amazing growth of Nextel Communications during her tenure from 1994 to 2001. She held several positions while at Nextel Communications during her 7 years. In addition, Ms. Politi held senior level positions at Cablevision, Pitney Bowes and the Queens Borough Public Library. Ms. Politi holds a BA in Psychology from State University at Oneonta and a Master s of Science in Industrial and Labor Relations from Cornell/Baruch. 6

Tom Sidman Chief Legal Officer Mr. Sidman joined pdvwireless as our Chief Legal Officer in June 2015. Prior to joining pdvwireless, from 2009 to June 2015, and from 2003 to 2006, Mr. Sidman provided business and strategic consulting and advisory services to various domestic and international telecommunications companies. He was a co-founder of, and served as a senior executive for, Cyren Call Communications Corporation from 2006 to 2009. Mr. Sidman served as General Counsel of Nextel from October 1994 until early 2001, and thereafter served as Senior Legal Advisor to Nextel until April 2003. As a key member of Nextel s senior management team, Mr. Sidman was centrally involved in the planning and implementation of Nextel s nationwide digital mobile wireless communications network, as well as in structuring and negotiating the numerous significant acquisition, strategic relationship and debt and equity financing transactions that supported Nextel s substantial growth. Mr. Sidman began his legal career in the Cleveland office of Jones Day, a major international law firm, in 1979, serving first as an associate, and then as a partner, in that firm s general corporate practice group. Mr. Sidman gained a broad exposure to numerous corporate and securities law practice areas, as well as a familiarity with related disciplines, including litigation, antitrust, intellectual property and tax law. Mr. Sidman obtained his undergraduate degree from the University of Virginia with a Bachelor s Degree in Economics and Psychology.
