Examples of signature matters include advising/ acting for: AfricInvest Fund on the investment by AfricInvest Fund III in Silafrica Plastics and Packaging International Ltd (the holding company of the Silafrica Group which manufactures plastics and plastic packaging products and has operations in Ethiopia, India, Kenya, Tanzania, Uganda and various holding companies in Mauritius). Alexander Forbes Group Holdings on its dual track M&A and ZAR 9.8 billion IPO process, which resulted in Alexander Forbes Group Holdings listing on the JSE. After announcing its intention to float, the company launched an offer for subscription and a concurrent offer for sale by existing shareholders. A.P. Møller-Maersk Oil on the acquisition of half of Africa Oil Corporation s shares in three blocks in northern Kenya. Associated British Foods plc on its proposed acquisition of the remaining 48.65% interest (that it did not already own) in Illovo Ltd, the largest sugar producer in Africa. CIPLA (the world s largest manufacturer of generic medicines; headquartered in India) in filing complaints before the Pharmacy & Poisons Board and the Anti-Counterfeit Agency in Kenya for breaches of its intellectual property. East African Community on the integration of cross-border mobile financial services within the member states, including the legal roadmap to achieving integration and recommendations regarding legislative changes. Eaton Towers on the financing by Standard Chartered Bank Kenya of its acquisition of the tower infrastructure of Bharti Airtel in six African countries (Ghana, Kenya, Rwanda, Tanzania, Uganda and Zambia) as well as India. Gigawatt Mozambique and South Africa on the project and finance documents governing the development of a 100MW gas fired power station in Ressano Garcia, Mozambique. The matter was named as Deal of the Year for 2016 by African Investor. The Government of Lesotho in arbitration proceedings with a consortium which constructed and manages the Lesotho State Hospital. Metroplex Shopping Mall Ltd in arbitration proceedings between it and Shoprite Checkers Uganda Ltd. Old Mutual Property Africa Ltd on its USD 63 million investment in the Two Rivers Shopping Mall under development in Nairobi, the largest mall in East and Central Africa. Orange on its strategic disposal of a majority stake in Telkom Kenya (the third largest mobile operator in Kenya) to Helios Investment Partners. Reunert Ltd, listed on the JSE, in relation to its proposed acquisition of a majority stake in the Zambian listed entity, Metal Fabricators of Zambia plc (ZAMEFA), from General Cable Corporation, listed on the NYSE. Rio Tinto on the sale of its entire shareholding in Riversdale Holdings Pty Ltd, which holds a 74% direct shareholding in Zululand Anthracite Colliery Pty Ltd, to Galaxy Investments B.V. SABMiller plc in the acquisition by AB InBev of the entire issued and to be issued share capital of SABMiller plc. At USD 107 billion, this was the largest M&A transaction in South African transaction history and the third largest M&A transaction globally at the date of announcement. SABMiller plc in respect of the combination of The Coca-Cola Company, SABMiller and Gutsche Family Investments (majority shareholders in Coca-Cola SABCO) bottling operations in Southern and East Africa to create Coca-Cola Beverages Africa, the biggest bottler of soft drinks in Africa and the tenth largest in the world. The new bottler will service 12 high-growth markets (including Botswana, Comoros, Ethiopia, Kenya, Mayotte, Mozambique, Namibia, South Africa, Swaziland, Tanzania, Uganda and Zambia), accounting for approximately 40% of all Coca-Cola beverage volumes in Africa. Trafigura Beheer BV (Netherlands) and Trafigura PTE (Singapore), the borrowers in connection with the borrowing base facility provided by certain lenders for the financing of copper commodities in the Democratic Republic of Congo, Mozambique, South Africa, Tanzania, Zambia and Zimbabwe. 24 25
