Candidates for Election to the 2014/2015 Council Dr Eva YW Chan FCIS FCS(PE), FCPA, FCCA, MBA, DBA Dr Eva Chan is the Head of Investor Relations of C C Land Holdings Limited. She is mainly responsible for formulating the IR strategies for the company and conducting meetings with investors and fund managers all over the world. She also leads a number of corporate finance exercises and corporate restructuring activities. She has more than 25 years professional experience and has been part of the senior management team of various listed companies in Hong Kong. Eva was admitted as an Associate of ICSA in 1990 and elected a Fellow of ICSA and HKICS in 2006. She has been a Council member of HKICS since 2012. She is currently the Vice-Chairman of the Professional Development Committee and a member of the Membership Committee (of which she was the Vice-Chairman from 2009 to 2013 and a member since 2007). She actively participates in all the Institute s activities in various capacities, such as being a speaker and chairperson at various ECPD seminars. She has been a member of the Student Disciplinary Sub- Committee since 2010; represented the Institute on the Accountancy Training Board of Vocational Training Council since 2011; acted as a panel judge for the Corporate Governance Paper Competition in 2011; and was an author of HKICS Guidance Note 8 - Investor Relations Part 1 published in 2008. Eva is an Independent Non-Executive Director of Capital Environment Holdings Limited and an Adjunct Professor in the School of Accounting and Finance of The Hong Kong Polytechnic University. She is the Chairman of The Hong Kong Investor Relations Association. Eva graduated from The City University of Hong Kong with a Bachelor of Arts in Accounting. She then earned her MBA degree from The University of Nottingham, UK and obtained a DBA degree from The Polytechnic University of Hong Kong. She is also a Fellow member of HKICPA and ACCA. If re-elected as a Council member, Eva will help promote and market HKICS and the Chartered Secretarial profession to employers and the business community in Hong Kong so as to raise the professional status of HKICS members. 1

Jack SL Chow FCIS FCS Jack Chow is currently the Managing Director (Private Equities) of VMS Investment Group. Prior to joining VMS Investment Group, he was the Partner in charge of one of the three audit groups of KPMG China in Hong Kong. Jack has extensive experience in assisting Chinese companies in raising funds on Hong Kong and overseas stock exchanges. He has an in-depth knowledge of the different accounting standards and business regulations in the Mainland and Hong Kong and the listing requirements in the Mainland, Hong Kong, Singapore, London and the US. He advises companies on group restructuring arrangements and leads due diligence exercises in connection with mergers and acquisitions. Jack has developed very good relationships with central and provincial government bodies in the Mainland. Jack was admitted as an Associate of the ICSA in 1987 and elected as a Fellow of the ICSA and HKICS in 2009. He has actively participated in the Institute s ECPD seminars held in Hong Kong and the Mainland. Jack was first elected to the Institute s Council in 2009; he is currently the Chairman of the Professional Development Committee and the Investment Strategy Task Force. He is also a member of the Audit Committee and Mainland China Focus Group. Jack was the Treasurer of the Institute in 2012 and 2013. Jack is a Fellow member of HKICPA and the Chairman of HKICPA s Mainland Development Strategies Advisory Board and a member of its Registration and Practice Committee. He is also a Fellow member of the ACCA and the founding chairman of the Association of Hong Kong Accountants. Jack is an Adjunct Professor of the Hong Kong Polytechnic University; he speaks regularly at seminars on issues relating to corporate governance and restructuring. He is also an appointed manager and supervisor of a number of primary and secondary schools in Hong Kong. He is the Chairman of Qi Chuang (Hong Kong) Social Network which provides social services through some 20 centres in the Guangdong region. 2

Dr Gao Wei FCIS FCS(PE) Dr Gao Wei is currently the Board Secretary and General Counsel of Sinotrans Limited. He is responsible for discharging company secretarial functions and coordinating with regulatory bodies in Hong Kong and the Mainland to ensure compliance with the relevant rules and regulations and corporate governance standards. Dr Gao joined the Institute s Affiliated Persons (AP) Programme in 2004. He was one of the pioneering board secretaries to have completed the IQS examinations in Mainland China and he was admitted to Associateship of ICSA and HKICS in 2009. He became a Fellow of ICSA and HKICS in 2011. He was co-opted as a Council Member in January 2012 and re-elected in December 2012. He is currently the Institute s Vice-President and Vice Chairman of the Professional Development Committee. He is also a member of the Human Resources Committee, Mainland China Focus Group and the PRC IQS Working Group. Dr Gao provides support and contributions to the Institute s AP Programme and has been a regular speaker and Chairman at the Institute s AP ECPD seminars and functions. He was the group leader in compiling the Institute s Guidelines of Practices of Inside Information Disclosure of A+H Companies which was published in February 2014. He was also the main drafter of the Research Report on Amendment of the Mandatory Provision for Chinese Companies Listing Overseas initiated by the Institute and Board Secretary Committee of China Association for Public Companies (CAPCO), which was submitted to the China Securities Regulatory Commission (CSRC) in July 2014. Dr Gao holds a Bachelor s degree in Engineering from the University of Science and Technology Beijing; a Master s in Economics from the Central University of Finance and Economics; and a Doctorate in Law from the University of International Business and Economics. He gained his legal professional qualification in 1996. In view of the Institute s development in China, Dr Gao will continue to contribute his time and efforts to promoting HKICS, the Chartered Secretarial profession and the IQS examination in Mainland China. 3

Frankie H Ho FCIS FCS Frankie was admitted as an Associate and Fellow of ICSA and HKICS in 2001 and 2004 respectively. He served the Institute as reviewer of the Hong Kong Financial Accounting examination from December 2005 to December 2007. He was a member of the IT Sub-Committee in 2013. Frankie is currently the Financial Controller of BDO Limited, the Hong Kong member firm of BDO International Limited, the world s fifth largest accountancy network. Before joining BDO Limited, Frankie worked in a number of international banks for more than 30 years in senior management positions up to Deputy Chief Executive Officer level and was responsible for finance, compliance, internal control, risk management, company secretarial functions, taxation, administration and information technology. Frankie has served as a Committee member of ACCA Hong Kong from 2003 to 2010 and from 2013 to present. During past nine years, he has been the Co-chairman of following ACCA subcommittees: Tax, Student Affairs, Professional Development, Members Activities and Community Services. He was also Council member of The Taxation Institute of Hong Kong for 2011/12. In addition to serving professional bodies, Frankie actively participates in community services. He was appointed by the HKSAR Government as a Panel Member of the Board of Review from 2005-2010. Frankie has an MBA, a Master s in International Accounting and a Bachelor s degree (Hons) in Business Studies. He is a Fellow member of HKICPA, ACCA, AIA, the Institute of Chartered Accountants in England & Wales and the Taxation Institute of Hong Kong. He is also a member of the Chartered Institute of Marketing. If elected, Frankie would contribute his services to the Institute based on his good experience gained from the banking sector and other professional bodies. 4

Richard CW Law FCIS FCS, FCPA, FCCA, MHKIoD, MSc. (Real Estate), MBA Richard is the Principal Consultant of Robinson s Legal Training, focusing on corporate governance consultancy and training services. Before that, he was the Corporate Affairs Director and Company Secretary of Hopewell Holdings Limited, overseeing the company secretarial, human resources, information technology and corporate communication functions. In 2013, he was awarded the 1st Asian Company Secretary of the Year Recognition Awards 2013 by Corporate Governance Asia. Richard was admitted as an Associate of ICSA and HKICS in 1998 and was elected as a Fellow in 2000. He is also a Fellow member of the HKICPA. He holds an MBA (with distinction) and a Master of Science in Real Estate, both from The University of Hong Kong, and a Post-graduate Diploma in Corporate Administration and a Professional Diploma in Accountancy, both from The Hong Kong Polytechnic University. Currently, Richard is an Honorary Advisor for the Manpower Developer Award Scheme of the Employees Retraining Board, a member of the Sustainability and Integrated Reporting Advisory Group of the HKICPA and a mentor of the Chinese University of Hong Kong s Mentorship Programme. With over 25 years experience in managing different corporate functions, Richard has been the driving force behind a wide variety of corporate activities of listed companies, such as IPOs, privatisations, M&As, corporate transformation and change management programmes. In addition to offering his knowledge and experience to the Council, Richard is committed to contributing his time to address the needs of members, students and listed companies to meet the upcoming challenges in corporate reporting and corporate governance. 5

Paul DS Moyes FCIS FCS Paul is responsible for the marketing and corporate positioning of the Tricor Group. In his capacity as an Executive Director of Tricor Services, Paul also consults for a wide range of multinational and locally-based companies in the financial services field. Prior to joining Tricor in 2003, Paul was a Senior Manager at PricewaterhouseCoopers in Hong Kong and previously in the UK before relocating to Hong Kong in 1994. He is a Certified Public Accountant, Chartered Secretary and graduate of King s College London. A seasoned professional in the financial services industry, Paul is a contributor to a number of publications and a regular speaker on topics ranging from licensing under the Securities and Futures Ordinance to corporate governance and anti-money laundering. He was the winner of the ICSA s prize for the best paper in pensions and insurance administration in 1992. He was admitted as an Associate of ICSA in 1993 and of HKICS in 2007; and elected as a Fellow of ICSA and HKICS in 2010. Paul was first elected to Council in 2012 and he is currently the Chairman of the Institute s Audit Committee and Professional Services Panel. He was a member of the Institute's Membership Committee in 2007 and 2012 and Audit Committee in 2012. He also served on a working group for the Companies Ordinance Rewrite. Paul is a regular participant in charitable activities, a former director of the Australian Wine Appreciation Society of Hong Kong, Past President of the Royal Society of St. George, a Member of the British Chamber of Commerce Financial Markets Committee, and has served on the Board of Review (Inland Revenue Ordinance). Paul is also a member of the Foreign Correspondents' Club and the Jockey Club. 6

Dr Maurice WF Ngai FCIS FCS(PE), CPA, FCCA, LLB (Hons), MBA, MFC, PhD Maurice was admitted as an Associate of the ICSA in 1990 and elected a Fellow of the ICSA and the HKICS in 2000. He was a member of the Institute s Council from 1999 to 2013, during which time he was also Vice-President (2002 13), and served on the Audit Committee (2012 13: Chair; 2014: member), Professional Development Committee (2012: Vice Chair; 2013 14: member), Membership Committee (2009 10: Chair), China Affairs Committee (2003 08: Chair), Corporate Governance Committee (2002: Chair), Company Secretaries Panel (2001 03: Vice Chair) and Technical Committee (2001: Vice Chair). He has been the Adjudicator for Best Annual Reports Awards (2000 02, 2007), and the external examiner for the Master of Arts in Professional Accounting and Information Systems of City University of Hong Kong (2002 04). As a former Council member and a former Vice President, Maurice had devoted himself to the growth of the Institute in Hong Kong, China and internationally during the last 15 years. He was instrumental to the setting up of the Affiliated Persons (AP) Programme, which formed the solid foundation for the Institute s remarkable development in China in the past decade. Maurice is currently the Chief Executive Officer of SW Corporate Services Group Limited, a reputable corporate service provider specialising in company secretarial, compliance and corporate governance practices for both private and listed companies. He also serves as an independent non-executive director of several major listed companies and advocates best corporate governance practices at their boards. He is a regular speaker on corporate governance subjects in Hong Kong and China. He was appointed by the Chief Executive of Hong Kong SAR Government as a member of the Working Group on Professional Services under the Economic Development Committee in 2013. He is an Adjunct Professor of Law of Hong Kong Shue Yan University. He graduated in law and has a Doctorate in Philosophy (Finance), a Master in Corporate Finance and an MBA. He is also a member of the HKICPA and a Fellow member of ACCA. Maurice is looking forward to serving you again in 2014/15 Council with a view to building a stronger and better Institute and bringing values to our members and students. 7
