GENERAL CONDITIONS OF SALE PLEASE READ CAREFULLY This Price List cancels and replaces any previous one. Prices are expressed in (Euro). The Models can be subjected to alteration without prior notice depending on Contardi s technical and commercial priorities. 1. OPENING ORDERS An opening display order of CONTARDI Lighting products is required in order to qualify as a CONTARDI dealer (or stocking distributor). Please consult the sales department for additional information. 2. APPLICANT FOR CREDIT First-time customers must prepay orders in full unless prior credit authorization has been received. 3. LIGHT BULBS The light bulbs are generally included (always for European countries). 4. ORDERS Orders shall be deemed accepted and bound upon Contardi Lighting written confirmation. Should the order confirmation contain modifications in respect of the order, these modifications will be deemed tacitly accepted by the Purchaser after 3 (THREE) days from the receipt, unless written notice of disagreement is given by the Purchaser within the above term. Orders may be cancelled up to three days after the issue of the order confirmation. After this, at the factories discretion, Contardi will charge 15% of the total order value if an order is cancelled within five days of the confirmation. 5. PAYMENT TERMS The Payments must be effected according to the terms agreed with the Purchaser. In the case of delayed payments the Purchaser will be charged with «delay interests». In such event, Contardi Lighting shall be entitled to suspend any shipment in progress as well as any shipment of any further order transmitted by the Purchaser. All bank expenses are for the Purchaser account. 6. PAYMENTS AND RETENTION OF TITLE The Products shall remain property of Contardi until the payment has been made in full and the Purchaser has fulfilled all his obligations. 7. SHIPPING 7.1 The Lead time (week of shipment) shown on order confirmations shall be deemed indicative and it is not essential. 7.2 The goods are supplied EX FACTORY, unless otherwise agreed. The goods travel at the Purchaser s risk, even in the case the transport is organised by Contardi Lighting. Should the Purchaser require to postpone a shipment, Contardi Lighting will accept to keep the goods at its warehouse for maximum 2 weeks; thereafter the goods will be invoiced and storage costs will be charged to the Purchaser. 8. RETURNS No returns will be accepted unless there is a quality issue. No merchandise will be accepted for return without an RMA number issued by Contardi Lighting. The RMA number must be clearly marked on all returned goods. Merchandise must be returned within 30 days from RMA date. No return will be allowed on custom or special order items. No credit will be issued for returned merchandise received in non-saleable or non-salvageable condition. There will be a 25% re-stocking fee for returns (for opening, checking the condition of the goods, re-packing into new boxes, etc.). 9. CLAIM AND FREIGHT CLAIMS 9.1 Claims for damage or shortage must be filed with the inbound carrier. Retain all packaging material. Errors in shipping: please notify customer service within 3 days of receipt. 9.2 The Purchaser is also required to accept the goods conditionally or to refuse them, should the packaging show damage or tampering. 9.3 The Purchaser shall examine the goods immediately after the arrival at destination; the Purchaser shall make sure the packages are intact and correspond in number to what indicated on the shipping bill. In case of any discrepancy the buyer should take delivery of the goods with reservation. Claims must be reported in writing to Contardi Lighting head office within 7 (SEVEN) days from receipt of the goods. All notice shall be sent in writing and shall provide a detailed description of the defects (photographs are requested). 10. CUSTOM AND LARGE-VOLUME ORDERS A 50% deposit is required with the confirming order and necessary signature prior to production, with the balance due before shipment of order. Costs incurred for product development, drawings, samples and related services will be COD. Custom and large volume orders are non-cancellable and non-returnable. A signed, written confirmation is required for these orders prior to production. There will be an up-charge for lamping or voltages different from what is depicted in the catalogue. 11. LIMITED WARRANTY Manufacturer warrants its products to be free of defects in material and workmanship for one (1) year from the date of purchase. This warranty is limited to the correction of any such defect, or the replacement of any such defective item or its equivalent, provided that: (a) manufacturer is notified in writing and consents to the return of the item(s) in question; (b) the item(s) is/are returned with proof of purchase date, and (c) it is found upon inspection that the item (s) is/are defective as noted above. This warranty does not cover labor costs, nor does it apply to any product that has been improperly installed, overloaded, altered, or otherwise abused. Due to the unsuitability of many cleaning agents, finishes are specifically excluded from the terms of this warranty. Other than the described obligation, manufacturer assumes no further liability for the sale or use of its products. 12.
