People with significant control (PSC) as at January 2019 Due to changes to the law affecting UK companies, as of 6th April 2016 all Academy Trusts and their trading subsidiaries now need to maintain a register of people that have control or influence over the Academy Trust (a PSC Register ). The definition of what constitutes control or influence is very broad and includes those who: - directly or indirectly own more than 25% of shares in the company (this would not be applicable to Academy Trusts as they are not share companies, but would be relevant to any trading subsidiaries established as companies limited by shares); - directly or indirectly own more than 25% of voting rights in the company; - directly or indirectly have the power to appoint or remove the majority Academy Trust s directors; - have the right to or actually do exercise significant influence or control over the Academy Trust; - have the right to, or actually do, exercise significant influence or control over a trust (not a legal entity) which in turn has significant control over the Academy Trust. The David Ross Foundation David Ross The Foundation has the right to appoint a majority of Trustees and is therefore deemed to be a PSC under the third condition. The Sponsor meets the statutory definition of a person with significant control. 6
