Many other directors have felt the same way at one time or another. This is the third annual workshop sponsored by international and regional corporate governance leaders including International Finance Corporation (IFC), a member of the World Bank Group, Center for Corporate Governance of Pontificia Universidad Católica de Chile (CGCUC), and the Network of Institutes of Corporate Governance of Latin America (IGCLA). The makes use of best-in-class knowledge in a hands-on and practical learning approach that will build on your own natural leadership skills. You will walk out of the program empowered and prepared for more effective handling of the complex and often unpredictable situations boards face. You will have practical tools you can use for immediate results, with positive impacts on your board and its work. ABOUT THE WORKSHOP Starting with the early stages of nomination and onboarding to establishing credibility and influencing critical decision-making, through to ensuring the company is in a stronger position when you decide to move on to new challenges and exit the board, the workshop walks you through the entire board director lifecycle. Along the way, you will gain key insights into the human aspects of board directorships, the relationships, the power dynamics, and the interplay among different personalities. You will learn about the changes in these dynamics that take place over time. Armed with these skills and insights, you will be better prepared for your own directorship journey. You will benefit from best-in-class materials, a topnotch faculty, engaging and practical exercises aimed at honing leadership skills, and enriching opportunities for networking and exchanging experiences with peers from across Latin America and the Caribbean. PROGRAM CONTENT The primary text for the course is the IFC Publication The Incredible Adventures of Carla: Practical Guide for Nominee Directors, written by Ulrich Steger and Christoph Nedopil. Written in novelistic style, it describes the board leadership learning journey of Carla, a nominee director. Although the main character is fictional, the events depicted in the book are based on 20 years of real-life IFC experiences in building the boards of its investee companies around the world. Program focus is on the key challenges and dilemmas faced by boards of emerging market companies today. Using the text as a guide, substantive, content-rich sessions are followed by practical skills modules. Emphasis is on successful behavioral approaches that build on your own individual leadership style to address the issues raised during the content sessions. The skill modules make use of the techniques and methodology of the globally respected Centre for Effective Dispute Resolution (CEDR), based in London, UK. At the conclusion of the workshop, you will receive a certificate of completion. You will also have the opportunity to register in IFC s global database of suitable board candidates, from which directors of IFC s emerging market company boards are selected. 3
4 Topics covered include: Relationships with, and expectations of, nominating shareholder(s) Leadership styles, and transitioning from style to conscious strategy Improving decision-making processes and behaviors Boards and culture Resolving deadlock in the boardroom Board roles in sustainability, reporting and stakeholder engagement Board roles, including oversight and value creation The forward-looking strategic board role Investor and ownership perspectives Risk governance and compliance Board challenges in corporate crises and distress Governing a successful 21st century company FACULTY Professor Ulrich Steger, co-author of the course text and former academic chair of the International Institute for Management Development (IMD) directorship program, heads a prestigious faculty comprised of prominent international corporate governance practitioners with leading expertise in the Latin American and the Caribbean governance context. ELIGIBILITY AND REQUIREMENTS This workshop is suitable for: Senior, non-executive directors who have a formal or informal relationship with significant shareholders of a company, but who are not direct representatives of the controlling group, such as a family member or employee. Nominee directors of pension funds, other institutional or strategic investors, or government agencies. Directors and nominee directors with a basic knowledge of corporate governance and director duties. Directors and nominee directors with advanced level fluency in written and oral English: the workshop faculty will conduct sessions in English. All applicants will have a brief interview with workshop organizers. Upon completion of the interview and notification of acceptance into the workshop, applicants will receive an electronic link to the course text, The Incredible Adventures of Carla: Practical Guide for Nominee Directors. ULRICH STEGER Since joining IMD in 1995, Professor Steger has directed many top management programs. He has led IMD s research on complexity, corporate sustainability and global corporate governance. Since 1983, Professor Steger has served as chairman, vice-chairman or member of (supervisory) boards in Germany, Switzerland, Malaysia and the United Kingdom, in addition to serving as a member of Volkswagen s managing board. He is a former professor of the European Business School (OestrichWinkel/Rhg.) and former Minister of Economics and Technology in the State of Hesse and in the German Federal Parliament. Professor Steger received his PhD in mathematical growth theory in 1975 from Ruhr University in Bochum, Germany and received his Habilitation in He also served three years in the German Armed Forces as a parachute ranger. He is the author of numerous publications. His books and articles have been published in 17 languages (including German, English, French, Russian, Japanese and Chinese). His recent books include Managing Complexity in Global Organizations (2007), Corporate Governance How to Add Value (2008), The Insiders View on Corporate Governance (2008), A Business Logic for Sustainability a Food and Beverage Industry Perspective (2008), The Insider`s View on Corporate Governance (2009), Navigating through Crises A Handbook for Boards (2010) and Managing Complexity in Organizations Concepts and Cases (2011). PROF. DR. ALEXANDRE DI MICELI Prof. Dr. Alexandre di Miceli is a professional speaker, consultant, researcher, and columnist whose academic interests have been entirely devoted to corporate governance and ethics since He is the author of bestselling books in these fields in Brazil, including Corporate Governance in Brazil and in the World, Corporate Governance: The Essential for Leaders, and Behavioral Business Ethics: Solutions for Management and Governance in the 21st Century. He is a full professor at the Alvares Penteado School of Business and founding partner of Direzione Management Consulting. Prof. Dr. di Miceli has worked on numerous projects related to the improvement of governance practices at more than two dozen major national and international companies. Prof. Dr. di Miceli is an IFC consultant and lecturer in projects and trainings related to corporate governance around the world. Recent projects include the Practical Guide 5
6 to Corporate Governance: Experiences from the Latin American Companies Circle and Exercising Successful Board Leadership. He served as an OECD consultant in the run up to the Latin American Corporate Governance Roundtable He holds a doctorate and a master of science in management and finance from the University of São Paulo. He also serves on the faculty of the Brazilian Institute for Corporate Governance (IBGC), delivering board member training. Prior appointments include professor at the University of São Paulo ( ), visiting professor at Cornell University (2015) and visiting professor at Université Catholique de Louvain ( ). Prof. Dr. di Miceli served as a member of the committee that prepared the Brazilian Code of Best Practices, issued by the IBGC. In addition, he was vice president of the Brazilian Society of Finance and chief researcher for the IBGC. He has received several awards over the years for his contributions to corporate governance in Brazil. Prof. Dr. di Miceli has published more than 25 papers in peerreviewed journals and presented more than 50 papers at international conferences. JAMES SOUTH James South is a dispute resolution professional with over 20 years experience in the field. Based in London as the Director of CEDR, he has worked in 46 countries, facilitating and managing dialog challenges at the Sharp end that is, when people are in conflict. Such experience allows him to work within organizations to help them improve the way they communicate. His work with large corporations in sectors such as banking, pharmaceuticals, insurance, IGOs, and National Governments and Departments has taught him how often people become lost in the complexity of the content of their dialog. In recent years South has been working with boards and leadership teams to help them to develop the skills and learn effective processes for managing complex high-level dialog, including chairing and resolving board level conflicts. DAVIT KARAPETYAN Davit Karapetyan is the Regional Corporate Governance Lead for Latin America and the Caribbean at IFC. He joined IFC in 1999 and spent six years in Armenia and Russia working as Deputy Project Manager with IFC s corporate governance advisory projects in the region. Since 2005 Davit has been part of the IFC Corporate Governance Group supporting IFC s investment operations and since 2007, Davit has been covering the Latin America and the Caribbean region. In addition, Davit plays a key role in the delivery of IFC s Nominee Directorship Program. Before joining IFC, Davit worked for the National Assembly of Armenia and taught in the School of Law of Yerevan State University in Armenia from where he has a PhD in Civil Litigation. Mr. Karapetyan is a lawyer, educated in Armenia and the United States. He speaks Russian and Spanish and is based in Washington, D.C. 6

She is based in Chile and the USA and joined IFC in Since then, she has been developing regional work and representing the region in various global practice groups of IFC s Corporate Governance Department, including Alternative Dispute Resolution. She also coordinates important regional efforts such as IGCLA and the Latin American Companies Circle programs. Before joining IFC, Mrs. Rego Rodriguez gained broad experience in the private sector working at Siemens AG in a regional position with C-level executives and key stakeholders in the region. She graduated with honors from Los Andes University, Chile as a journalist. She received a Master s degree in Communications and Business Management from Austral University, Buenos Aires.
