1 2017 BALLOT INSTRUCTIONS This Ballot is for the election of six (6) Directors of the Association to fill vacancies that, in accordance with the Constitution, will become available at the Annual General Meeting on 16 November, 2017 in Sydney. Information on each candidate is set out in the enclosed Ballot Material. Clause 31.8 of the Constitution adopted on 19 November 2015 deals with Board Elections and states that; c) For all subsequent election procedures: (i) (ii) elections will be held to appoint Directors to the Board in accordance with clause 31.3; and those Directors whose terms have expired in accordance with clause 31.3 must retire, but are eligible for re-election in accordance with this Constitution. Additionally, the AVCAL Constitution stipulates that the Board must be comprised of at least 60% of Directors representing Investor (GP and LP) Members, and a maximum of 40% of Directors representing Non-Investor members. Nominations from the Ballot candidates were received in accordance with the requirements under the Constitution. Information on each candidate is set out in the enclosed Ballot Material. Please note the following instructions in respect of the ballot: 1. Only one (1) Member Representative may complete the Ballot Paper and Member Declaration on behalf of an AVCAL Member organisation. 2. The person completing the Ballot Paper must cast his/her vote by recording on the Ballot Paper an X against the name of the candidate(s) they wish to vote for. Supporting statements from each candidate can be found at the end of this pack. 3. The person completing the Ballot Paper may vote for any number of candidates that does not exceed the number of positions available to be elected, but in any case must vote for at least one (1) candidate. 4. The person completing the Ballot Paper must complete the Member Declaration at the end of the Ballot paper, otherwise their vote will not be counted. 5. Details for the valid return of the Ballot Paper (including the deadline for return) are set out on the Member Declaration page.

5 CANDIDATES SUPPORTING STATEMENTS Andrew Major HESTA - Investor Member Over recent years, AVCAL has substantially improved its focus on issues affecting investors in PE and VC in Australia. This increased focus comes at a critical time for the industry, with greater challenges around regulation and disclosure, which mean that investors and managers have to work together even more closely to address these challenges. I have enjoyed the last 3 years as an AVCAL Board member and think it is important for the Board to include an investor perspective on the policy, regulatory, structural and other issues which are likely to impact the industry in future years. Melissa Widner NAB Ventures - Investor Member Melissa is a GP at NAB Ventures. She has over fifteen years experience as a VC in the US and Australia. She s a successful entrepreneur who was the CEO and co-founder of 7Software, acquired by Concur (NASDAQ: CNQR). She served on the board of US based, Alliance of Angels. She s a champion of diversity as the co-founder of Australian based Heads Over Heels and Seattle s FEW (Forum for Women Entrepreneurs). She served on Australia s Venture Capital Committee (VCC) and numerous venture backed technology companies. She was a lecturer at the University of Washington s MBA program on venture capital and entrepreneurship. Anne-Marie Birkill OneVentures - Investor Member I m a Managing Partner at OneVentures, a VC firm with $320 FUM. OneVentures has a portfolio of 14 companies across a broad range of technology sectors and offices in Sydney, Melbourne and Brisbane (where I am based). Along with my portfolio company responsibilities I have oversight of our front and back offices. I m active in the innovation ecosystem including as a mentor and speaker; on the board of CEA and the $40M Queensland BD Fund; a member of the AVCAL VC working group, the AVCAL Board this past year and the AVCAL conference committee for the past 2 years. George Maltezos Campbell Luytens - Non-Investor Member As a Partner and Co-Head of our Asia Pacific business, I am looking to deliver to the Australian private equity and venture capital ecosystem the insights, learnings, observations and best practices from our global platform which has been serving clients for 30 years. Campbell Lutyens is an independent, global placement agent and advisor to PE managers and investors. Stephen Thompson Brandon Capital Partners - Investor Member I have served on the AVCAL Board for the last four years, having previously served on the AVCAL Conference Committee for a number of years. I have focused my attention at AVCAL on the core issues relevant to the VC industry. I currently Chair the VC Stakeholder Group and am a member of the Tax and Legal Working Group. I am a founding partner at Brandon Capital Partners and have 20 years experience as a VC investor both here and in the UK. Warren Bingham Future Asset Management International - Investor Member As Executive Director for Future Asset Management International, Warren presents more than 25 years of proven success in the Life Sciences and Medical Technologies sector. Warren also serves as a Director for Simavita (ASX:SVA), Endogene Ltd, Hygieacare, ANZGITA (ANZ Gastro International Training Association) and Chairman of The Hummingbird Fund. He is also the strategic advisor to the Board of Directors for GENCA. In 2001, Warren was a member of the global executive team of Given Imaging Ltd who pioneered PhilCam, an ingestible pill-sized camera to visualize the GI tract. In 2014, Covidien acquired Given Imaging for approx. $1 Billion US. Frank Heckes Archer Capital - Investor Member I would greatly welcome the opportunity to be reappointed as a Director of AVCAL for a second year. There are various exciting initiatives still ongoing that I would like to see through and believe there are still opportunities where my network and skills can be of benefit to the organisation.

6 Gareth Woodbridge KKR Australia Pty Ltd - Investor Member I have been involved in the Australian Private Equity industry for almost 10 years across global and local firms. I stepped onto the board this year to replace KKR s previous representative Steve Okun. KKR has a long history of involvement and representation with AVCAL and we are committed to supporting the ongoing agenda and industry advocacy. Chester Moynihan Allegro Funds - Investor Member I have been a PE executive for the past 22 years both locally and internationally. My experience has included turnaround and growth investing. I co-founded Allegro 13 years ago and have co-led the firm through its evolution from a turnaround advisory house to a GP. Initially taking over a distressed fund in 2008 to deal by deal investing and then on to the recent raising of Allegro III. I have been on the board (chair and NED) of numerous portfolio companies. I believe it s the right time for me to give back to our industry through an AVCAL Board role. James Rozsa Johnson Winter & Slattery - Non-Investor Member I act across the range of sponsor activity, from early stage-vc through PE buyouts and for a variety of portfolio companies. In addition to being an Australian lawyer, I have experience as a US lawyer and an investment banker in the PE industry. I assisted AVCAL with its FIRB submissions, but as we all know, it has not been enough and the changes are inadequate. Nonetheless, I am well-placed to assist in addressing the many regulatory and other changes facing our industry. Finally, although there are countless lawyers in AVCAL, we are woefully underrepresented on the Board. Nathan Cahill MinterEllison - Non-Investor Member Through my 15 years of working with LPs and GPs I have an intimate understanding of their needs. This places me well to help support more efficient and effective fundraising and fund structures. I would like to think that my large contribution to the work of AVCAL and industry including lobbying positive changes around RG 97 and FIRB plus advising NSW and Federal governments on innovation support initiatives, demonstrates my ability and effort to improve the industry. Fiona Lock CHAMP Private Equity - Investor Member With 16 years of private equity experience and prior management consultancy experience, gained at top tier global firms, I have direct experience of how our industry can contribute towards the growth and development of Australian businesses across a range of sectors. This experience provides me with valuable insight into various industry stakeholders and enables me to represent a wide range of member interests. I have also been an active contributor to the AVCAL Diversity Committee and feel that this, together with my industry experience, places me in a unique position to positively contribute to the work of the Board.
