3 1 Investment in the future In our new plant in Łódź, truss beams and general steel components are being produced for the Eastern European market in this 18,000 m² facility. Test production has already started after a construction period of just one year and the facility will officially open in the autumn of The basis of our corporate success is systematic modular construction. 4 2 3 Editorial The GmbH Executive Board Dear readers, On 1 September 2019, will be 50 years old. This may be just a blink of an eye in the grand scheme of things, but it is half a century of family and group history and a life story. During this time, we have developed continuously, have grown and had to look at ourselves critically over and over again. Developments always bring changes. Such a change can also be seen in the picture on the right. Our long-term Managing Director Christian Schnieder has retired and you can see two new faces in our management team. Oliver Schele heads the newly-created unit Processes and Organisation. In the equally newly-structured unit Innovation, Products, Systems, Hans-Jörg Frieauff is responsible for the Research & Development division or our products and construction systems. In a dynamic world, our future viability greatly depends on the areas for which these units are responsible. Digitalisation has long been a part of our lives, as have Virtual Reality and BIM and not just in special lighthouse projects, but continuously. However, above and beyond this, new technologies are developing at breakneck speed in mechanical & electrical equipment, in construction materials, in efficient planning and construction site control, in the use of production robots, drones and scanning methods and in many other areas. And this is why we do not place our sole trust in our German BIM experts, but have also founded a unit in Silicon Valley. This is how we experience, support and drive the innovations of the next generation. A glimpse of the (digital) future promises that it s going to remain exciting! Roots for growth Looking backwards gives us confidence for the future: From its humble beginnings, has become one of the largest family-run German construction companies within 50 years. And it has reinvented itself time and again. However, the most important thing has applied since the beginning: we optimise construction periods, construction costs and quality through systemised processes and precast construction elements. Perhaps it was the proximity of his parent s metalworking shop that ignited Ortwin Goldbeck s passion for steel at such a young age. When the young engineer first started making steel components for industrial buildings in 1969 with seven employees, he laid the foundations for an unbeatable successful principle: He replaces manual labour on the construction site with guaranteed industrial quality. Adopting this method, in the 1980s Goldbeck begins prefabricating whole buildings. System components made from steel and concrete are assembled together to create turnkey industrial buildings, office buildings and multi-storey car parks. Very soon, the company offers the entire range, from design to building construction. The new concept is successful. quickly enters new markets and develops a decentralised sales network. As early as 1984, employees are included as silent partners, in order to include them in the company s success through share certificates. Construction-related services are added to the company s portfolio. International was founded in 1997, carving the path towards internationalisation in the new millennium. Subsidiaries are founded in the Czech Republic, Poland, Slovakia, Austria and the UK marks the end of an era with a generation change: Founder Ortwin Goldbeck passes the baton to his sons and joins the Supervisory Board. Together with other Managing Directors, they continue the life s work of their father. And with great success: in the years that follow, the company more than doubles its performance and workforce. With the construction of a new plant in Poland, extensive investment in branch offices and further internationalisation in Scandinavia and Benelux, lays the foundation for further growth in the coming years.

Thinking everything through from the beginning onwards We have all the specialists required for a construction project under one roof. The integrated design process combines the planning services of all the technical divisions required for the design of a building. Experts from the different fields work together in interdisciplinary teams for the entire length of the project. This method comprises not only the function but also the entire life cycle of a building. It makes interdependencies transparent, thus setting out the requirements needed to view projects as a whole. There is no need for time-consuming interfaces, processes are slimmed down, project knowledge is shared across disciplines and construction becomes more sustainable and can conserve resources.

The future of construction The much-quoted abbreviation BIM (Building Information Modelling) stands for technology that alters construction. But what is it about? On the one hand it s an efficient method of digital planning and on the other it s about creating a comprehensive building model, which can be used to coordinate construction site and building operation processes considerably more efficiently. BIM is an interdisciplinary information hub, which makes the construction processes faster, more profitable and more secure as a whole. In our multi-storey car parks, the technology of tomorrow can already be experienced today with digitalised parking management, contactless payment systems and barriers with number plate recognition. The Group can look back, in the estimation of the Management, on an overall successful financial year 2017/18 ( to ). We achieved record levels of new orders and total turnover and exceeded the previous year s forecasts. The pre-tax result is satisfactory, even if it was not quite possible to achieve the level of the previous year. Set against a backdrop of positive developments in the construction industry in the European markets in which we operate, was not only able to maintain its current market share, but also again posted above-average growth, thanks to its nationwide sales organisation and precisely defined, constantly evolving products. The company started the current 2018/19 financial year with an even higher work in hand and, as ever, a highly pleasing volume of new orders. Provided the overall economic situation in the markets in which we operate does not dramatically worsen once again as a result of external shocks, the company expects to see further increases in total turnover. Earnings should also be higher than in the reporting year. Capacity expansions are being implemented to eliminate existing production capacity bottlenecks. The Group s stable assets and financial position continues to contribute significantly to its independence and to help secure its future. In a positive macroeconomic environment, the Group has also enjoyed continued success in the past financial year in the markets in which it operates, despite the mixed fortunes prevailing in the construction industry. In comparison to the previous year, the volume of new orders was up again by 11.6 %, reaching almost 3.1 billion. This is a new high in the Group s history. As a result of this business development, the Group s total turnover increased by 11.6 % to 2,729 million; this too is a new record in the Group s history. The consolidated total turnover increased accordingly by 10.4 % to more than 2.1 billion. By the end of the 2017/18 financial year, all German subsidiaries had exceeded their new orders targets and generated more than 2.4 billion in new orders. Of this, 83 million (previous year: 49 million) resulted from the now regionally-organised Building Redevelopment division, the set up of which successfully continues in the subsidiaries. In addition, has, in the last financial year, had successful first experiences with projects in serial housing construction. In the light of a now more promising economic environment, particularly in the eastern European markets, International GmbH and its holdings further developed their leading position in the construction of industrial and logistics buildings in the eastern European markets. Supported by the overall market trend, our international subsidiaries in Poland, the Czech Republic and Slovakia all posted increased total turnover. In the UK, Austria and Switzerland too, remained a successful player in the market. The growth of consolidated total turnover by more than 15% made a disproportional contribution to the growth of the overall group. New orders increased to 637 million. 27 48 04 Annual report 2017/18 04 Annual report 2017/18 49 Business performance In the past financial year, once again managed to successfully develop its share of the markets in which it operates and to increase its earnings in the field of turnkey construction. With their integrated consultancy services, Gebäudemanagement and Procenter are helping to secure the long-term sustainability of real estate, which in turn allows customers to focus on their core business. Consolidated total turnover for this business area fell from 48.7 million in the previous year to 46.8 million due to client-side real estate sales and a further decline in rental activity compared to the previous year. Public Partner remained on a positive path. Positive value contributions were generated from the operation of already acquired projects. Three new school projects were implemented in the reporting year. The consolidated total turnover was doubled to 37.8 million. One particular success was concluding the contract for the highly contested South-East Hesse Police HQ (PPSOH) project. After a two-year contractual interruption phase in accordance with public procurement law, Public Partner won the project in December The Parking Services division was expanded further according to plan in the financial year and achieved a consolidated total turnover of 16.4 million, compared to 14.5 million the previous year. In the 2017/18 financial year, Solar implemented its first project in its new market, the Netherlands. The consolidated total turnover increased to around 45 million, compared to 40 million the previous year. Its own production capacities were well utilised in the past financial year on the whole due to an increase in new orders, with peak workloads offset by the increased recruitment of agency workers and subcontractors. For this reason, the repeatedly high capacity utilisation led to the decision to purchase the second-largest Polish precast concrete components manufacturer, Comfort SA. Integration into the overall company has begun. In addition, new building work was commenced for a production site for steel construction in Łódź, Poland, which was decided upon last year. The start of production is planned for the current financial year. The described development of the individual areas shows that in the 2017/18 financial year, once again managed to successfully develop its share of the markets in which it operates and to grow further, particularly within turnkey construction. As a whole, sound earnings were generated. With a product portfolio based on construction systems and construction-related services, the Group remains fit for the future. The Group s continued growth also led to the creation of new workplaces in the past financial year. Whilst the items on the liabilities side only marginally changed, similar to the change in the balance sheet total, the fixed assets increased by a total of 116 million. Of these, around 59 million were part of the intangible assets and property, plant and equipment, particularly incurred by the purchase of the precast concrete components plants in Poland. With an increase of around 56 million, the financial assets increased and the portfolio of securities also grew considerably. The level of securities amongst current assets increased to almost 62 million. Liquid assets fell accordingly by around 95 million to a continued very solid 429 million. A further expression of the sustained high growth of the company is the amount of unfinished projects which has risen by 150 million to 951 million. As total advance payments on orders also exceeded the portfolio of inventories on this balance sheet date, this led to an increase in liabilities of 121 million (previous year 112 million) on the liabilities side of the balance sheet. With 630 million (+ 42 million) equity capital, remains extremely well-financed, which will guarantee stability for the company, even in difficult economic phases. Due to the comparatively small increase in the balance sheet total, the equity ratio increase to 50.4 %, is a very good figure, not only in comparison with other companies in the industry. Overall, around 48.3 million was invested in intangible assets and property, plant and equipment in the past financial year. In the current year, is well-positioned for turnkey construction in the markets it serves. The aim, as a medium-sized Group managed by its owners, is to buck the economic trend with further growth. continues to acquire orders extremely successfully on the basis of intensive market and target group cultivation, coupled with the continuous development of its Products and Services. In the current 2018/19 financial year, following an increase in targets compared those planned for the 2017/18 financial year, therefore expects to hit its new order projections ( 2,628 million, previous year 2,280 million). At the end of June 2018 (3 months), the Group was posting new orders of 1,026 million. This equates to around 39 % of the full-year forecast. In line with the developments witnessed thus far, the subsidiaries are confident that they will hit their new order projections for the current financial year. The work in hand for the Group currently stands at around 3.7 billion (previous year 3.3 billion). 1.3 billion of these orders (previous year 1.2 billion) are already in process. The in-house production capacity bottlenecks resulting from this significant increase in order volume have been counteracted at both by further process optimisation and the opening of the steel construction site in Łódź, Poland. In addition, the Polish plants for precast concrete units purchased in the previous financial year were increasingly integrated into the production process. On the basis of more efficient and continuously evolving products, coupled with comprehensive in-house production, and considering the overall economic situation and conditions prevailing in the construction industry, expects to continue to affirm its position and make progress in the markets in which it operates. Given the existing backlog of orders and the current volume of new orders, anticipates a further moderate increase in total turnover and pre-tax earnings for the current 2018/19 financial year, provided that external political and overall economic effects or unforeseen weather conditions do not prevent this from happening.
