2 E X C H A N G E BUSINESS TO BUSINESS LITIGATION... Preventing, Prosecuting and Defending Claims of Unfair Competition, Misappropriation of Trade Secrets, False Advertising, False Designation of Origin and Business Torts Due to several recent Supreme Court decisions, and the changing landscape of business to business litigation, the role of business trade secrets, trademarks and other non-patent IP assets have taken on greater importance in the attempt by companies to protect their market share. State Trade Secret Acts, the federal Lanham Act and other business statutes have taken on an increasing role as a tool for companies to protect their brands and market share and to slow their competitors. The broad scope of the federal Lanham Act law (which includes trademarks, trade dress, trade secrets and unfair competition) and its State Law statutory and common law counterparts provide strong protections against false advertising, abuse of trade secrets, dilution of trademarks and other forms of unfair competition. With the Supreme Court s ruling in Alice Corp. v. CLS Bank International, holding that abstract ideas implemented using a computer are not eligible for a patent, companies are considering if they need to abandon heavy reliance on patents and rely more on trade secrets. Trade Secrets claims are complicated to litigate and companies are looking for strategies to determine first the identification of their trade secrets and second, a strategy for how to protect them in litigation if necessary. In addition, the Supreme Court recently issued decisions involving false advertisement claims under the Lanham Act, such as the proper test for standing to bring such claims and the finding that compliance with government advertising standards does not bar false advertising claims under the Lanham Act. These recent decisions mean that it is critical for companies to keep abreast of changes related to the law of Trade Secrets, Unfair Competition, False Advertising, Non-Competition, and other business torts both from a defensive and offensive point of view. This Exchange will discuss how companies can negotiate and draft employment agreements or other contracts to protect their own brands, marks, and trade secrets, as well as enforce their rights and defend against claims brought against them in the changing business tort and intellectual property litigation landscape. 7 WHY U LAW In today s global marketplace, legal needs often transcend geographic boundaries. To operate globally, you need to have an edge locally. This requires an in-depth understanding of local cultures, economies, laws, governments, trends and business climates. This kind of edge not only enhances your competitive position, but also allows you to anticipate and even influence changes in the market, and to react quickly and effectively. Clients with these types of complex needs turn to USLAW NETWORK (USLAW) member firms to represent them in the courtroom and the boardroom, next door and across the United States and around the world. USLAW member firms are some of the most highly respected law firms in their respective jurisdictions. Each member firm is admitted only after substantial due diligence and is rigorously reviewed to ensure they meet USLAW quality service standards. The collective expertise of USLAW member firms is impressive. National and international law firms, while they may have scores of offices, do not have access to the depth of the legal resources available through USLAW. As well, our lawyers know and respect each other. Through friendship, networking and resource-sharing, USLAW attorneys develop the type of cooperation and client-focused service that corporations demand of their legal counsel.
8 PRACTICE GR UPS The USLAW NETWORK Business Litigation Practice Group offers top-quality legal services to their clients, with particular proven collective depth and experience in all aspects of business/commercial litigation and class action practice. Our members have worked together frequently on business litigation matters and provide proven cohesive and complete legal representation to clients on a national basis, offering not only depth of service but breadth of skill and experience. Why Choose USLAW Business Litigation Law Firms? Through the sharing of resources, experience and knowledge, we are able to provide expeditious, efficient and effective representation to clients with needs in various areas of law, jurisdictions and forums across the United States. The members of our Group share a common philosophy: We are committed to providing intelligent and aggressive representation to clients in active litigation, while at the same time, recognizing the value in exploring business solutions to clients legal problems and using alternative dispute resolution forums, such as arbitration and mediation, where feasible. The corporate climate in American is in a constant state of change. Shifts in the regulatory landscape, disruptions in the financial markets, disparities in State laws and more can have a dramatic impact on our clients businesses and their corporate transactions. The USLAW Business & Advisory Services Practice Group was formed to aggregate our collective experiences and exchange best in class concepts in our ongoing efforts to provide timely and practical advice, and to aggressively negotiate on behalf of our member firm clients. This aggregation also provides those clients with access to a multi-state legal network of national breadth and scope, while permitting them to retain their traditional relationships with local counsel with whom they have developed a longstanding, trusted relationship. Why Choose USLAW Business & Advisory Services Law Firms? Comprised of representatives from nearly all of our 60+ member firms, the USLAW NETWORK Business & Advisory Services Practice Group is engaged in continuous dialogue about how best to advise our individual firm clients on market shifts and emerging trends. We are supported by a group of respected business advisors with diverse backgrounds, who have themselves guided many corporate organizations, through complex transactions such as mergers and acquisitions, joint ventures, and other strategic alliances, as well as critical vendor and customer relationships.
