2 About us AMEXCAP is a non-profit association whose mission is to foster the development of the private equity industry in Mexico. The Association was created in 2003 and currently represents 75 Private Equity, Venture Capital, Real Estate and Infrastructure funds that actively invest in Mexico and over 35 advisory service companies involved in the areas of corporate law, tax advisory, financial services, and consulting. AMEXCAP s members have raised a cumulative $20.5 billion USD over the past fourteen years and have invested in a broad range of sectors such as real estate, media and telecom, wholesale and retail trade, financial services, healthcare, transportation, business services, infrastructure, and manufacturing.

Our Mission The AMEXCAP works under following objectives: Developing and strengthening the relationships with institutional investors. Generating the largest number and frequency of transactions.

Promoting and disseminating the Private Equity and Venture Capital industry at national and global levels.

Developing and maintaining relations with authorities and regulators, lobbying with them to improve the competitiveness of the industry. Promoting and disseminating the Private Equity and Venture Capital industry at national and global levels. In order to carry out these objectives, identify key challenges and propose initiatives which will encourage the development of the industry, AMEXCAP s Board of Directors is composed of a President, a Secretary and three main Committees: Venture Capital Committee Growth and Acquisitions Committee Real Estate and Infrastructure Committee

4 AMEXCAP Events AMEXCAP Annual Summit - Mexico City: Every year since 2006, AMEXCAP has organized the most important Private Equity event in the country: the AMEXCAP Annual Private Equity Summit. Since its inception, this forum has been a significant platform for the dissemination of the industry. It generates discussions regarding the opportunities, challenges and complexities of the Mexican Private Equity and Venture Capital environment. It also assembles local and global GPs, LPs, business owners, key Government officials and entrepreneurs. The Summit s ninth edition achieved over 500 attendees, during its two days. The forum has gathered in the past government officials from the CONSAR, Ministry of Economy, Ministry of Finance, Mexican Stock Exchange, NAFINSA, INADEM, National Banking and Securities Commission, as well the most prestigious international and national LPs and General Partners. 9% 19% 12% 10% 30% 20% Advisory Firms Companies, Businessmen and Entrepreneurs General Partners Government Officials and Business Organizations Institutional Investor Press Mexico PE Day - New York: In May 2013, the Association organized its first international event and in 2014 had over 200 industry participants. This flagship event represents an opportunity to learn about the overall investment opportunities in Mexico. Leading Mexican policy makers are joined by the country s top fund managers active in the private equity, real estate, energy and infrastructure sectors. The event fosters relationships between LPs and GPs and has gathered over 24 private equity firms and 31 institutional investors managing over US$1.5 trillion in assets. AMEXCAP will continue to organize this event every year. AMEXCAP National Private Equity Conferences: In conjunction with Regional Governments and leading business organizations, AMEXCAP conducts a series of conferences in the country s most important second tier cities to disseminate the industry and promote the benefits of the private equity industry. These events assemble local business leaders, Government officials, entrepreneurs and AMEXCAP GP members and affiliates. Mexico VC Day - San Francisco: This conference is our largest and most important Mexican VC industry event gathering key industry players from Mexico and engaging US-based firms interested in Mexico s VC market. With over 40 sector specialist speakers such as: general partners, limited partners, institutional investors, entrepreneurs, specialist service providers and policy makers. The event provides exclusive insights of the Mexican VC ecosystem, as well as American GPs and entrepreneurs who share their views on how both countries may benefit from this interaction. The event is meant to be the meeting place for entrepreneurs, GPs and LPs. AMEXCAP s Member-Exclusive Forums: AMEXCAP organizes three annual conferences exclusive for its members (AMEXCAP Networking Series) to provide them with the most updated information on the industry and latest trends. Affiliates (our advisory firms) participate and hold discussion on the topics with major relevance, such as fiscal reforms, legal regulatory frameworks, regulations under development, the M&A environment, and many other relevant subjects. Additionally, AMEXCAP conducts panels with diverse LPs to review the challenges and opportunities for investing in our member funds. These conferences also foster networking between LPs, Private Equity firms and advisory firms from AMEXCAP.

5 Milestones AMEXCAP has participated in designing and developing the following initiatives: Proposed changes to improve the Mexican Securities Market Laws (Ley del Mercado de Valores) and the creation of the The Investment Promotion Corporation (Sociedad Anónima Promotora de Inversión) ( SAPI ). The Private Equity Investment Trust (Fideicomiso de Inversión en Capital Privado) known as FICAP, investment structure articles Arts. 227 y 228 of the LISR. Regulatory changes that allow insurance companies to invest in Private Equity Funds in Mexico. Debt Market Programs for companies (Ministry of Economy). Proposed improvements to the CONSAR for the AFORES investment pre evaluation of managers and reporting. AMEXCAP s research team and in collaboration with top specialized advisory firms, generates diverse papers and statistical reports of the Private Equity Industry in Mexico: Inside Mexico s PE Market : This study provides an overview of the Mexican PE Industry, statistics about fundraising, investing, exits, as well as market highlights and opportunities. Inside Mexico s VC Market : This report profiles the VC Industry in Mexico and provides statistical details, reviews the characteristics of Mexican VC firms and examines opportunities moving forward. Inside Mexico s RE and Infrastructure Market : This study provides an overview of the private equity investments within these two industries, statistics about fundraising, investing, exits, as well as market highlights and opportunities. Mexico PE/VC Environment Update : The paper gives an overview of the important structural reform changes promoted by President Enrique Peña Nieto, including reforms of the financial, tax, energy, telecommunications, education and political systems. Venture Capital Fund Model for Mexico : In 2010, AMEXCAP published the first edition of this book, followed by a second edition in 2011 and a third edition yet to be published in Investments of Real Estate and Infrastructure Funds in Mexico : In collaboration with Deloitte for the years 2013 and 2014 to be published. Impact of Private Equity at Companies in Mexico : In collaboration with KPMG we assembled the best success cases in 2013 and 2014, highlighting the benefits for companies to partner with Private Equity firms. Private Equity in Mexico: Primed for Significant Growth and Myths of the Energy Reform : Studies conducted in collaboration with Bain & Co in 2012 and 2014 respectively. Entrepreneurial Ecosystem in Mexico : A research study conducted in conjunction with INADEM, EY and IPADE that after a thoughtful analysis and focus groups with all industry players, aims to provide suggestions to improve the overall landscape. The Association has organized and developed Private Equity programs with leading Mexican Academic Institutions among them: ADeCap (IPADE Business University), Creocap (Anahuac University), programs with ITESM s EGADE Business School, and many others.
