1 Biographies of the NABL Board of Directors Allen K. Robertson, President Allen is a Shareholder in the Charlotte, NC office of Robinson, Bradshaw & Hinson, P.A. He is particularly involved in the firm s health care public finance practice, but also has substantial experience in financings of educational facilities, exempt facilities (i.e.., multifamily housing, solid waste disposal and airport facilities), and manufacturing facilities (i.e., industrial development bonds). He also is involved in the firm s banking, bankruptcy, and health care practices. Allen served on the NABL Board of Directors in and was elected to a three-year term in 2010 and then was selected to serve as President-Elect in He was the Chair of the 2009 Bond Attorneys Workshop, was a Co-Chair of the Third Edition of The Function and Professional Responsibilities of Bond Counsel released in 2011 and is a Fellow in the American College of Bond Counsel. He has been listed in Chambers USA: America s Leading Lawyers for Business for banking & finance since 2004 and in Best Lawyers for public finance since Allen received a B.A. with highest honors in economics from the University of North Carolina, where he has a Morehead Scholar and a Truman Scholar, and earned his J.D., magna cum laude, from Harvard University. He served as a law clerk to the Honorable James B. McMillan, United States District Court for the Western District of North Carolina. Antonio D. Martini, President-Elect A partner in Edwards Wildman Palmer's Boston, MA office, Tony leads his firm's public finance tax practice. He has extensive experience with virtually every form of tax-benefited public finance transaction, including tax-exempt governmental, 501(c)(3) and corporate facilities bond financings, working capital borrowings and tax credit and direct-pay bond structures. He regularly advises clients on the arbitrage, rebate and interest rate hedging issues associated with these transactions, and assists with the structuring of advance refundings and other refinancings of outstanding indebtedness. Tony also regularly represents public finance borrowers on IRS examination and other tax controversy matters.

2 Tony is a regular speaker and panelist on federal tax law issues at NABL tax seminars and at NABL's Bond Attorneys' Workshops. He served from as Editor-in-Chief of NABL's Federal Taxation of Municipal Bonds treatise. Additionally, he served as Chair of NABL's 2005 Fundamentals of Municipal Bond Law seminar and as Chair of NABL's 2008 Tax and Securities Law Institute. Tony earned his B.A. summa cum laude at Union College and graduated from the Columbia University School of Law, where he was a member and Notes Editor of the Columbia Law Review. Kenneth R. Artin, Treasurer Ken is a managing shareholder with Bryant Miller Olive s Orlando, FL office, and has been actively practicing public finance law beginning since He has represented municipalities, counties, school districts, and special taxing districts as disclosure counsel, bond counsel, and special tax counsel. He has experience with both general obligations, backed by the full faith and credit of the political subdivision, and with revenue obligations including lease-purchase financings. Ken is a regular panelist, along with members of the Securities Exchange Commission staff, at NABL's Bond Attorneys Workshop on the topic of legal issues related to the adequacy and fairness of disclosure for initial public offerings of tax-exempt financings. He took an active role in the NABL response to the Securities Exchange Commission's initial release of Rule 15c2-12 and NABL s response to the U.S. Treasury's proposed revisions to Circular 230. Ken served as Co-Chair and Reporter of Considerations in Preparing Disclosure in Official Statements Regarding an Issuer s Pension Funding Obligations. He is listed in the Municipal Bond Attorneys' section of The Bond Buyer's Municipal Marketplace. He graduated from the State University of New York at Buffalo Law School in 1982 and from Southern Methodist University with an LL.M. in taxation in Clifford M. Gerber, Secretary Cliff is a tax partner in the San Francisco office of Sidley Austin LLP. He oversees the firm s tax practice with respect to all state and local bond financings originated by the West Coast Public Finance Practice Group. Cliff is nationally-recognized in the federal income tax aspects of tax-exempt financing, and is a frequent speaker at tax and municipal bond conferences. Cliff has served as Chair of the NABL s Arbitrage Seminar and is a regular member of the faculty of the NABL Tax and Securities Law Institute. He is also a past member of the Steering

3 Committee for the NABL Bond Attorneys Workshop, and was the Editor-in-Chief of Federal Taxation of Municipal Bonds. Cliff has been recognized in the 2012, 2013, and 2014 editions of The Best Lawyers in America in Public Finance and Municipal Law. In addition, Cliff has served on the Board of Directors for the American College of Bond Counsel, as well as Chair of the American Bar Association s Tax Section Tax-Exempt Financing Committee. He received his B.S. from the State University of New York at Albany, his J.D. from Hofstra University, and his LL.M. in Taxation from New York University. Scott R. Lilienthal, Immediate Past President Scott is a partner in the tax group at Hogan Lovells US LLP in Washington, DC, where he has provided tax advice in connection with financings for numerous state and local governments and various types of special purpose authorities and districts, as well as advising a number of states in connection with their qualified tuition programs. His practice involves all areas of tax law, with a special emphasis on public finance, and it also includes advising corporations and partnerships in connection with various forms of debt financings, including structured finance transactions such as securitizations and mortgage backed securities issues. He has also represented clients before the Internal Revenue Service in connection with audits and requests for advance rulings. Prior to joining Hogan Lovells, Scott served for three years as an attorney advisor with the Office of Assistant Chief Counsel (Financial Institutions and Products) for the IRS in Washington, DC. Scott has been an active member of NABL, serving as 2008 Chair of the NABL Tax Committee and member of the Board of Directors since He has also been Vice- Chair and Chair of the NABL Education Committee, a member of the Editorial Board of The Bond Lawyer, Vice-Chair and Chair of the NABL Washington Seminar, and a frequent faculty member at NABL s Fundamentals Seminar, Tax and Securities Law Institute, Washington Seminar, and Tax Seminar. Scott graduated from the University of Colorado in 1983 and earned his J.D. (with honors) at the University of Maryland School Of Law in 1987, where he was an editor of the Maryland Law Review and a member of the Order of the Coif.

4 Sara Davis Buss Sara is a partner at Campbell & Levine, where she directs the public finance practice area. One of Campbell & Levine s most awarded attorneys, Sara is well-regarded in tax exempt financing law, banking law, and business law. She focuses her practice on infrastructure and non-profit and economic development financing, with an emphasis on general obligation and revenue bond issues, tax increment and other special revenue-backed bonds, taxable and tax-exempt bank loans, public-private partnerships, and other secured financings. Recognized as a Pennsylvania Super Lawyer by Law and Politics and named one of the top women attorneys in her field by Pennsylvania Law Weekly, Sara has received an AV rating by the Martindale- Hubbell peer review. Sara currently chairs the board of the Women s Center and Shelter of Greater Pittsburgh and is active on the boards of a number of other non-profit organizations in the Pittsburgh area. Sara also served as the 2013 Bond Attorneys Workshop Vice-Chair. Sara received a B.A. from the University of Wisconsin and her J.D. from The John Marshall Law School. Michela Daliana Michela is a partner in the tax department of Hawkins Delafield & Wood LLP. She has performed research involving the structuring of new issues, acquisitions, refundings, advance refundings, and certificates of participation under the Code in connection with her participation in the representation of underwriters, borrowers, and issuers. Michela has also been involved tax-exempt issues, including the financing of water facilities, solid waste disposal facilities, sewage treatment facilities, and small issues for manufacturing facilities, as well as governmentally-owned exempt facilities for airports, docks, and wharves. Michela was the lead tax partner involved in the Metropolitan Transportation Authority s record-breaking $17 billion debt restructuring, successfully accomplished in 2002 and 2003, including numerous escrow restructurings of that debt. She was also responsible for the development of a tax position that has since be coopted, in part, into Treasury Regulations governing the area of acquisitions affected with the proceeds of tax exempt bonds when the acquired facility was originally financed

5 by the seller with bonds. Michela has worked on transactions involving pooled financings for unrelated borrowers in different credit structures for the Maine Health and Higher Educational Facilities Authority, the New York City Industrial Development Agency, and the State of Connecticut Health and Educational Facilities Authority. In addition, she has participated in transactions involving the issuance of governmental obligations for issuers. She received her B.S. from the Georgetown University, her J.D. from New York Law School, and her LL.M. in Taxation from New York University. Alexandra M. MacLennan Alexandra (Sandy) is a partner in the Tampa, FL office of Squire Sanders (US) LLP and serves as bond, underwriters and disclosure counsel. She has more than 25 years of experience as bond, disclosure and underwriters counsel in a variety of transactions including, in particular, financing for healthcare, higher education and airport projects, as well as traditional municipal projects. Sandy chairs the Squire Sanders national Disclosure Group, an internal group of public finance, tax, and corporate securities lawyers whose purpose is to assist clients in compliance with the requirements of federal and state securities laws as applied to municipal securities. Sandy has served as Chair of NABL s 2009 Tax and Securities Law Institute and two terms on the Steering Committee for the Bond Attorneys Workshop, as well as participating in projects of the Securities Law Committee and is an editor of NABL's Federal Securities Laws of Municipal Bonds Deskbook, Fifth Edition. In 2007 Sandy was one of the first Florida women elected a Fellow of the American College of Bond Counsel. Also in 2007 she was recognized by the Thirteenth Judicial Circuit s Pro Bono Program, H.A.V.E. A HEART and the Bay Area Volunteer Lawyers Program for her exceptional pro bono service to the Tampa community. She has been named in The Best Lawyers in America each year since 2006 and been recognized in Chambers USA since 2009, as well as received the Paul S. Buchman Public Service Award. Sandy received both her undergraduate degree in Journalism and her law degree from the University of Florida.

6 Richard J. Moore Rich is a partner in the San Francisco office of Orrick, where he is a member of the tax group. He concentrates his practice in the taxation of municipal finance including multi-family housing, healthcare and nonprofit issues, solid waste disposal facilities, public power, advance refundings, municipal derivative products, and arbitrage matters. Rich has served as bond counsel, underwriter's counsel, borrower's counsel, and special tax counsel in a wide variety of public finance transactions. He has also represented numerous clients on audits and voluntary proceedings before the IRS, and has obtained favorable private letter rulings. Rich has written and lectured extensively on the tax aspects of public finance transactions, having served as editor of the Federal Taxation of Municipal Bonds Deskbook. He was Chair of NABL s 2012 Bond Attorneys Workshop and served on several other panels at industry seminars. He received both his B.A. and J.D. from the University of California. Faith Li Pettis Faith is a founding partner of the Pacifica Law Group, a Seattle firm that provides legal services and counsel to government and Northwest clients in the areas of public finance, public-private project counseling, and appellate and civil litigation. Prior to Pacifica, Faith practiced for 19 years with Preston Gates & Ellis and its successor firm, K&L Gates, where she served as the chair of the firm-wide public finance practice group. She serves as bond counsel and outside counsel to state and local governments, with a primary focus on housing, education, and nonprofit finance. Faith was appointed in 2012 by the Governor of the State of Washington to chair the statewide Affordable Housing Advisory Board and also serves as a Trustee for College Spark Washington, an education grant making organization. Faith served as 2011 Chair of NABL s Bond Attorneys Workshop, as First Vice-Chair, Second Vice-Chair, and Chair of the Multifamily Housing panel from She served on the NABL Board of Directors in and was reappointed for a threeyear term in Faith has been recognized in multiple years by Washington Law & Politics as a Super Lawyer and has been selected for inclusion in The Best Lawyers in America 2012 in the field of Public Finance Law.

7 Faith received her B.A., magna cum laude, from the University of Washington (Phi Beta Kappa) and her J.D., cum laude, from Harvard Law School. E. Tyler Smith Tyler is a shareholder in the Greenville, SC office of Haynsworth Sinkler Boyd, P.A., where he serves as bond counsel, letter of credit, underwriter, and borrower counsel among other roles in both tax-exempt and taxable financings. Tyler also works regularly in areas, including interest rate swaps, complex investment transactions, new market tax credits and historic rehabilitation tax credits. Tyler regularly speaks at national forums on various topics and has served in varying roles with NABL, including having served as Vice-Chair and Chair of Fundamentals of Municipal Bond Law, Vice-Chair of the Education Committee, Chair of the Municipal Law Committee, and on the Steering Committee for the NABL Bond Attorneys Workshop. Tyler received his undergraduate degree in Mathematical Economics from Wake Forest University in 1991 where he was named to the Omicron Delta Epsilon and Pi Mu Epsilon honorary societies for Economics and Mathematics. He received his law degree, as well as a master s degree in Economics, from Duke University in 1994 and is a member of Mensa International. Dee P. Wisor Dee graduated from Dickinson College in 1973 and from the University of Denver School of Law in He has worked for local and state governments for his entire career. He started his career as Staff Attorney to the Colorado Municipal League. He joined Sherman & Howard in His practice primarily involves municipal bond approvals and disclosure work for a variety of Colorado and Nevada issuers. Dee was named 2005 Best of the Bar for work in public finance by the Denver Business Journal. He is also been listed in The Best Lawyers in America since 2007 and has been selected as The Best Lawyers' 2012 Public Finance Lawyer of the Year, for Denver. He is a fellow in the American College of Bond Counsel. His current professional, civic, and volunteer activities include: Board of Directors, National Association of Bond Lawyers; Board of Directors, Colorado Fiscal Institute; Board of Directors, Denver Public Schools Foundation; and Election Taskforce of the Colorado Lawyers Committee.

8 William J. Daly, Director of Governmental Affairs Bill is the Director of Governmental affairs at NABL s office in Washington, DC. He served as Deputy Director and then Director of the New York City Federal Affairs Office, from , where he conducted NYC s legislative and regulatory advocacy on taxes, municipal finance, pensions, employee benefits, immigration, and homeland security. In addition, he led the development of NYC s federal priorities in concert with NYC agencies. Most recently, Bill was the Senior Vice President, Government Relations, with the Bond Dealers of America (BDA). At BDA, Bill scrutinized legislative and regulatory proposals for effect on municipal market and developed positions and strategies to present the members views to the Federal government and worked with other organizations to advance the members goals. Most notably, Bill represented the BDA on the NABL-led comprehensive pension disclosure project. Bill received a B.A. degree from the University of Connecticut, a J.D. degree from Boston University and a Master of Laws in Taxation from Georgetown University Law Center. Linda H. Wyman, Chief Operating Officer Linda is the Chief Operating Officer at NABL s office in Washington, DC, bringing with her over twenty years of experience in non-profit association management. Prior to joining NABL, Linda served as COO at the National Utility Contractors Association, an association with approximately the same size and budget as NABL, since She had previously been with NUCA from , and returned as COO at the request of the association s CEO. Between her tenures at NUCA, Linda served as Assistant Vice President for Member and Chapter Relations before being promoted to Vice President at the National Association of Industrial and Office Properties. Linda also has professional experience with the Interstate Truckload Carriers Conference, the Council for Rural Housing and Development, and the U.S. Office of Personnel Management. She earned her B.A. in Political Science and her B.S. in Business & Finance from Mount Saint Mary s University in 1988.
