To the extent that FSZ&J has incurred fees and expenses in addition to the foregoing, PSZ&J reserves the right, and respectfully requests that the Court authorize PSZ&J, to file a supplemental fee application(s). In support of this Application, PSZ&J respectfully represents as follows: Background 1. On April 18, 2016 (the "Petition Date"), the Debtors each filed a voluntary petition for relief under chapter 11 of the Bankruptcy Code in the United States Bankruptcy Court for the District of Delaware. 2. The Court has jurisdiction over this matter pursuant to 28 U.S.C. 157 and This is a core proceeding pursuant to 28 U.S.C. 157(b)(2). 3. The retention of PSZ&J, as special counsel to the Debtors, was approved effective as of November 30, 2017 by this Court's "Order Authorizing the Retention and Employment of Pachulski Stang Ziehl & JQnes LLP as Special Counsel to the Debtors Nunc PNo Tunc to November 30, 2017," signed on February 14, (the "Retention Order") 4. The Retention Order granted the application to retain PSZ&J as special counsel to assist the Debtors with the investigation, prosecution, and resolution of actions under chapter 5 of the Bankruptcy Code and related matters, and authorized PSZ&J to be compensated on a contingent fee basis of: (1) twenty percent (20%) for matters resolved prior to the filing of a complaint; and (2) thirty-three percent (33%) for matters resolved after the filing of the ROCS D~ /002 2

6 Case LSS Doc 2185 Filed 02/15/19 Page 6 of 10 complaint (the "Recovery"), from each avoidance matter, plus reimbursement of all reasonable expenses. or on behalf of the 17ebtors. PSZ&J's APPLICATION FOR COMPENSATION AND FOR REIMBURSEMENT OF EXPENSES Compensation Pain and Its Soarce 5. All services for which PSZ&J requests compensation were performed for 6. PSZ&J has received no payment and no promises for payment from any source other than the Debtors for services rendered or to be rendered in any capacity whatsoever in connection with the matters covered by this Application. There is no agreement or understanding between PSZ&J and any other person other than the partners of PSZ&J for the sharing of compensation to be received for services rendered in these cases. Recoveries For the Fee Period 7. As set forth above, PSZ&J resolved two avoidance actions without the filing of a complaint. By virtue of these settlements, the estates recovered cash in the amount of $54,SOO.QO. Twenty percent (20%) of this total cash amount is $10, Attached hereto as Exhibit A is a copy of the "Order Granting Debtors' First Omnibus Motion Pursuant to Fed. R. Bankr. P for an Order Approving Settlements" (Docket No. 2009) ("First Omnibus Settlement Order"). Attached hereto as Exhibit B is a copy of the "Order Granting Debtors' Second Omnibus Motion Pursuant to Fed R. Bankr. P for an Order Approving Settlements" (Docket No. 2111) (the "Second Omnibus Settlement Order") and collectively with the First Omnibus Settlement Order, (the "Omnibus Settlement Orders"). 7 Case LSS Doc 2185 Filed 02/15/19 Page 7 of 10 By virtue of the Omnibus Settlement Orders the estates recovered cash of $483, Thirtythree percent (33%) of this total cash amount is $159, The total cash to be recovered by the estates through the above referenced settlements is $537,996.6Q, and the fees to be paid to FSZ&J pursuant to these recoveries is $170, PSZ&J is seeking its fees only from settlement amounts actually recovered by the Debtors. Actual and Necessary Ext~enses for the Fee Period 10. A summary of actual and necessary expenses incurred by PSZ&J for the Fee Period are attached hereto as Exhibit C. PSZ&J customarily charges $ per page for photocopying expenses related to cases, such as these, arising in Delaware. PSZ&J's photocopying machines automatically record the number of copies made when the person that is doing the copying enters the client's account number into a device attached to the photocopier. PSZ&J summarizes each client's photocopying charges qn a daily basis. 11. PSZ&J charges $.25 per page for out-going facsimile transmissions. There is no additional charge for long distance telephone calls on faxes. The charge for outgoing facsimile transmissions reflects PSZ&J's calculation of the actual costs incurred by PSZ&J for the machines, supplies and extra labor expenses associated with sending telecopies and is reasonable in relation to the amount charged by outside vendors who provide similar services. PSZ&J did not charge the Debtor for the receipt of faxes in these cases. 12. With respect to providers of on-line legal research services (e.g., LEXIS and/or WESTLAW), PSZ&J charges the standard usage rates these providers charge for DOCS DE: /002 4

8 Case LSS Doc 2185 Filed 02/15/19 Page 8 of 10 computerized legal research. PSZ&J bills its clients the actual amounts charged by such services, with no premium. Any volume discount received by PSZ&J is passed on to the client. 13. PSZ&J believes the foregoing rates are the market rates that the majority of law firms charge clients for such services. In addition, PSZ&J believes that such charges are in accordance with the American Bar Association's ("ABA") guidelines, as set forth in the ABA's Statement of Principles, dated January 12, 1995, regarding billing for disbursements and other charges. 14. The total amount of reasonable costs incurred and to be reimbursed to PSZ&J for the Fee Period is $18, Sumr~iar~~ of Services Rendered 15. PSZ&J has performed its work as special counsel in assisting the Debtors with the recovery of assets, and performed all necessary professional services pursuant to the terms of its retention. 16. The reasonable value of the services rendered by PSZ&J for the Debtors during the Fee Period is $188, In accordance with the factors enumerated in section 330 of the Bankruptcy Code, it is respectfully submitted that the amount requested by PSZ&J is fair and reasonable given (a) the.complexity of the case, (b) the time expended, (c) the nature and extent of the services rendered, (d) the value of such services, and (e) the costs of comparable services other than in a case under the Bankruptcy Code. Moreover, PSZ&J has reviewed the DOGS DE /002
