Spanish Law is not probably a good framework for Spin-offs establishment: Promoters only can participate with a 10 % of the company Promoters cannot access to any position whiting the company Promoters will loss the company control with the rounds of inversion Reliable Knowledge Transfer template Agreement Administrative support for third parties negotiation Specialized Legal advisors available at the University Support for IPR, included promotion of existing Know-how: thinking in med-long term What are the pros or cons of starting a company versus transferring know-how to an already established company? 14 In your experience are there suitable state subsidies to help startups? or do you believe subsidies should not be an issue? NO suitable, but many sound programs already exists I would say that more than subsides efficient instruments such as: Instruments for startups at the beginning of the innovation process Reliable Legal and administrative issues Accessibility to companies to technology parks Clear support for K2B activities Startups Incubation programs Personnel hiring subsidies In Europe there seems to be fewer venture capital sources and less money available. Is that a major obstacle for company development? Have you gone through first round, second round fund raising activities? It is one of them, but not the only one. What kind of companies they want us to create? Technology based is not always a short-time commercialization How to hold the company control during after the first and following rounds? How to protect you knowledge-based business?

15 Do you believe is it true that a start up after three-five years either dies or gets bought/merges with a larger company? Business Schools only see the short term landscape TIR, Company value, sales, etc. are important vectors but not the only ones Although short-term Short-terms business may be an option, we have to put in value the mediumlong-term technology. A conclusion may be: For short-term initiatives may be better to transfer a technology For med-long term initiatives try to establish a technology-based company Some good business cases demonstrate that med-long support can be a good option: What do you prefer? A high probability to achieve low profits? A medium probability to achieve a high profits?, In principle Venture capital initiatives are looking for the second option although subject to bought/merges with a larger company

16 What is your advise: Patenting, (European, USA, PCT..) efforts or just focus on developing product and protect it with technical obstacles, industrial secret or otherwise. Does it pay to patent? Is it not better to pay for exploiting or licensing a patent? In your universities how is it regulated the patent registration and licensing processes? For a researcher and IP holder is it not better just to negotiate granting rights to third parties than entering such a big bureaucratic nightmare as starting a company? A saying is: If you can commercialize something: do not patent, sale it. If you may commercialize something, go to patenting. If Neither of them: Publish it! Why patenting? To go into a market under a monopoly framework For short time commercialization it a tool for ensure success of a product. It is an option for academic partners to transfer a technology It is an option to convince private investors Although Patenting implies: High effort High cost Permit others to know your technology Do you have the resources?

17 Do national laws and university statutes or bylaws facilitate spin-offs or startups, what should be changed? NO Clear administrative law for public bodies Avoidance of limitations in comparison with other countries Clear administrative steps for new commerce All the legal documents defined in advance (at least the core ones) Clear policy and support in terms such as private agreement!.. Do not only thing in figures, but also in medium-long term perspective Business schools focus a lot on management, including personnel, finance, market, commercialization and administration issues, and not much on research, innovation or protecting tangible and intangible assets. Should they change that view or are they right? We have to change this: The world should not only be in hands of financials! In the Knowledge economy: Research and innovation should be the core Germany needs 35 thousand engineers now!. Spain? E.g. a legal-advisor direct cost rate is 350 "/hour, it is fair?
