Additional responsibilities included review of potential acquisitions, evaluation of numerous reinsurance transactions, coordination of annual audit and insurance examinations, relations with insurance departments and rating agencies, and development of annual profit plan.

Major accomplishments included completion of purchase accounting for the recent acquisition by Primerica, producing timely monthly financials for the group and vastly improving the timeliness of year-end filings with state insurance departments. Final project was to shut down the home office operations in Jacksonville prior to move of company to Fort Worth. DIRECT MARKETING CORPORATION OF AMERICA (Subsidiary of CALFED) Los Angeles, CA October 1988 - June 1989 Executive Vice President/Chief Financial Officer Directed all financial, accounting, and data processing activities in the direct marketing group of CALFED Bank (holding company, insurance agency, life insurance company, advertising agency). Three weeks after arrival CALFED announced that the company would be sold or liquidated. Major projects included shutting down various operations, negotiation of reinsurance contracts, preparation of offering memorandum for sale of the group and identification of and negotiations with potential purchasers. FIRST CAPITAL LIFE INSURANCE COMPANY, La Jolla, CA January 1988 - October 1988 Senior Vice President/Chief Financial Officer Directed all accounting, budgeting, and financial activities of the largest company in First Capital Holdings. Major accomplishments/projects included completion of purchase accounting for the company, implementation of FAS 96 and 97 (FCL was the first life insurance company in US to adopt these pronouncements) and negotiation of sale/leaseback of home office.

Hall Page two TRANSAMERICA LIFE COMPANIES, Los Angeles, CA December 1982 - December 1987 Senior Vice President/Chief Financial Officer; Member, Board of Directors Responsible for all financial and accounting activities of the Life Operations of Transamerica Corporation (seven companies-premiums 2.5 billion, assets 16 billion), largest company in Transamerica. Additional responsibilities included analysis of acquisitions, monitoring of new ventures (mass marketing, structured settlements, New York operations, and broker dealer), relations with rating agencies and stock analysts, analyzing competitor companies, asset-liability management, due diligence on acquisitions, analysis of new accounting rules and tax legislation, bank relations, foreign currency hedging, and cash management. Major projects/accomplishments included establishing a credible one and five year plan, establishing an asset-liability matching system, implementation of on-line general ledger system and cash disbursement system, development of a paperless budget system, and divestiture of two major business segments. Managed staff of 250. NATIONAL BENEFIT LIFE INSURANCE COMPANY, New York (Subsidiary of Primerica) April 1981 - December 1982 Senior Vice President/Chief Financial Officer Directed all planning, financial, auditing, and accounting activities of five companies in the financial service sector of Primerica. Reviewed potential acquisitions, coordinated integration of acquisitions, coordinated outside audits of the division, directed SEC reporting and advised investment and audit committees of Board of Directors. PROTECTIVE LIFE INSURANCE COMPANY, Birmingham, AL August 1979 - April 1981 Vice President/Corporate Systems Directed all data processing operations. Coordinated merging of two acquisitions into the parent company, identification of cost-effective EDP applications in operations and in sales, conducting operational and financial reviews of potential acquisitions, and implementation of a company-wide budget process. USLIFE CORPORATION, New York, Chicago, and Los Angeles 1974-1979 Vice President/Treasurer Directed financial and accounting activities of USLIFE's largest life insurance subsidiary. Served as Vice President/Treasurer of USLIFE's casualty company with responsibility for all financial and EDP activities. Major projects/accomplishments included installation of new general ledger system, due diligence review of and integration of four acquisitions, developing new billing and collection system reducing overdue receivables by 80%, determined subsidiary's unfavorable profit outlook and participated in negotiating its sale. ARTHUR YOUNG AND COMPANY, New York 1972-1974 Auditor Assignments included corporate level audits of conglomerates and major oil company. Subsidiary audits were in financial services, manufacturing, and food services. Other Activities: Crown Structures. General Counsel and Member Board of Directors. 11% owner and active manager of construction company specializing in construction of school and office building roofs. Halker Investments. General Partner of partnership engaged in purchasing, rehabbing and rental of properties, primarily single family homes. Halker Properties XII.
