The Consultancy firms/ agencies are requested to submit their Pre-qualification documents; within 10 days i.e. before 28.10.2016, as per the Pre-Qualification Criteria (PQC) enclosed at Annexure -2. Annexure 1 KG-DWN-98/2 Project Hiring of Owner s Management Consultant (OMC) Indicative Scope of Work 1.0 Background 1.1 The KG-DWN-98/2 is a deep water NELP block of ONGC located on the East Coast of India. The Eastern Offshore Asset (EOA) of ONGC located at Kakinada, Andhra Pradesh is mandated with the responsibility of developing the offshore oil and gas fields in this block. The Block is broadly divided into two areas - the Northern Discovery Area (NDA) and the Southern Discovery Area (SDA). For ease of development & monetization, the NDA is further sub-divided into 2 Clusters viz. Cluster-I and Cluster-II. The present development relates to the development of Cluster-II area of the NDA. It is ONGC's first large deep-water field development project, with water depths ranging from 400 m to 1,300 m and is one of the most critical projects in current ONGC portfolio. ONGC is envisaging the following schedule for development of this project: Commencement of First Gas : June, 2019 Commencement of First Oil : March, 2020 Considering the magnitude & complexity of the Project with tight completion schedule, ONGC is looking for a Management Consulting Firm which will act as Owner's Management Consultant (OMC). The OMC primarily shall be required to assist ONGC's Project / PMO Teams and work in close coordination with ONGC s Project Management Consultants (PMC) [being hired separately] for close monitoring, control and progress & exception reporting of the Project to senior ONGC Management. ONGC s Project Team is located at Kakinada, Andhra Pradesh while ONGC s PMO (Project Management Office), which is entrusted with the job of monitoring & control of high value projects through Stage-Gate Project Management Process, is located at New Delhi. The Project Management Consultants (PMC) for the Project, being hired separately by ONGC, shall be responsible for overall Project and Interface Management with micro-planning and coordination of all activities on a daily basis to deliver the Project. PMC role shall also consist of detailed design and engineering review of various contracts after award of work. 1.2 Facilities envisaged under the KG-DWN-98/2 Project: The Salient Features of the Field Development Plan (FDP) are given below, with the field layout for the selected Concept placed at Annexure-1: 1) Subsea Wells (35 nos.): Cluster 2A (Oil) Cluster 2B (Gas) : 15 Oil Producers + 12 Water Injectors : 8 deep water gas wells 2) Subsea Facilities: Subsea Production Systems (SPS) & associated facilities viz. Subsea Trees, flowlines, manifolds, umbilical & control systems. 3) Process Platform: One Process Platform with a LQ & Utility Platform in shallow water (100m water depth) both bridge connected to each other. Production capacity: 12.75 MMSCMD (Cluster 2B free gas). 4) FPSO: 425m water depth, Turret mooring (permanent), Tandem offloading (stabilized oil). Production capacity: Oil 90,000 BOPD, Gas 3.8 MMSCMD, Water Injection 33,800 BWPD 5) Subsea Pipelines: i) Gas export pipeline: From Platform to Shore (cluster 2B free gas + cluster 2A associated gas). ii) iii) iv) Subsea pipeline from FPSO to Platform (Cluster 2A associated gas) Rich & Lean MEG pipelines between onshore MEG plant & Platform Subsea pipe lines network connecting Cluster 2B gas fields to the platform including Spur lines v) Subsea Pipe lines network connecting Cluster 2A Oil fields to the FPSO including spur lines, Water injection lines and Gas lift lines. 6) Onshore MEG Plant: Located onshore at Odalarevu, Andhra Pradesh. MEG regeneration capacity: 2800 m 3 /day (17,500BPD) of Rich MEG 1.3 Project Implementation: ONGC has planned for development of Cluster-II through the following major, but not limited to, contract packages; tendering process for which have been initiated: 1) Marine Surveys: Geo-Physical Surveys : Completed Met Ocean Studies : Contract awarded Geo-Technical Investigations : Contract awarded Geo-Mechanical Study : Contract awarded 2) Drilling & Bundled Services: Hiring of Drilling Rigs, hiring of Bundled Services to support Rig Operations, Well Completion and Testing for Production & Activation. 3) Subsea Production Systems (SPS): Procurement of SPS, other long lead items viz. subsea trees, UTA, SDU topside control system, manifolds through finalization of Frame Work Agreement. 4) Subsea Umbilical, Risers & Flowlines (SURF): EPIC contract for subsea pipelines, Umbilical, Umbilical associated items (UTAs, etc.), Risers, Flow lines, tie-in between wells, control systems and tie-back facility. 5) FPSO: Charter Hiring of FPSO for processing & offloading via Shuttle tankers evacuation O&M contract for 12. 6) Offshore Platform: EPC Contract through ICB tendering for Offshore Process Platform including export Pipeline (in shallow water) to Onshore Terminal. 7) Onshore Gas Terminal Works and MEG plant: EPC contract through ICB tendering. 8) Hiring of MSV: Installation of Subsea Tree & subsequent IMR activities. 9) Owners Engineering Consultant (OEC): Systems engineering and operability by ONGC / Owner s Engineering Consultant (OEC) 10) Project Management Consultant (PMC): Overall Project & Interface management 2.0 Scope of Work of Owner s Management Consultant: 2.1 In order to meet the targets of First Gas and First Oil as brought out at para.1.1 above, it is required that all the Project activities are planned, monitored, controlled and reported in a way so that the project is implemented as per agreed schedules and costs. To achieve the above, ONGC intends to appoint an Owner s Management Consultant, referred henceforth as OMC, having proven competencies in the areas of Project Management of Offshore Oil & Gas Projects, as detailed in the Scope of Work defined in this section. The OMC shall be required to assist ONGC's Project / PMO Teams and work in close coordination with ONGC s Project Management Consultants (PMC) [being hired separately] for close monitoring, control and progress & exception reporting of the Project to senior ONGC Management. OMC personnel may be required to serve in various ONGC offices / vendor premises / other Meeting locations anywhere in India. The Project Management Consultants (PMC) for the Project, as brought out at Sl. No. 1.3 Point no. 10) above, are being hired separately by ONGC. The PMC shall be responsible for overall Project and Interface Management with microplanning and coordination of all activities of all work packages on a daily basis to deliver the entire Project. 2.2 OMC shall be required to provide Project Management and Capability Assessment / Capability Building Support to ONGC as per the following Scope of Work but not limited to: Page 6 of 15

(i) Project Management Support: a. Project Planning & Review b. Project Risk Management c. Stakeholder Management - Internal and External d. Project Monitoring & Control and Progress Reporting e. Web Portal for real time reporting (ii) Capability Assessment and Capability Building Support 3.0 Deliverables for Owner's Management Consultant: Following is the broad list of deliverables, which is indicative but not exhaustive: 3.1 Project Planning & Review: Comprehensive Project Management Plan Global benchmarks on relevant contracting strategies Overall Global Supply Landscapes for different project activities Multi-level project plan / schedule capturing key project activities and milestones. Project Management Tools and Systems for modeling of interdependencies across different work modules/ contracts with validity of licenses during the contract period. Critical path on an ongoing basis at periodic intervals. Project Review and Monitoring Process Detailed key activity/milestone level trackers of all modules/packages of the project Mid-course correction and mitigation measures to ensure timely delivery of the project as per requirement Project Update Meetings / Reviews of Project Progress Implementation of ONGC s Stage Gate Project Management Process Mobilization of Domain experts for need based peer review and expert guidance. 3.2 Risk Management: Risk & Opportunity Identification, Mitigation & Response Plans at key activity / Milestone level Risk Management Plan at key activity/milestone level. Review of Risk Management Plan at regular intervals as per project Management Plan. Timely reporting of imminent threats & opportunities. Page 7 of 15

3.3 Stakeholder Management: Stakeholder Management Plan Review of Stakeholder Management Plan at regular intervals Timely approvals through engagement with Executive Committee and top management Timely procurement and issue resolution through engagement with internal stakeholders such as Asset, Drilling / Well / Engineering Services, Institutes, MM and Finance etc. Platform/Provision for seamless interaction of Project team and PMO with contractors of various modules/packages of the project Facilitation of liaising with MoPNG and DGH for alignment and timely approvals 3.4 Project Monitoring & Control and Progress Reporting Tracking and monitoring of Tendering activities for early issue identification, mid-course corrections, and timely approvals. Forecasting of future performance with the use of software tools in order to effectively manage the project schedule and cost. Identification of the potential problems / setbacks w.r.t. cost, quality & schedules of overall project and suggestion of remedial actions. Project Update Meetings / Reviews of Project Progress at various levels Templates for Schedule & progress reporting / risk management / Stakeholder management and Interface & exceptions reporting. Communication Management Plan to facilitate real time flow of information to relevant offices. Generation, Communication and archiving of Reports and Alerts as per Communication Management Plan. 3.5 Web Based Project Management Portal: A new web portal to ensure real time progress / exception reporting with capability of issuing suitable alerts through e-mail / sms for timely intervention by the senior management.. Regular updation of the portal using the latest project management software tools by the OMC and other inputs from the Project Team / PMC. Relevant Project Management Tools / Software / hardware etc. and maintenance of the same at ONGC premises for the entire duration of this contract. A minimum of 6 licenses of the relevant Project management Tool / Software with validity for entire contract period Training to ONGC officers working on the project on relevant Project Management Tools. 3.6 Capability Assessment and Capability Building: Identification of Capability Gaps in the project organization Mobilization of Domain Experts to best address the identified capability gaps Platform for knowledge sharing/technology partnership with global E&P operators and other stakeholders to bridge the capability gap Trainings and exposures to the project organization for institutionalization of global best practices in project delivery and enhancing project management competency in ONGC Trainings and exposures to the project organization by global technical experts on various areas such as Deep Water development, sub-sea architecture, sub-sea installation, Advanced Project Management tools etc. Page 9 of 15

Experience of less than 6 months shallwill not be counted while arriving at total experience. Bidders to provide details as per Table-1 along with supporting documents. The bidder should have completed at least one Contract in last 10 (as on the date of issue of notice by ONGC seeking documents meeting the Pre-qualification criteria from different known service providers) in providing Management Consultancy Services in execution of Offshore Oil & Gas Project(s) involving subsea completions / FPSO / SURF. Experience of less than 6 months in a single assignment will shall not be counted. ii Experience of Key Personnel 25 a Global Project Management Expert: Minimum 15 Project Management Experience in Oil & Gas Project(s) out of which at least 10 (as on the date of issue of notice by ONGC seeking documents meeting the Pre-qualification criteria from different known service providers) experience should be in Project Management of Offshore Oil & Gas Project(s) involving subsea completions/ FPSO / SURF. The expert should be minimum Engineering / Management graduate. Bidder to provide details as per Table-3 along with supporting documents. 17 Experience of more than 20 b c Project Lead: Minimum 7 Project Management Experience out of which atleast 03 (as on the date of issue of notice by ONGC seeking documents meeting the Pre-qualification criteria from different known service providers) experience should be in Project Management of Offshore Oil & Gas Project(s)involving subsea completions/ FPSO / SURF. The Project Lead should be minimum Engineering / Management graduate. He should be familiar with Industry Standard Project Management Softwares viz. Primavera / Microsoft Project, etc. Bidder to provide details as per Table-4 along with supporting documents. Existing contracts in operation for more than one (01) which are not yet completed on the date of issue of notice by ONGC seeking documents meeting the Pre-qualification criteria from different known service providers, against which customers / bidder have certified satisfactory performance of such contracts, shall also be considered meeting requirement of clause no. 2.1.(a).(i).(a) above. Similarly, period of such contracts prior to the date of issue of notice by ONGC seeking documents meeting the Pre-qualification criteria from different known service providers, shall be considered as part of their experience in relation to clause 2.1.(a).(i).(a) based on satisfactory performance certificate from clients/self- certification of bidder. 3. Contract(s) awarded prior to 10 as on the date of issue of notice by ONGC seeking documents meeting the Pre-qualification criteria from different known service providers, which have run at least 1 in last 10, shall be considered meeting requirement of the clause 2.1.(a).i.(a) based on satisfactory performance certificate from the client(s)/self-certification by bidder. Similarly contracts awarded prior to 10 as on the date of issue of notice by ONGC seeking documents meeting the Pre-qualification criteria from different known service providers, but extending in portion of these 10, shall be considered as part of their experience towards requirement of clause 2.1.(a).(i).(a) on satisfactory performance certificate from their client(s)/selfcertification of the bidder. Bidder to furnish the CVs of the personnel to be deployed duly certified by the CEO/Country Head of their company to be submitted along with the bid in the format given in Table-3,4 & 5 respectively. 2.1 (b) In case the bidder is an Indian company/ Indian Joint venture company, the Indian company/ Indian Joint venture company or its technical collaborator/ joint venture partner should meet the criteria laid down at 2.1.(a).(i). 2.2 Details of experience and past performance of the service provider and the collaborator (in case of collaboration) or of joint venture partner (in case of a joint venture), on works/ jobs done of similar in the past and details of current work in hand and other contractual commitments (along with personnel proposed to be deployed), indicating areas and clients are to be submitted in the table given at Annexure 3 along with their request for issue of Tender Document, in support of the experience laid down at para 2.1(a) and 2.1(b) above. 2.3 In case the service provider is a consortium of companies, the following requirement should be satisfied by the service provider: a. The leader of the consortium should satisfy the minimum experience requirement as per para 2.1.(a) above. b. The leader of the consortium should confirm unconditional acceptance of full responsibility of executing the Scope of work of this tender. This confirmation should be submitted along with the techno-commercial bid. c. All the members of the consortium must undertake in their MOU that each party shall be jointly and severally liable to ONGC for any and all obligations and responsibilities arising out of this contract. 2.4.(a) Indian companies/ Joint Venture companies :- Indian bidders whose proposal for technical collaboration/ Joint Venture involves foreign equity participation or payment of royalty and / or lumpsum for technical know-how and wherever Govt. approval is necessary, are required to submit copy of Govt. approval, on their application submitted to SIA, prior to the date price bid opening. 2.4.(b) Bidders should submit Memorandum of Understanding (MOU) / Agreement with their technical collaborator/joint venture partner (in case of Joint venture) clearly indicating their roles under the scope of work. 2.4.(c) MOU/ Agreement concluded by the bidder with technical collaborator/ joint venture partner (in case of joint venture), should also be addressed to ONGC, clearly stating that the MOU /Agreement is applicable to this tender and shall be binding on them for the contract period. Notwithstanding the MOU/Agreement, the responsibility of completion of job under this contract will be with the bidder. 2.5.
