The following were present: Regents Sealy (Chairman), Warren (Vice-Chairm-n), Darden, Oates, Rockwell, Swenson, Tobin and Woodwa ~d; Chancellor Hart, Vice-Chancellor for Business and Finance Simmons, Assistant to the Chancellor Granberry; Acting President Dolley; ConsultimgArchitect Lemmon; Mr. Jack G. Taylor; Mr. C. H. Sparenberg; Dr. R. Lee Clark, Jr.; Mr. E. N. Capple,~n; Director of News and Information Service Keys; and Secretax-j Stewart. Mr. Voyles was unable to attend the meeting because of illness. EMPLOYMENT OF MR. CHARLES H. SPARENBERG AS COMPTROLLER AND MR. JACK G. TAYLOR AS ENDOWMENT OFFICER.--Chairman Sealy reported to the Board that the Special Committee appointed by former Chairman Woodward, consisting of Mr. Sealy, Chairman, Mr. Woodward and Chancellor Hart, had reviewed the duties and responsibilities of the Vice-Chancellor for Business and Finance, Mr. Carroll D. Simmons, whose resignation has heretofore been accepted effective at the close of business on January 31, 1953, and that the Committee was ready to report. Chancellor Hart reported for the Committee the following recommendations: (i) That effective January 13, 1953, Mr. Charles R. Sparenberg be employed as Comptroller of The University of Texas at an annual salary of $12,500. (2) That effective January 13, 1953, Mr. Jack G. Taylor be employed as En~ent Officer of The University of Texas at an annual salary of $12,500. (3) That effective at the end of January 31, 1953, the position and title of Vice-Chancellor for Business and Finance of The University of Texas be abolished. (4) That effective January 13, 1953, the duties of the Comptroller of The University of Texas shall be as follows: (a) He shall be the chief business officer of The University of Texas in charge of the following areas of administration, in which he shall report and be responsible to the Chancellor: i. Accounting, auditing, reporting and budgetary ~rol 2. Receipt, disbursement and custody of moneys. 3. Procurement and purchasing of materials and empp~les. 4. Operation and maintenance of physical plant. 5. Administration of construction of new buildings and other permanent improvements, and in this connection he shall perform all duties conferred on the Vice-President and Comptroller of The Unlversitv~ of m~ ~ by ~".~-~ dated October 30, 19~8 between the Board of Regents of The University of Texas and Mr. Mark Lemmon, Consulting Architect; and he shall be an exofficio member of the Faculty Building Committee of each institution within The University of Texas. 6. Management of auxiliary and service enterprises. 7. Adm~uistration of staff benefit programs i~ ludlng Workmen's Compensation. (b) He shall act Jointly with the chief executive officer of each institution within The University of Texas in nominating to the Chancellor for consideration by the Board of Regents a business officer for each such institution, and -1-

He, acting jointly with the chief executive officer of each institution, shall have the right to remove any branch business officer or such auditor for cause, subject to the approval of such action by the Chancellor and the Board of Regents. 296 i (c) The Comptroller shall have direct supervision of those business f~tloms at the Main Unlyersity which were assigned to the Vice-President and Comptroller under the resolution adopted April 28, 1950, relating to the adminlstratl v~ reorganization of The U~iversity of Texas, and as to all such functions, the Comptroller shall report and be responsible to the President of the Main University. (5) That effective January 13, 1953, the duties of the Endowment Officer of The University of Texas shall be as follows: (a) He shall be the chief business officer of The University of Texas in charge of the following areas of administration, in which he shall report and be responsible to the Chancellor: i. The investment of all funds belonging to The University of Texas. 2. The management and administration of all endowment properties of The University of Texas including University Lands. 3. The administration, management and investment of trust funds and other properties held in trust by the Board of Regents of The University of Texas. 4. The issuance of bonds or other evidences of indebtedness of The University of Tex~s which may be authorized by law. Chancellor Hart presented the following resolutions concerning the duties of the Comptroller and of the Endowment Officer of The University of Texas: 1. BE IT RESOLVED, by the Board of Regents of The University of Texas that Mr. Charles R. Sparenberg, Comptroller of The University of Texas, be and he is hereby designated, authorized and empowered to ask, demand, sue for, collect, recover, and receive any and all sums of money, debts, dues, rights, property, effects or demands whatsoever due, payable, or belonging, or which may at any time hereafter be or become due, payable, or belonging to The University of Texas or to the Board of Regents of The University of Texas or to any of the trust funds coming under the control of The University of Texas from any person or persons whatsoever and to execute any and all necessary or proper receipts, releases, and discharges therefor. 2. RESOLVED by the Board of Regents of The University of Texas that Mr. Charles H. Sparenberg, Comptroller, be and he is hereby authorized, effective January 13, 1953, to sign all reports, applications for payment, and any and all other papers required to be furnished to the Texas State Department of Health or to the United States Public Health Service in connection with construction grants for Project Texas-63, M. D. Anderson Hospital for Cancer Research, Houston, Texas, and Project Texas-lO0, The Rosa and Henry Ziegler Hospital, Galveston, Texas. 3. WHEREAS, Under the terms of a deed by Mike Hogg, Independent Executor of the Estate of W. C. Hog, deceased, to the Board of Regents of The University of Texas, dated July i, 1939, and accepted by said Board of Regents on July 15, 1939, said deed having been filed in Harris County, Texas, on July 20, 1939 "_-a recorded in Volume 1127, page 463 of -2-
JAN 10 1953 the Deed Records of Harris County, Texas, there was conveyed to said Board of Regents various securities and properties including various mineral rights and royalty interest, and 297 i f' WHEREAS, in effecting delivery of said properties to said Board of Regents it is necessary to execute various division orders and transfer orders and other instruments; NOW THEREFORE BE IT RESOLVED, by the Board of Regents of The University of Texas that Mr. Jack G. Taylor, Endowment Officer of The University of Texas, be and he is hereby authorized and empowered to execute any and all such division orders, transfer orders, and other instruments in connection with the transfer to said Board of Regents of The Un~verslty of Texas of said mineral rights, royalty interests, or other properties, and said instruments when executed by said Jack G. Taylor are hereby declared to be the act and deed of said Board of Regents of The University of Texas. ~. BE IT RESOLVED, by the Board of Regents of The University of Texas that Mr. Jack G. Taylor, Endowment Officer of The University of Texas be, and he is hereby, authorized to give notice on behalf of the Board of Regents of The University of Texas, in their capacity as such or in their capacity as trustees under any trust, of the Board's intention to withdraw shares or investments in any building and loan or savings and loan association and to endorse on behalf of the Board of Regents any certificate or certificates of share ownership or other documents in connection with the liquidation of such investments. 5. BE IT RESOLVED, by the Board of Regents of The University of Texas that Mr. Jack G. Taylor, Endowment Officer of The University of Texas, is hereby authorized and empowered to sell, assign, and transfer any and all of the bonds, stocks, notes, and other evidences of indebtedness and ownership now or hereafter registered in the n~me of The University of Texas, the Board of Regents of The University of Texas, or in the name of any of the trust and special funds coming under the control of The University of Texas or which now or hereafter be assigned thereto. 6. BE IT RESOLVED, by the Board of Regents of The University of Texas that Mr. Jack G. Taylor, Endowment Officer of The University of Texas, be and he is hereby authorized to execute and deliver permits for the use of water from water wells on University lands to be drilled in drilling oil wells on non-unlversity lands on the basis of payments at the rate of $500 per oil well drilled, payable cash in advance. 7. BE IT RESOLVED, by the Board of Regents of The University of Texas that Mr. Jack G. Taylor, Endowment Officer of The University of Texas, and Mr. Jesem James, Treasurer of the State of Texas, are hereby Jointly authorized and empowered to sell and assign any and All United States Bonds of any description now or hereafter registered on the books of the Treasury Department in the name of The University of Texas or which now or hereafter maybe assigned to it; AND IT IS FtRTHERRESOLVED s that any and all assignments of United States Bonds registered in the name of, or assigned to, The University of Texas heretofore or hereafter made by the above named officers are hereby ratified and confirmed. BE IT RESOLVED, by the Board of Regents of The University of Texas: (l) (2) That the redemption of United States Savings Bonds held as investments for any of the bond funds of Dormitory Revenue Bonds issued by the Board of Regents of The University of Texas is hereby authorized at any time when the proceeds thereof may be needed for the payment of maturing interest or principal on said Revenue Bonds; and That M~. Jack G. Taylor, Endowment Officer of the University, is hereby authorized and empowered to endorse any or all of said savings bonds for redemptlon and to take any other steps necessary in connection therewith. Chancellor Hart further recommended that the Board authorize the appointment of the Chairman of the Board of Regents and the Chancellor to act as a committee in consultation with the President of the Main University and the Comptroller to select the Business Manager for the Main University. Upon motion by Mr. Woodward, seconded by Mrs. Tobin, the Board approved the recommendations and adopted the resolutions herein above set forth. CONTINUATION OF APPOINTMENT OF MR. EDWIN B. PRICE AS HEAD FOOT- BALL COACH.--chancellor Hart presented with his approval a recommendation by Acting President Dolley and the Athletic Council that Mr. Edwin B. Price be continued in the position of Head F~otball Coach and that he be given a contract for a five-year period beginning January i, 1953, through December 31, 1958, at an annual salary of $12,500. Upon motion by Mr. Swenson, seconded by Dr. Oates, the Board approved the recommendation. SUMMER SESSION BUDGET FOR 1953, MAIN UNIVERSITY.--chancellor Hart presented with his approval a recommendation by Acting President Dolley that the Board approve the Summer Session Budget for 1953 for the Main University. MEETING DATES OF THE BOARD OF REGENTS.--Chancellor Hart recommended that the following dates be set for the next four regular meet~ of the BoaTd of Regenta for 1953: February 6 and 7 - Austin March 27 and 28 - Houston and Galveston May 29 and 30 - Austin July 17 and 18 - Austin Upon motion by Mr. Rockwell, seconded by Dr. Oates, the Board approved the above listed dates. MR,. JACK G. TAYLOR APPOINTED ASSOCIATE PROFESSOR IN DEPARTMENT OF FINANCE, INSURANCE AND REAL ESTATE.--Chancellor Hart presented with his approval a recommendation by Acting President Dolley and Dr. W. R. Spriegel, Dean of the College of" Business Administration, that Mr. Jsck G. Taylor be appointed Associate in the Department of Finance, Insurance and Real Estate, effective February i, 1953. Upon motion by Mr. Woodward, seconded by Mrs. Tobin, the Board approved the recommendation. POSTGRADUATE SCHOOL OF MEDICINE RESIGNATION OF DR. R. L. PULLEN AS DEAN OF POSTGRADUATE SCHOOL OF MEDICINE.--Chancellor Hart reported to the Board that he had received a telegram from Dr. R. L. Pullen, Dean of the Postgraduate School of Medicine, in which Dr. Pullen requested that his resignation be accepted. Dr. Pullen stated that he was accepting the Deanship of The University of Miaaouri~. School of Medicine. Chancellor Hart explained that the date of resignation of Dr. P~Lllen had not been set but that it would be worked out and reported to the Board at the next meeting. i
JAN l O Io53 BUILDING CO~41TTEE MATTERS.-- REVISION OF ASSOCIATE ARCHITECTS' CONTRACTS.--Vice-Chancellor for Business and Finance Simmons presented a recommendation by the Regents' Building Committee that the Board approve a revised form of Associate Architects' Contracts and that this revised form of contract be used with the three firms designated at the last meeting of the Board of Regents for the Lay Graduate Dormitory, Men's Dormitory and Cafeteria and the Women's Dormitory, and for other University work in the immediate future. The main provisions of the present form of contract and the present rate of 5% are to be continued but certain changes are to be made providing for approval by the owner of the person proposed as Clerk-of-the-Works and the time he is to be kept on the Job. The Committee further recom-~nded that Mr. Woodward be appointed as a committee of one to prepare the revised form of contract in llne with the recommendations made. Upon motion by Mrs. Tobln, seconded by Mr. Swenson, the Board approved the recommendations and requested Mr. Woodward to report to the Board at its February 6 and 7, 1953, meeting. DENTAL BRANCH 299 I APPROVAL FOR MANHATTAN CONSTRUCTION COMPANY TO STORE MATERIALS IN COMPANY-OWNED WAREHOUSE, DENTAL BRANCH BUILDING PROJECT.--Vice-Chancellor for Business and Finance Sirmons presented a recommendation by the Regents' Building Committee that the Board of Regents grant a request by Manhattan Construction Company, General Contractor for the Dental Branch Building, for approval of the company-owned warehouse at 90!ngraham Street, Houston, Texas, as a storage warehouse for materials and equipment for the Dental Branch Building and for the right to include such materials so stored in progress paymeut estimates on the same basis as is provided in the contract for materials stored on the job site. This approval is subject to the requirement that the contractor execute a formal transfer of title to such equipment so stored and that the Owner be furnished with satisfactory evidence of insurance coverage of such materials. The Architect is to be charged with the responsibility of verifying the items and quantities of such material so stored each month in connection with his certification of each monthly progress report which includes such stored materials. Upon motion by Mrs. Tobln, seconded by Dr. Oates, the Board approved the recommendation. MEDICAL BRANCH APPROVAL OF PLANS AND SPECIFICATIONS FOR X-RAY EQUIPMENT, THE ROSA AND HENRY ZIEGLER HOSPITAL.--Vice-Chancellor for Business and Finance Si~,ons presented a recommendation by the Regents' Building Committee that the Board approve revised plans and specifications on X-Ray equipment at The Rosa and Henry Ziegler Hospital, subject to any necessary minor changes by Kenneth Franzheim, Associate Architect, and that authorization be given to call for bids on this equipment as soon as possible. Upon motion by Mr. Rockwell, seconded by M~. Darden, the Board approved the recommendations. MAIN UNi-v~ER S ITY REPCRT OF PROGRESS OF PRELIMINARY PLANS ON DORMITORIES, MAIN UNIVERSITY.--Vice-Chancellor for Business and Finance Simmons reported for the Regents' Building Committee the progress that has been made on the preliminary plans for the Law Graduate Dormitory, Men's Dormitory and Cafeteria and the Women's Dormitory at the Main University, and requested Consulting Architect Lemmon to continue work on preliminary plans and specifications and report back to the Board at its meeting on February 6 and 7, 1953. Upon motion by Mrs. Tobin, seconded by ~2. Swanson, the Board approved the report. MEDICAL BRAL~H TENTATIVE ALLOCATION OF LOAN FROM THE HOt'SING AND HOME FINANCE AGENCY, MEDICAL BRANCH.--Vice-Chancellor for Business and Finance Simmons presented a report by the Regents' Building Committee that the Housing and Home Finance Agency had notified Mr. Capplem-- that there was a possibility of getting approval of the Galveston loan application to the extent of an -5-

Mr. Cappleman had answered by designating the Residents and Internes Apartments, Dormitory for Women Medical Students, Dormitory for Nursing Students, and Dormitory for Internes and Residents, total estimated cost of the four buildings as set out in the application being $i,167,390.00. The Committee recommended that this action by Mr. CapplemAn be ratified and approved and that Consulting Ax.chitect Lemmon proceed with the com-. pletion of the preliminary plans for these particular units, and if possible to complete said plans by the Regents' meeting of February 6 and 7, 1953. Subject to receipt of formal allotment of funds and satisfactory preliminary plans, the Board would expect to designate associate architects for the project at the February 6 and 7meeting. Upon motion by Mrs. Tobin, seconded by Mr. Swenson, the Board approved the Committee's recommendations.
