The transaction is subject to regulatory approval in Germany and Austria. The deal is part of a strategic partnership between Thomas Cook and LMEY Investments, which will allow both companies to further invest into vacation clubs and hotel complexes. Aldiana currently operates eight club resorts located in Spain, Greece, Cyprus, Tunisia and Austria. Upon completion of this transaction, Thomas Cook will enlarge its portfolio to 190 hotels and resorts in 17 countries worldwide. VISCHER advised Thomas Cook as Swiss counsel. Proceeds are intended to be used for the Company's acquisition of CLS Communication in Switzerland and related companies. Upon the closing of the Company's acquisition of CLS Communication the facility will among other be secured by a pledge related to this entity. Helvetia Insurance Company chooses BNP Paribas as new global custodian VISCHER advised SIX Swiss Exchange listed insurance company Helvetia in connection with the restructuring of its multi-billion portfolio, specifically in relation to the election of BNP Paribas as new global custodian (including the negotiation of the global custody and service level agreements). The firm's more recent assignments included advice related to the collocation plan, the collection of claims and support of the liquidator in its negotiations with third party and intra group creditors, including the parent company Lehman Brothers Holding Inc. and Lehman Brothers International (Europe) (in administration), the largest European affiliate. Acquisition of Oclaro Switzerland GmbH VISCHER advises II-IV Incorporated (NASDAQ listed), a manufacturer of optical and opto-electronic components and telecommunications applications, in the acquisition of Oclaro Switzerland GmbH, a supplier of laser diodes from Oclaro, Inc (also NASDAQ listed). Equistone acquires OX Group VISCHER represents funds advised by Equistone Partners Europe in a secondary buyout of OX Holding AG which owns various companies in the areas of outsourcing solutions and outsourcing special staffing services for the tourism industry and other sectors. Advises sellers of Axeon Group acquired by Johnson Matthey VISCHER advises the shareholders, Ironshield ABS Limited and management on the Swiss law aspects of the 40.6 million sale of the Axeon Group, that focuses on the design and manufacture of large-scale high voltage automotive grade battery systems for electric and hybrid electric vehicles and batteries for mobile power products as well as high performance battery packs for the professional cordless power tools and electric bike markets, to Johnson Matthey.
