Paris, June 24, 2014 - All resolutions approved by the Shareholders Meeting - Vincent Bolloré Chairman of the Supervisory Board - New Management Board: Arnaud de Puyfontaine (Chairman), Hervé Philippe and Stéphane Roussel Vivendi s Shareholders Meeting, held today in Paris, approved at close to 90% all 18 proposed resolutions with a quorum of 57.44%. Shareholders approved, amongst other resolutions, the appointment of three new Supervisory Board members: Philippe Bénacin, Katie Jacobs Stanton and Virginie Morgon. The Board counts 13 members, including an employee shareholder representative, and will shortly be joined by an additional member representing the Group s employees, in accordance with French law. The Shareholders Meeting also approved the distribution of 1 per share from the share premium account and a payment date of June 30. Vivendi s Supervisory Board, which convened following today s Shareholders Meeting, appointed Vincent Bolloré as Chairman. The Board also appointed Pierre Rodocanachi as Vice-Chairman and Jean-René Fourtou, who has chaired the Group since 2002, as Honorary Chairman. It appointed Daniel Camus Chairman of the Audit Committee and Philippe Bénacin Chairman of the Corporate Governance, Nominations and Remuneration Committee. The Supervisory Board also appointed three members on the Management Board: Arnaud de Puyfontaine (Chairman, replacing Jean-François Dubos), Hervé Philippe and Stéphane Roussel. Frédéric Crépin, currently Vivendi s Head of Legal, is appointed Group General Counsel and Company Secretary. Attached: biographies. Vincent Bolloré is the Chairman and Chief Executive Officer of the Bolloré Group. In 1970, he began his career as a representative at Banque de l Union Européenne before joining Compagnie Financière Edmond de Rothschild in 1976. In 1981, he became Chairman and Chief Executive Officer of the Bolloré Group and its paper business. Under Vincent Bolloré s management, the group became one of the world s 500 largest companies. As a listed company, the Bolloré Group holds a strong position in each of its businesses, which are organized into three Divisions: Transport and Logistics, Communication and Media, and Electricity Storage. The group also manages a long-term investment portfolio. Born in 1952, Vincent Bolloré holds a doctorate in law. Pierre Rodocanachi (Vice Chairman of the Supervisory Board) Pierre Rodocanachi is a member of Vivendi s Board of Directors, then Supervisory Board, since 2004. Pierre Rodocanachi began his career at the CNRS and managed the Planning department at the Bureau for Scientific and Technical Research for five years. Between 1969 and 1971, he served as Technical Consultant on Scientific Matters for the French Minister of Industry and was later Deputy Director of the National Agency for Research Valuation (ANVAR) and a Director of the CNRS. Pierre Rodocanachi currently chairs the Advisory Board of Booz & Co., an international strategy and management consulting firm in Paris, which he joined in 1973. Pierre Rodocanachi is a Director of several non-profit organizations, including the US Chamber of Commerce in France, where he was Chairman from 1997 to 2000, the Institut du Mécénat de Solidarité, of which he was both founder and treasurer, and the French review for corporate governance. Born in 1938, Pierre Rodocanachi holds a graduate degree in physics from the Faculté des Sciences of the University of Paris.

Jean-René Fourtou (Honorary Chairman) Jean-René Fourtou was Chairman and Chief Executive Officer of Vivendi from 2002 to 2005 before becoming the Chairman of the Supervisory Board. Jean-René Fourtou joined Bossard & Michel in 1963 as a consultant. In 1972, he became Chief Operating Officer of Bossard Consultants and, in 1977, Chairman and Chief Executive Officer of the Bossard group. In 1986, he was appointed Chairman and Chief Executive Officer of the Rhône-Poulenc Group. From December 1999 to May 2002, he served as Vice Chairman and Chief Operating Officer of Aventis. He is the Chairman of the Bordeaux University Foundation. Born in 1939, Jean-René Fourtou is a graduate of the École Polytechnique. Arnaud de Puyfontaine (Chairman of the Management Board) Arnaud de Puyfontaine has been a member of the Management Board and Senior Executive Vice President in charge of Vivendi s media and content activities since January 2014. Arnaud de Puyfontaine started as a consultant at Arthur Andersen and later on, in 1989, as project manager at Rhône-Poulenc. In 1990, he joined Le Figaro as Executive Director. In 1995, as a member of the founding team of the Emap Group in France, he headed Télé Poche and Studio Magazine, managed the acquisition of Télé Star and Télé Star Jeux, and started up the Emap Star Division before becoming Chief Executive Officer of Emap France in 1998. Chairman and Chief Executive Officer of Emap France in 1999, he served from 2000 to 2005 as Chairman of EMW, the Emap/Wanadoo digital subsidiary. In 2006, he was appointed Chairman and Chief Executive Officer of Editions Mondadori France and headed all digital business for the Mondadori Group in 2007. In 2009, he became Chief Executive Officer of Hearst UK. In 2011, on behalf of the Hearst Group, he led the acquisition of the 102 magazines of the Lagardère Group published abroad. He was later on appointed Executive Vice President of Hearst Magazines International before being appointed Managing Director Western Europe in 2013. Born in 1964, Arnaud de Puyfontaine is a graduate of the ESCP (1988), the Multimedia Institute (1992) and the Harvard Business School AMP program (2000). He is Chairman of ESCP Europe Alumni.

Hervé Philippe (Member of the Management Board, Chief Financial Officer) Hervé Philippe has been Chief Financial Officer of Vivendi since January 1, 2014. Hervé Philippe began his career with Crédit National in 1982 as business manager for company financing in the Ile-de-France region. He then joined the COB (Commission des opérations de bourse, stock market operations commission) in 1989 as manager of the sector including French companies registered on the official stock exchange list. From 1992 to 1998, he served as Head of the Operations and Financial Information Department. In 1998, he joined the Sagem group, where he served as Director of Legal and Administrative Affairs for Sagem SA (1998-2000), Administrative and Financial Director of Sfim (1999-2000), and Communications Director at Sagem SA (2000-2001). In 2001, he took over the position of Chief Financial Officer, becoming a member of the Board of Sagem SA in 2003. In November 2005, Hervé Philippe was named Chief Financial Officer and, in May 2010, Directeur Général Délégué of the Havas Group. Born in 1958, Hervé Philippe is a graduate of the Institut d Etudes Politiques in Paris and holds a degree in economics. Stéphane Roussel (Member of the Management Board) Stéphane Roussel has been Senior Executive Vice President at Vivendi since August 2013. Stéphane Roussel was appointed Chairman and CEO of SFR in June 2012 after serving as Vivendi s Senior Executive Vice President, Human Resources. Stéphane Roussel was previously SFR s Managing Director, Human Resources, from 2004 until 2009. From 1997 to 2004, Stéphane Roussel worked for the Carrefour Group. First, he was appointed Director of Human Resources for hypermarkets in France before becoming Director of Human Resources Development for the international business and then Director of Human Resources France for the whole of the Carrefour Group. From 1985 to 1997, Stéphane Roussel was employed by Xerox. Born in 1961, Stéphane Roussel is a graduate of the Paris College of Psychology (l Ecole des Psychologues Praticiens). Frédéric Crépin (General Counsel) Frédéric Crépin has been Senior Vice President, Head of the Legal Department, at Vivendi Group since August 2005. He was also appointed Secretary of Vivendi s Supervisory and Management Boards in August 2012. From 2000 to 2005, Frédéric Crépin acted as Special Advisor to the General Counsel and at the Legal Department of Vivendi Universal. Prior to joining the group, he was Attorney at Law and Associate at Weil, Gotshal & Manges LP in New York (1999-2000) and at Siméon & Associés in Paris (1995-1998). Born in 1969, Frédéric Crépin holds a Master degree in Anglo-American Law (LL.M.) from the New York University School of Law. He also graduated from the University of Paris II (Master in European Business Law) and Paris X (Master in Labor and Employment Law). Additionally, he has a Master in Public Affairs from the Institute of Political Sciences in Paris. Frédéric Crépin is Attorney at Law admitted to the Bars of Paris and New York. He is a member of the Bureau of the MEDEF Business Law Committee, the largest federation of employers in France.
