STEEL SPORTS IS A NEXT GENERATION ECOSYSTEM OF YOUTH SPORTS & FITNESS & WELLNESS BUSINESSES Sports are an early bond between parents & kids. Parents value the physical, social & emotional growth sports uniquely offer. Too often sports experiences for kids & families are inconsistent, negative, unsupportive & discouraging. Steel Sports is transforming the landscape of American youth sports & fitness by stressing quality, consistent & positive experiences in safe & fun venues. 5
YOUTH SPORTS & FITNESS LIFESTYLE TRENDS KIDS Millions of kids don t exercise. Over 70% kids stop playing organized sports by age 13. 1/3 of kids are obese by the third grade. Most high school kids don t play sports at all. PARENTS Parents are obsessed with sports success. They re pushing kids to get athletic scholarships. They re blocking potential with all that pressure. Sports experiences for their kids are inconsistent. 6
YOUTH SPORTS & FITNESS LIFESTYLE TRENDS COACHES Most youth sports coaches have no training. Too many coaches think winning is everything. Coaches are pushing competition over learning. Poor coaching = Kids don t want to play. Coaches often don t have the resources to get better. They push specialization instead of diversification. 7

THE STEEL SPORTS STORY Founded in 2011 by Steel Excel & Warren Lichtenstein Warren founded Steel Partners, a global diversified holding company in 1990. He is Executive Chairman of Steel Partners Holdings, L.P.; Chairman & CEO of Steel Partners, LLC. In 2009, Warren & his family moved from Aspen to the west coast where his 7 year old son began playing various youth sports including soccer, baseball, basketball, golf, tennis, swimming and skiing. Later that year, Warren was introduced to the world of sports after meeting LA Dodgers legend Tommy Lasorda. As an active dad, Warren was, for the first time, also discovering the American youth sports experience through his son s activities in traditional & action sports. First-hand he saw the good, the bad & the evil, inconsistencies in experiences & coaching, and knew that the youth sports experience needed to be fixed and transformed. 10
THE STEEL SPORTS STORY From an office in Dodgers Stadium he began to formulate a plan on how Steel Sports could go about transforming youth sports. He assembled a team of passionate young interns and executives who began to examine American youth sports from every conceivable perspective. It didn t take long to confirm that youth sports were fragmented, lacked quality standards & a business opportunity existed to make things right. Steel determined to start & fund a for-profit social impact organization to promote the lifelong enjoyment of sports & fitness & to enable kids to reach their potential. We chose a for profit business model to provide for sustainability. With considerable resources and a lifetime record of creating & building successful businesses, Warren began on the path to transform youth sports in America. 11
