Moderator Steve Calk Steve Calk is a Vice President of Ashton Partners Boston office and is focused on clients on the east coast across a variety of industries. Prior to joining Ashton Partners, Mr. Calk spent seven years as an Investor Relations Officer in the technology and telecommunications sector in Denver, including Intrado Inc. (now a division of West Corp.) and CSG Systems. In these assignments, Mr. Calk was responsible for all aspects of investor relations during critical periods of M&A, capital raising and restructurings. Prior to this, Mr. Calk spent almost a decade in investment banking with J.P. Morgan, CSFB and Lehman Brothers. In these positions, he worked in primarily on large-cap M&A advisory, corporate finance and syndicated lending in the media, telecommunications and technology sectors. He conducted financial analyses and valuation for M&A assignments, fairness opinions, equity offerings, convertible offerings and public and private debt offerings. Mr. Calk earned a BA in Philosophy and Economics from Columbia University and his MBA with a concentration in Finance from the University of Chicago. Mr. Calk is a member of NIRI and has presented at both regional and national conferences.
Panelist James Rutherfurd Mr. Rutherfurd is Executive Vice President of Veronis Suhler Stevenson and Managing Director responsible for fundraising, investor relations, marketing, press relations and the VSS funds' co-investment program. Mr. Rutherfurd led the Firm's efforts to raise VSS IV and VSS Structured Capital I. Mr. Rutherfurd joined VSS in January 1999 from JP Morgan & Co., where he served as a Managing Director in the Mergers & Acquisitions Group and Co- Head of JP Morgan's Media investment banking team. He was previously a Director in The First Boston Corporation's Media Group. Prior to First Boston, he was a corporate and securities lawyer at Rogers & Wells in New York. Mr. Rutherfurd has worked on private equity and investment banking transactions with companies across many segments of the Media industry, including newspapers, television, cable, magazines, radio, information services, Internet services and entertainment. Mr. Rutherfurd holds a JD from the University of Virginia School of Law and a BA from Princeton University.
Panelist David Fishman David Fishman joined Vector Capital as a Principal in 2006. Prior to joining Vector, David was a Managing Director at Goldman Sachs in the Mergers and Acquisitions area, focused primarily on technology and media transactions. David worked closely with senior management teams to analyze and execute a variety of strategic alternatives, including mergers, acquisitions, divestitures, and leveraged buyouts. In his time at Goldman, David led or participated in over 30 transactions worth an aggregate value of $120 billion, including transactions involving Microsoft, ebay, Adobe, IBM, Oracle and PeopleSoft. Prior to Goldman Sachs, David worked at J.P. Morgan & Co. where he was responsible for raising debt financing for the firm's corporate clients. His area of focus involves complex transactions involving public companies, including distressed and activist-led situations. David works with several Vector portfolio companies on M&A strategy and is on the Board of Directors of SafeNet. David has an MBA with Distinction from the J.L. Kellogg School of Management at Northwestern University and a BA with departmental honors in Economics from Duke University.
Panelist Gregg Lampf Gregg Lampf was named Director of Analyst Relations and Marketing Operations at SafeNet in May 2007 after the Company was acquired by private equity firm, Vector Capital. Mr. Lampf s tenure at SafeNet began in February of 2005 as Director of Investor Relations where he established the Company s investor relations program. As a result of his efforts, Mr. Lampf was the first non-senior executive tapped to present independently to the investment community and was recognized in 2006 as one of SafeNet s top 1% performers. His last actions as SafeNet s investor relations officer involved serving in a leadership role during the acquisition process. Mr. Lampf s efforts included specialized communication planning, media relations support, SEC document drafting and review, solicitation planning and execution and assisting in working through the logistical matters of the completed transaction. Mr. Lampf has nearly 15 years of investor relations experience. Prior to coming to SafeNet, Mr. Lampf was Assistant Vice President of Shareholder Relations at Susquehanna Bancshares, Director of Investor Relations at Aether Systems and Manager of Corporate Communications and Investor Relations at Martek Biosciences Corporation. Mr. Lampf established and implemented the investor relations programs at each of these companies. Mr. Lampf received a Bachelor of Arts in Speech Communications with a Minor in Economics from the University of Maryland.
