The boundaries of the District are described on Exhibit "A" attached hereto and made a part hereof. The District, pursuant to Chapter 190.009, Florida Statutes, is required to provide full disclosure of information relating to public financing and maintenance of improvements to real property undertaken by the District. This Notice is intended to furnish that information. Additionally, the reader should be aware that the information in this Notice is subject to change with the passage of time and that it is the intent of the District to periodically record amendments to this Notice. Further, the information contained in this Notice, although believed to be accurate, is of a concise and summary nature and should be used for informational purposes only. For additional information, please contact the Executive Director whose address is 8175 Lakewood Ranch Boulevard, Lakewood Ranch, FL 34202. POWERS: The District is a local unit of special purpose government with the statutory powers to finance, fund, plan, establish, acquire, construct, reconstruct, enlarge, extend, equip, operate and maintain systems, facilities and basic community infrastructure, including water management, drainage, roads, bridges, culverts, water supply, sewers, reuse/irrigation water, street lights, conservation and preserve areas, landscaped rightof-ways and additional infrastructure as further detailed in Chapter 190, Florida Statutes. INFRASTRUCTURE: Currently, the District is responsible for infrastructure in Lakewood Ranch COD 5 including but not limited to the following: Lakes and storm water management systems, including drainage culverts and control structures Roadway, traffic signage, curbing and sidewalks Common area landsca pe, monument signage and gazebo Access control

Conservation and preserve areas Entrance features, including landscape adjacent to such features Irrigation distribution system Potable water distribution and sanitary sewer (to the extent completed systems have not already been conveyed to Manatee County Utilities for ownership and operation) The District has funded the acquisition of this infrastructure by issuing its Series 2001 A/B Capital Improvement Revenue Bonds described elsewhere in this Notice. The 2001 A Bond was refinanced with the Lakewood Ranch Community Development District 5 Benefit Special Assessment Revenue Refunding Bonds, Series 2007. The District does not own nor is it responsible for the operation or maintenance of any parks or recreational lands or recreational facilities within Lakewood Ranch other than the Riviera gazebo. GOVERNANCE: The District is governed by a five member Board of Supervisors. The Supervisors are initially elected by the landowners. Their term in office varies, with three Supervisors having 2-year terms and the remaining two Supervisors having 4-year terms. In November of the 2nd. 4th and 6 1 h year of the District's existence, there are landowner meetings for the purpose of nominating and electing Supervisors to fill the expiring or vacant seats of Supervisors. Commencing in the 5th year of the District's existence and there being 250 registered voters residing in the District, two supervisor positions whose terms are expiring shall be filled by qualified electors (a resident-registered voter) who are elected only by the community's qualified electors. In the 8 1 h and subsequent biennial elections, all the Supervisors whose terms are expiring must be filled by qualified electors. Candidates for qualified elector Supervisors are required to file with the Manatee County Supervisor of Elections. In the event the community has not attained 250 qualified electors, Supervisors shall continue to be elected by the landowner election process. The current Board consists of, and all future Boards will consist of, Supervisors all elected by qualified electors and serving 4-year terms. MANAGEMENT: Management of the District is handled by an on-site Executive Director, and staff, located at Lakewood Ranch Town Hall, 8175 Lakewood Ranch Boulevard, Lakewood Ranch, FL 34202, whose phone number is 941-907-0202 and facsimile number is 941-907-0272. The legal counsel for the District is Andrew H. Cohen, Esquire, with the firm of Persson & Cohen, P.A., 6853 Energy Court, Sarasota, FL 34240. Official records of the District are kept and maintained at Town Hall. The District's engineering consultant is Dewberry Engineers, Inc., Sarasota, Florida. MEETING & RECORDS: All Supervisor meetings are open to the public and provide for public input/participation and are required to be advertised in advance in a newspaper having local circulation. Supervisor meetings, when needed, are typically held on the third Tuesday and Thursday of the month at Lakewood Ranch Town Hall, 8175 Lakewood Ranch Boulevard, Lakewood Ranch, Florida. Supervisors, as elected officials in the State, are subject to the State's "Government in the Sunshine Law" and various ethics laws, which require open meetings and filing of applicable financial disclosure forms. Also, consistent with Florida's public records laws, the records of the District are available for public inspection during normal business hours. The Financial Records of the District - 2 -

are audited annually by an independent audit firm experienced in governmental type accounting with the findings reported to the Board of Supervisors and the Auditor General of the State of Florida. BUDGETS: The District's fiscal year is October 1 through September 30, consistent with various other local units of government. Annually, on or before each June 15, the Executive Director is required to prepare a proposed budget for the ensuing fiscal year and to submit it to the Board of Supervisors for approval. The Board shall consider and approve the proposed budget at a regularly advertised meeting and set a place, time and date certain for a public hearing to consider the adoption of the budget. The notice of the public hearing must be advertised in the local newspaper for a period of two weeks with the first publication not fewer than 15 days prior to the date of the hearing. In some instances (an increase in assessment levels over the prior fiscal year, for example), but not all instances, the District may be required to mail written notices to all the property owners within the boundary of the District, advising the property owners of the public hearing. At the time and place designated in the notice, the Board shall hear all comments or objections to the budget as proposed and make any such changes as the Board deems necessary. At the conclusion of the public hearing, the Board shall adopt by resolution the final budget, which must occur prior to October 1. Upon adoption, the budget resolution is sent to the Manatee County Property Appraiser and Manatee County Tax Collector for inclusion in the real estate tax bills. The District's assessment levy is displayed in the non ad-valorem portion of the tax bills sent out by the County on or about November 1 of each year. ASSESSMENT LEVIES: The District imposes two non ad-valorem assessments on each property. One assessment is known as the General Fund assessment, which includes the administrative and operational expenses of the District. The other is a special assessment relating to the Capital Improvement Revenue Bonds and the repayment of the principal and interest due on the bonds. GENERAL FUND ASSESSMENT: The District has adopted a non ad-valorem assessment levy for Fiscal Year 2015-2016 in the amount of $2,477,580.62 allocated according to the assessment methodology on file with the District in order to fund the District's General Fund budget, pursuant to Resolution 2015-06. The District's general fund assessment levy may vary from fiscal year to fiscal year. DEBT SERVICE ASSESSMENT: The District has adopted a non ad-valorem assessment levy for Fiscal Year 2015-2016 in the amount of $398,987.16 allocated according to the assessment methodology on file with the District to fund the District's Debt Service Fund Budget, pursuant to Resolution 2015-06. The District's special assessment levy may vary slightly from fiscal year to fiscal year. PUBLIC FINANCING: As noted above, the District has issued its Series 2001 A/B Capital Improvement Revenue Bonds to construct District infrastructure. The Series 2001A Bond was refinanced in 2007 as the Lakewood Ranch Community Development District 5 Special Assessment Revenue Refunding Bonds, Series 2007. The subject bonds are tax - 3 -

exempt municipal bonds. The Series 2007 term bonds mature in May 2031 and carry a variable interest rate of 3. 750% to 4.600%, while the 2001 Series B had a term maturing in May 2011 and carried an interest rate of 6.00%. The repayment of the 2001 Series B bonds was the responsibility of the developer. The 2007 Series bond debt is apportioned to the residential and other assessable property within the community in accordance with the District's assessment methodology, with the annual principal and interest payments due on the debt appearing on the real estate tax bill and the responsibility of the property owner. As a prerequisite to the issuance of said bonds, the District has taken all steps in order to issue tax exempt special assessment bonds. This includes adopting a Special Assessment Resolution, Bond Validation, Public Hearing on Special Assessments, and approval of an Engineer's Report and Assessment Methodology.
