See id.111145, 160; WHEREAS Mr. Schafer resigned from the Scottish Re board prior to the Offerings, and has represented that he was not, in any capacity, involved with the Offerings; NOW, THEREFORE, IT IS HEREBY STIPULATED AND AGREED, by and between the undersigned parties, by and through their respective counsel, that:
