CEO James E. Carter, Jr. CEO We are a highly specialized group of people, and we provide a niche service in transportation and traffic engineering. We plan on keeping it like that. Having worked together at a national engineering firm previously, when that engineering firm began to reduce its transportation operation in Michigan, we saw that as a crazy good opportunity to not only maintain our niche, but also provideaservicethatisnotreadily available here or in the Midwest. James Carter President Has over twenty three years of progressive and responsible engineering experience. James is responsible for soliciting clients, marketing, promotion, and all daily aspects of running the business. He also serves as the Chief Engineer, Project Director, and Principal Manager on several of C & A Engineers projects. James graduated from Michigan State University in 1994 with a Bachelor of Science degree in Civil Engineering. Following graduation in 1994, James worked for the Michigan Department of Transportation on a variety of engineering and planning projects. 1999, James went to work for OHM Consultants in Livonia Michigan, where he worked as a Project Manager. From 1999 to 2008, James worked for AECOM Technical Services (AECOM), as a Project Manager, were he gained valuable project management, financial performance and tracking experience. In 2008, James was promoted to Operation Manager for AECOM s Michigan Transportation Business Line, were he was responsible for management of 42 individuals, and oversight of a $12.8 million a year operation. James also was responsible for gross and net service revenue operation forecasting, business development and growth strategic planning.
Leadership Team Shaukat A. Alvi, Co Owner, Vice President, has over 33 years of engineering experience. Alvi, graduated from National University of Sciences and Technology (Pakistan) in 1989. Following graduation worked for the Corps of Engineers on a variety of building and structural engineering projects. In 2004, he received a Master s of Science degree in Civil Engineering from Michigan State University. In 2009, he was appointed as the Director of the Defense Housing Authority (DHA) for the City of Karachi, Pakistan. Where, he oversaw the master planning, business management, engineering design, formation of teams for client, consultants, and contractors for all DHA developments throughout the city. In 2011, he was appointed as the Director of Operations for the Zulfikarabad Development Authority of Karachi, Pakistan. Gary D. Taylor Board of Directors, servesas Advisor to CEO and is member of the Board of Directors for C & A Engineers. Gary was the Chief Engineer and Deputy Director for the Bureau of Highways for the Michigan Department of Transportation. He was responsible for five central office divisions including design, construction, real estate and maintenance. He received both his bachelor's and master s degrees in civil engineering from the University of Michigan and began working for MDOT in 1971. Gary, also served as the Vice President and Business Unit Manager for the Michigan offices of AECOM from 2004 to 2008. He is also the Chairman of the Subcommittee (of the TRB LTPP Committee) on Product Development and Delivery. Julian J. Darden Operations Manager, Julian began his career in the banking industry with National City Bank/First of America where he served as a Community Lending Officer until 1999. In a relatively short time, Julian s business acumen had put him in the forefront of the banking industry. His strong work ethics and leadership skills not only allowed him to advance expeditiously, but also secured his position with Citizens Bank as the Vice President of Commercial Lending. Julian has been responsible for originating and managing hundreds of millions of dollars of loan transactions in his career. Julian is responsible for assisting the CEO in overseeing the overall operations of the company and for soliciting business from developers and commercial clients.

How We ll Use Your Investment Seeking equity Investors These funds will last about one year Funds will be devoted to organic growth, working capitol, marketing and business development
Transaction Structure & Investor Exit Strategy Quasi debt instrument for a % (proportionate to amount invested) equity sharing in the company. Due to our DBE and SBA 8(a) certifications and state licensing requirements the equity investment will be treated as a loan. % (based on investment amount) of a net profit generated from the business for a period up to 5 years. At the end of 5 years or any time prior to that date the firm may repay the loan, along with a 20% return. If the loan exceeds 5 year mark the return will be increased 3% each year maxing out at 50% at year ten (10). The loan will also begin to accrue interest at a rate of 4% after year five.
