Katten Shanghai Office TEAM FENG XUE Feng Xue, Chair of Katten s Asia/China Practice and Managing Partner and Chief Representative of the firm s Shanghai office, concentrates on private equity, mergers and acquisitions, securities regulations, and general corporate transactions, with an emphasis on China-related investment transactions. Mr. Xue has worked with major international law firms in Chicago, Shanghai and Beijing, and has extensive experience in a wide variety of the legal issues that affect investing in China. He has negotiated and documented the establishment of numerous joint ventures, wholly foreign owned enterprises (WFOEs) and distribution/franchise relationships, as well as cross-border acquisitions in China in a variety of industries. Increasingly, his practice consists of representing Chinese companies in their acquisition and expansion efforts overseas. Mr. Xue sits on the boards of directors of several Chinese companies and serves as general counsel to dozens of private equity funds and technology companies doing business in China. Also a seasoned practitioner of corporate law in the United States, Mr. Xue focuses his U.S. corporate practice on complex merger and acquisition transactions, securities offerings, middle market buyout fund acquisitions and venture capital investments. An experienced writer, he co-wrote Laws of the People s Republic of China, Volumes III, IV, and V, published by China Science Press, and Western Corporate Laws, published by China Law Press. GEOFF AUYEUNG Geoff AuYeung is a partner of the firm and a Registered Representative of the Shanghai office. Mr. AuYeung concentrates his practice in the area of corporate finance, with a primary focus on the representation of lenders and borrowers in single bank and syndicated secured lending transactions. JOHN XIA John Xia is a Senior China Counsel at Katten s Shanghai office. Mr. Xia is fluent in both English and Chinese and his practice areas include foreign direct investment, mergers and acquisitions, and regulatory and compliance matters in relation to operation of foreign invested enterprises in China. He specializes in setting up wholly foreign owned enterprises, joint ventures and their branches in China, negotiating and drafting documents for cross-border mergers and acquisitions, corporate restructuring and liquidation, and he regularly represents multinational companies in handling China legal matters in relation to corporate governance, commercial contracts, labor and employment, and dispute resolution. SHAUN XIN GAO Shaun Xin Gao is a Senior China Counsel at Katten s Shanghai office and is fluent in both English and Chinese (Mandarin and Shanghai dialect). Working across the IT and telecoms, advertising and broadcasting, clean and renewable energy, education, new media, retailing and franchising, and traditional manufacturing sectors, Mr. Xin Gao specializes in fund formations, private equity/venture capital investment transactions and related mergers and acquisitions transactions. MIN LI Min Li is an associate in our Shanghai office and focuses her practice in the areas of commercial and corporate law. Ms. Li has extensive experience assisting clients in setting up representative offices, wholly foreign owned enterprise subsidiaries, joint ventures and other forms of operations in China, as well as various intellectual property matters in China. Ms. Li also has assisted many Chinese companies in setting up their operations in the United States. Ms. Li earned her Master of Laws from Dalian Maritime University of China, and her Master of Financial Services Law from Chicago Kent College of Law. JIA FEI Jia Fei is a China legal consultant in our Shanghai office. She is fluent in both Chinese and English.
