In addition, Mr. Dwek and SEM Realty have filed cross-claims for indemnification and contribution against their co-defendants in the New Jersey Action. 5. The claims and cross-claims against Mr. Dwek and SEM Realty may affect the administration of their respective bankruptcy estates. Furthermore, Mr. Dwek s and SEM Realty s cross-claims against their co-defendants properly belong to their respective bankruptcy estates. Resolution of the New Jersey Action will directly impact the assets available for distribution to the creditors of Mr. Dwek and SEM Realty. Accordingly, the claims in the New Jersey Action are directly related to the Dwek Bankruptcy and the SEM Realty Bankruptcy. Therefore, the New Jersey Action is a civil action subject to the jurisdiction of this Court under the provisions of 28 U.S.C. 1334(b), and may be removed to this Court pursuant to 28 U.S.C. 1452(a). 6. Pursuant to the Standing Order signed on July 23, 1984, by then Chief Judge Clarkson S. Fisher, this Court may refer the New Jersey Action to the Bankruptcy Court. 7. The Bankruptcy Court may hear and determine core proceedings, which include: (i) matters concerning the administration of the estate; (ii) allowance or disallowance of claims against the estate; (iii) counterclaims by the estate against persons filing claims against the estate; or (iv) other proceedings affecting the liquidation of the assets of the estate. 28 U.S.C. 157(b)(2)(A), (B), (C), and (O). The New Jersey Court Action fits squarely within these categories. 8. In the event this matter is deemed only a non-core or related to matter, PNC hereby consents to entry of final orders or judgments by the Bankruptcy Court. 3
