1 ASSIGNMENT OF COPYRIGHT FORM I undersigned, [Marc Goodwin, Archmospheres / UK / Copyright owner], born the 4 of November 1974 at London, residing at 6 Balchins Lane Westcott UK, acting as the author, copyright holder and owner of all proprietary interest in the photograph(s) of [Löyly/ Hernesaarenranta Helsinki. Description of the Project: Sauna bathing is an essential part of Finnish culture and national identity. With Löyly (meaning the steam that comes when you throw water on hot stones in a sauna) Helsinki will offer foreign visitors a public sauna experience all year round. In addition to the saunas, Löyly also has a restaurant, a bar and a pier where people can take a dip in the sea after the sauna a must when visiting Finland, attached hereto (the "Work"), hereby irrevocably assign all rights, title and interest to the Work, including all copyright ownership and interest to [Saint-Gobain Finland Oy / Gyproc], existing under the laws of [Finland], having its registered address at [Ojangontie 23, Kirkkonummi], affiliate of the Saint-Gobain Group, and more specifically the following rights in regards to the Work: - the right to use and commercially exploit, under all forms whether foreseen, unforeseen or unforeseeable at the date of signature of the present assignment, - the right to present the Work to the public by any means of communication or supports of telecommunication or retransmission, known or unknown at the date of signature of the present assignment, - the rights to copy all or part of the Work on all supports, known or unknown at the date of signature of the present assignment, - the modification, adaptation, addition and suppression right of all or part of the Work, as well as the right to incorporate the Work to any present or future work provided such incorporation does not undermine my image. I warrant that I have the legal authority to grant the assignment of the Work, including all copyright rights and proprietary interest in the Work and, that there are currently no licenses outstanding granting any other third party the right to enjoy or lay claim to any copyright rights in the Work. I warrant and guarantee the authenticity and the originality of the Work and expressly declare that the Work does not infringe any third party's rights. I hereby release and discharge [Saint-Gobain Finland Oy / Gyproc] for any and all claims and demands arising out of or in connection with the use of the Work, or for any other costs arising out any breach of warranties set forth herein. The price paid under this assignment is included in the price of the order of the Work. The total price paid includes the assignment of copyright to the benefit of [Saint-Gobain Finland Oy / Gyproc [Saint-Gobain Finland Oy / Gyproc] being part of Saint-Gobain Group, I expressly agree that [Saint-Gobain Finland Oy / Gyproc] is entitled to grant any and all rights conferred by this agreement to the benefit of the Saint-Gobain Group and any and all of its affiliates. The present assignment shall be exclusive and be valid worldwide for the whole duration of the copyright lawful protection. 7 OFFER ARCHITECTURAL PHOTOGRAPHS 12/2017 Archive photographs of Löyly Sauna Photographer: Kuvatoimisto Kuvio Oy Tallberginkatu 1C/170 FI Helsinki Client: Saint-Gobain Finland Oy Marianne Nivala 1 Terms of granting usage rights to photographs 1.1 Definition of a photograph Photograph means all the physical and electronic material, which the photographer has produced creating a photograph. 1.2 Copyright, License and Warranties The copyright and any other Intellectual Property Rights in the photograph(s) shall vest in and remain the exclusive property of the photographer, to the extent provided by the Finnish Copyright Act. Title and ownership to the physical raw files of the photograph(s) shall remain the sole property of the photographer. Reproductions shall bear the following copyright notice: Copyright, 2016 Kuvatoimisto Kuvio Oy. The photographer grants the client and its group companies an unlimited, worldwide royalty-free license to use the photograph(s) for their respective own use. The license grant comes into effect from the date of delivery of the photograph(s). Where any copyright, trademark, design product or any other Intellectual Property Rights of any third parties are used or required for any utilization of the photograph(s), the client shall bear any and all costs related thereto and shall be responsible and liable for obtaining any required consent or permissions of any kind from such third parties as may be required to utilize the photograph(s). The photographer makes no warranty whether implied or expressed with respect to obtaining or having obtained any such consents of permissions from any third parties, and the photographer expressly disclaims any liability whatsoever in that regard. 8 1.3 Settlement of disputes and applicable law Dispute cases are settled in the Helsinki District Court. Finnish law governs this agreement. 1.4 References Kuvatoimisto Kuvio Oy specializes in architectural photography. Our clients represent a broad range of the real estate industry value chain, for example architects, asset managers and consultants, construction companies, real estate investors as well as advertising agencies. A portfolio representing the style and quality of work is available on 2 Price 2.1 Photographs We charge 80,00 (+vat) per image for a royalty-free licence. Basic post-production (cropping, color balancing, contrast optimizing and sharpening) and delivery is included. 2.2 File quality and delivery of the photographs All images are shot with Canon DSLR cameras with perspective control lenses and/or Fujifilm XT-1 cameras. The image files are delivered in jpeg format in srgb and/or Adobe RGB colour profiles. The largest pixel size, in 3 x 2 crop, is approx x 4480 pixels (Canon). The size of the aerial photographs shot with a drone is approx x 3500 pixels (DJI Inspire 1) or approx x 3642 pixels (DJI Phantom 4). The pixel size can be smaller due to cropping in for example 4 x 5 format. The images are delivered via a download link. If not specified otherwise, the download link contains 640px, 1920px and full sized jpeg files. 2.3 Invoicing The price is invoiced upon delivery and the term of payment is fourteen (14) days from the date of the invoice. The title passes to the client at such time as full payment is received by the photographer.
