3 EXECUTIVE SUMMARY Vanguard Communications Development LLC ( VCD ) appreciates the opportunity to submit this proposal in response to the City of Calabasas s Request for Qualifications: Wireless Communications Professional Consulting Services dated September 2, 2011 (RFQ). This proposal includes the cost and scope of work described in section II of the RFQ. VCD COMPANY OVERVIEW VCD is made up of four partners with experience in the telecommunications industry and related disciplines. All partners have over 35 years each in business experience much of it in telecommunications in the areas of site acquisition and leasing, radio frequency engineering, electrical construction, general construction, and legal. Licenses, certificates, credentials, experience and education qualify the partners as experts in their field. The business plan of VCD calls for representation of municipalities in the development of a comprehensive telecommunications master plan. With each advent of new services, improvement in technologies, increases in customer demand, and solutions to network problems new demands are made for future facilities. VCD can and will provide municipalities with the guidance to be in the forefront of the industry terns. 3
4 KEY STAFF Robert C. Ross Principal Robert has 40+ years experience in telecommunications, 20 years in the U.S. Marine Corps and over 20 years working in the commercial industry. He has worked for such Corporations as, LORAL and Pac Tell Cellular(now Verizon Wireless) which gave him a thorough understanding of the wireless business from the very beginning through the next generation of equipment, Long Term Evolution (LTE) Advanced. One of the latest generations of new equipment is LightRadio, Robert is very familiar with the function and operation of this equipment. As the Chairman of the Telecommunications Committee for the city of Oceanside California from 1989 to 2011, Robert has been instrumental in the development of Ordinances, Franchise Agreements, Design Guidelines for Cellular Facilities in the Public Right-of-way, Applications for renewal of existing and new wireless facilities, and Coastal Commission guidelines for wireless facilities. Robert is presently a Planning Commissioner for the city of Oceanside and Vice Chairman for the County of San Diego Cable Television and Telecommunications Review Commission. His previous and current municipal positions have enabled him to keep dutifully informed of all the Federal laws, State of California Laws, Public Utility Codes, State Franchise agreements, CUP General Orders regarding wireless/das telecommunications sitting for all forms of public and private properties. His working knowledge of RF Engineering/Safety has given him extremely useful tools not ordinarily found in individuals working for municipalities in his positions. 4

Lounsbery Principal College of William and Mary, degree in Political Science Juris Doctor degree, with honors, from the California Western University School of Law. admission to the bar in 1966 Member of the U.S. Supreme Court Bar, State Bar of California, San Diego County Bar Association In 1966, Ken began his career as a prosecutor with the San Diego City Attorney s office. After promotion to the Civil Division of the office, Ken specialized in land use and redevelopment matters. He also represented the City in cases before the California Public Utilities Commission. Ken left San Diego to become the City Attorney in the City of Escondido, and, thereafter, went to South Lake Tahoe as the City Attorney. He was recruited to return to Escondido as the City Manager, a post he held under a four year contract. Leaving municipal service, Ken joined the regional law firm of Higgs, Fletcher and Mack. As a resident partner in the firm s Escondido office, he represented private clients in the areas of land use, development, construction and public services franchising. In 1982, Ken accepted a full-time position with the Lusardi Construction Company, whom he had previously represented. As General Counsel, he oversaw all legal aspects of construction matters, land use entitlements, including environmental approvals, project permitting and financing. In 1996, Ken formed the firm of Lounsbery, Ferguson, Altona and Peak, at which time he was the contract City Attorney for the City of San Marcos. He now specializes in land use entitlements, environmental law, project financing and public services franchising. The firm continues to provide City Attorney services for the cities of San Marcos and Lemon Grove. As past president of the local Chamber of Commerce and a publicly elected director of the regional hospital district, Ken has actively served the greater San Diego community. He currently serves as a charter member of the President s Advisory Council for California State University, San Marcos and is the past President of the San Diego-Imperial County City Attorneys Association. 5
6 TASK RESPONSIBILITIES The following individuals will be responsible for providing the services as outlined in Section II of the RFQ as follows; Robert C. Ross Robert will be the Lead consultant, has overall responsibility for providing all the services as outlined in Section II of the RFQ. Kenneth H. Lounsbery Ken will assist Robert as needed on an as required bases. In particular, Item 6 of Section II of the RFP may require some work by Ken from his office or via teleconference. The intent is to use Ken s expertise in the areas needed, without having him travel to Calabasas unless it is necessary. WORK DISCLOSURE This is to certify that Robert C. Ross has not performed any work for,or on the behalf of, any wireless carrier or tower firm, or related wireless industry entity in the past five years. PAYMENT SCHEDULE Payments will be made according to the following schedule: VCD will submit invoice(s) for actual work completed All invoices will be due Net 30 days. AVAILABILITY VCD will be available to perform the work requested by the city of Calabasas within four weeks of entering into a mutually acceptable contract. 7
8 NARRATIVE Advances in wireless communications, new alliances formed by various industry powers, new markets opened by technological advances in equipment, Federal Government sale of additional frequencies and the market demand all have an effect on wireless coverage gaps. In this new age in wireless communications this utility is now not only handling voice communications but also allows users access to , television, radio, and applications too numerous to mention. The wireless coverage is no longer restricted to cell phone usage as a telephone. The industry is just beginning to ramp up for the next generation of equipment. This means that there are new demands on the systems originally developed to handle wireless telephones. These new demands have opened up the need for many new wireless communication sites to facilitate coverage and capacity. The current systems are being saturated with Data traffic, there are some carriers seeing Data service peaks as high as 75% of the usable system. Predictions are that the industry will see an 80% growth in data service alone in the next five years. VCD has the knowledge and capability to review, evaluate, and recommend the best course of action to develop a dynamic telecommunications plan for the city of Calabasas. PROPAGATION MODELING Propagation Modeling is accomplished by the use of RF CAD in house, this is a portable system that can be operated from a Laptop computer while conducting site surveys in the field. The system portability makes it extremely useful for field work and site verifications. Some standard site date entries are; Frequency, ERP, Radiation Center AGL, Antenna, Orientation (In Degrees), and Antenna Down Tilt (In Degrees). This program also has the ability to retrieve site data from the FCC files, if it has been properly entered. The mapping system is Standard GEO Survey of Southern California. 8

12 KENNETH H. LOUNSBERY Mr. Lounsbery attended the College of William and Mary where he earned a degree in Political Science. In 1965, he was awarded a Juris Doctor degree with honors from the California Western University School of Law. Upon admission to the bar Mr. Lounsbery began his career with the San Diego City Attorney's office. Upon promotion to the Civil Division, Mr. Lounsbery specialized in land use, redevelopment and utility regulation matters. Mr. Lounsbery later served as City Attorney in the Cities of Escondido and South Lake Tahoe. In 1976, Mr. Lounsbery was named City Manager of the City of Escondido. During his four year tenure as Manager he concentrated on the formation and direction of the City's redevelopment agency and negotiated the long-term lease of City-owned land for the development by Ernest W. Hahn of the North County Fair regional shopping center. Mr. Lounsbery left his municipal position in 1980 to join Higgs, Fletcher & Mack. As a resident partner in the firm's Escondido office, Mr. Lounsbery represented private clients in the areas of land use, development, construction and redevelopment law. In 1982, the Lusardi Construction Company hired Mr. Lounsbery to become its full time General Counsel. In 1983, he was also named Vice President. His responsibilities included the oversight of all legal aspects of construction matters and the handling of land use entitlements; including environmental approvals, project permitting, financing and completion. These included several industrial developments, one regional shopping center, a large mixed-use project and municipal solid waste facilities. In 1989, Lusardi named Mr. Lounsbery as President of a sister corporation, Servcon, which had the special purpose of obtaining approvals for developing and constructing municipal solid waste disposal facilities. Upon obtaining approvals for two such projects, in 1992 Servcon was sold and Mr. Lounsbery returned to Higgs, Fletcher & Mack. In 1996, Mr. Lounsbery formed the firm of Lounsbery Ferguson Altona & Peak where he served as the contract City Attorney for the City of San Marcos. He now specializes in land use entitlements, environmental law, project financing and municipal law. In 2010, Mr. Lounsbery joined Bruce D. Redmon, Stan Landess and Robert C. Ross in the formation of Vanguard Communications Development LLC for the purpose of managing real estate owned by cities for the purpose of wireless site development. In the course of his career, Mr. Lounsbery has represented both public and private parties engaged in the provision of public services. He has represented cities for the purpose of negotiating the terms of franchise agreements with regional power utilities, and CATV operators. He has also represented the private interests of CATV operators, refuse collection operators and communication services providers in the process of negotiating franchise agreements with public agencies. As past president of the local Chamber of Commerce and a publicly elected director of the regional hospital district, Mr. Lounsbery has actively served the greater San Diego County community. He currently serves as a charter member of the President's Advisory Council for California State University, San Marcos and is the past President of the San Diego-Imperial County City Attorneys Association.
