Preventing, Prosecuting and Defending Claims of Unfair Competition, Misappropriation of Trade Secrets, False Advertising, False Designation of Origin and Business Torts Due to several recent Supreme Court decisions, and the changing landscape of business to business litigation, the role of business trade secrets, trademarks and other non-patent IP assets have taken on greater importance in the attempt by companies to protect their market share. State Trade Secret Acts, the federal Lanham Act and other business statutes have taken on an increasing role as a tool for companies to protect their brands and market share and to slow their competitors. The broad scope of the federal Lanham Act law (which includes trademarks, trade dress, trade secrets and unfair competition) and its State Law statutory and common law counterparts provide strong protections against false advertising, abuse of trade secrets, dilution of trademarks and other forms of unfair competition. With the Supreme Court s ruling in Alice Corp. v. CLS Bank International, holding that abstract ideas implemented using a computer are not eligible for a patent, companies are considering if they need to abandon heavy reliance on patents and rely more on trade secrets. Trade Secrets claims are complicated to litigate and companies are looking for strategies to determine first the identification of their trade secrets and second, a strategy for how to protect them in litigation if necessary. In addition, the Supreme Court recently issued decisions involving false advertisement claims under the Lanham Act, such as the proper test for standing to bring such claims and the finding that compliance with government advertising standards does not bar false advertising claims under the Lanham Act. These recent decisions mean that it is critical for companies to keep abreast of changes related to the law of Trade Secrets, Unfair Competition, False Advertising, Non-Competition, and other business torts both from a defensive and offensive point of view. This Exchange will discuss how companies can negotiate and draft employment agreements or other contracts to protect their own brands, marks, and trade secrets, as well as enforce their rights and defend against claims brought against them in the changing business tort and intellectual property litigation landscape.
