In support of this Motion, URENCO respectfully states as follows: Jurisdiction 1. This Court has jurisdiction over this Motion pursuant to 28 U.S.C. 157 and Venue is proper in this district pursuant to 28 U.S.C and This is a core proceeding pursuant to 28 U.S.C. 157(b)(2)(A)(G) & (O). 2. The relief sought with this Motion is based upon section 362(d)(1) of the Bankruptcy Code, Bankruptcy Rule 4001 and Local Rule BACKGROUND A. General Background 3. Westinghouse Electric Company, LLC ( WEC ) and its related debtors (collectively, the Debtors ), filed voluntary petitions for relief under chapter 11 of title 11 of the United States Code (the Bankruptcy Code ) on March 31, 2017 (the Petition Date ). The Debtors continue to operate their business and manage their properties as a debtor-in-possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. 4. On March 28, 2018, the Court entered the Finding of Facts, Conclusions of Law, and Order Confirming Modified Second Amended Joint Plan of Reorganization (the Confirmation Order ) [D.I. 2988] confirming the Debtors plan of reorganization (the Plan ) [D.I. 2954]. Under the Plan and subject to the Plan becoming effective and URENCO s reservation of rights with respect to cure issues, all executory contracts by and among the Debtors and URENCO (and other 2

The Plan has not yet become effective and, pursuant to paragraph 33 of the Confirmation Order, the automatic stay remains in effect. B. The Agreement 5. Prior to the Petition Date, LES, UEC, and WEC entered into (a) (the Agreement ), pursuant to which, among other things, ; and (b) related holding account agreements by and among LES, UEC, and WEC. 6. The purpose of the holding accounts are to avoid the logistical and legal impediments of physical transportation of enriched uranium. Thus, rather than physically transporting the enriched uranium, UEC or LES could, in consideration for money or an equal exchange of enriched uranium, simply credit the holding accounts it maintains for WEC s benefit. Similarly, if UEC or LES needs enriched uranium, Westinghouse could simply credit the holding account it maintains for UEC s benefit. Transfers are recorded in holding accounts as credits or debits of the appropriate number of Feed and SWU For the purpose of holding accounts, enriched uranium is disaggregated into its component parts, Feed and SWU. Feed means natural uranium in the form of uranium hexafluoride. SWU stands for separative work units, which is a measure of the work expended in the enrichment of Uranium

URENCO seeks relief from the automatic stay pursuant to section 362(d)(1) of the Bankruptcy Code, Bankruptcy Rule 4001, and Local Rule , in order to the Agreement and related holding account agreements. BASIS FOR RELIEF 10. URENCO is entitled to relief from the automatic stay pursuant to section 362(d)(1) of the Bankruptcy Code, which provides, in relevant part: 11 U.S.C. 362(d)(1). On request of a party in interest and after notice and a hearing, the court shall grant relief from the stay provided under subsection (a) of this section, such as by terminating, annulling, modifying, or conditioning such stay (1) for cause, including the lack of adequate protection of an interest in property of such party in interest; 11. The Bankruptcy Code does not define cause. In re WorldCom, Inc., Case No (AJG), 2003 Bankr. LEXIS 2440 at *19 (Bankr. S.D.N.Y. Jan. 30, 2003) (citing Schneiderman v. Bogdanovich (In re Bogdanovich), 292 F.3d 104, 110 (2d. Cir. 2002)). Cause is an intentionally broad and flexible concept which must be determined on a case-bycase basis. See In re Project Orange Assocs., LLC, 432 B.R. 89, 103 (Bankr. S.D.N.Y. 2010) (internal citations omitted). Bankruptcy courts have found cause when the party seeking relief 4

5 mew Doc 3424 Filed 06/08/18 Entered 06/08/18 13:39:10 Main Document Pg 5 of 6 can establish that (i) the debtor or the debtor s estate will not be greatly prejudiced; (ii) the hardship to the movant by maintenance of the automatic stay considerably outweighs the hardship to the debtors; and (iii) the movant has a reasonable chance of prevailing on the merits. In re Rexene Prods. Co., 141 B.R. 574, 576 (Bankr. D. Del. 1992) (citing In re Fernstrom Storage & Van Co., 938 F.2d 731, 735 (7th Cir. 1991)). The ultimate determination of whether to lift stay depends upon the facts underlying a given motion. Bogdanovich, 292 F.3d at With respect to the Agreement and the related account holding agreements, UEC and LES are seeking relief from stay out of an abundance of caution because 13. Moreover, the relief URENCO seeks from the automatic stay is limited in nature. URENCO seeks relief from the automatic stay solely to, which does not harm or prejudice any of the Debtors, without risk of violating the automatic stay. WAIVER OF STAY PURSUANT TO 4001(A)(3) 14. Bankruptcy Rule 4001(a)(3) provides that any order granting a motion for relief from the automatic stay made in accordance with Bankruptcy Rule 4001(a)(1) is stayed until the expiration of 14 days after entry of the order, unless the court orders otherwise. Fed. R. Bankr. P. 4001(a)(3). The transaction does not implicate any third parties and no party would be harmed by a waiver of the stay in this case. 5
