3 The Group The group was formed as a result of a series of mergers and acquisitions of financial institutions operating in South Central Africa Merger between FMB and Heritage Group Rebranding to effect new trading name HIB FMB + HIB: FMB+ HIB+ BARD: ULC+ UDC+ BARD: African Banking Corporation BancABC BancABC Part of Atlamara 1995 Heritage Investment Bank was formed Specialist merchant Bank Heritage group acquired 100% of BARD Group 2001 The result of all mergers and acquisitions 2014 Atlasmara takes acquire 98% of BancABC

4 The Group Continued The Group before the takeover by Atlasmara Group had a primary listing on the Botswana Stock Exchange and a secondary listing on the Zimbabwe Stock Exchange. 5 About ABC Stockbrokers ABC Stockbrokers (Pvt) Ltd is a securities Company domiciled in Zimbabwe. The Company was established in 1997 when it started off as a joint venture between brokers and the BARD Group of Companies which at the time had 100% Control of one of the oldest discount house in Zimbabwe In 2000 the Company changed its name to ABC Stockbrokers (Pvt) Limited following a buyout of Bard Discount House by Heritage Bank in a Merger that saw three strong financial houses coming together to form African Banking Corporation (ABC) ABC immediately assumed a span of over 40 years wealth of experience in the financial industry of Zimbabwe at its formation. ABC Holdings (Pvt) Limited subsequently consolidated its control of ABC Stockbrokers (PVT) Limited in 2002 as it diversified its financial product offering 5

It moved USD 5 million worth of Old Mutual shares on behalf of various clients In November 2009, share disposals worth USD 2 million were done for Bindura Nickel Corporation which was seeking additional working capital to recapitalize its mining operations. Star Africa shares worth USD 8 Million were sold to NSSA in December During the same period, December 2010 ABC Stockbrokers also sold USD 4.5 million worth of Delta shares for Old Mutual Investment Group. In January 2010, ABC Stockbrokers sold to NSSA USD 4 million worth of Star Africa shares. In February 2010, ABC Stockbrokers sold USD 20 million worth of PPC shares on the JSE on behalf of Old Mutual Investment Group through the ZSE share removal window. In 2014, ABC Stockbrokers sold $20million worth of Seedco shares on behalf of Cottco Limited and crossed $38m worth of ABCH shares which culminated in the takeover of ABCH by the Atlasmara Group. 6

9 CORE LEADERSHIP Joe Sibanda MD Zimbabwe Joe Sibanda was born in Zimbabwe in He has over 30 years of banking experience, having started his career with other commercial and merchant banking financial institutions operating in both local and international markets. He held several senior positions and was part of the executive management teams in these banking institutions. He joined African Banking Corporation (BancABC) as executive director, Banking Services and managing director of UDC Limited in August He has also been Managing Director for BancABC Botswana, BancABC Zimbabwe, BancABC Mozambique and returned to Zimbabwe in 2014 as Managing Director for BancABC Zimbabwe. Joe holds a BCom degree with majors in Economics and Business Management and is an Associate of the Institute of Bankers. 9

10 CORE LEADERSHIP Arnold Dhlamini Managing Director/Principal Broker Arnold Dhlamini joined ABC Stockbrokers Private Limited in 1997 and has over 15 years wealth of expertise and experience in the financial services industry. Under his stewardship ABC Stockbrokers has led in the most corporate action transaction by value and number since 2009 to date where the Company acted as a sponsoring broker He is a member of the South African Institute of Financial Market (SAIFM), Zimbabwe Stock Exchange, Chartered Securities Institute of London (CSI), Institute of Bankers of Zimbabwe and the Institute of Stock Brokers of Zimbabwe where he is currently the Vice Chairman. In 2005 he was nominated the best student for the SADC region on the JSE Short Term Equity Trading course run by the economics department of Pretoria University. Arnold holds a post graduate certificate in management from Nottingham Trent University and attended an in house Management Leadership Development Programme (MLDP) run by Pretoria University s Gordon Institute Of Business Science (GIBS). 10
