P Milbank, Tweed, Hadley & McCloy LLP ( Milbank and Morris, Nichols, Arsht & Tunnell LLP ( MNAT and, together with Milbank, Counsel hereby make the following verified statement (the Verified Statement, pursuant to rule 2019 of the Federal Rules of Bankruptcy Procedure ( Rule 2019, in connection with Counsel s representation of certain holders of notes (the 8-5/8% Noteholders issued under that certain Indenture, dated March 4, 2004 (as may be amended, restated and supplemented from time to time, pursuant to which the above-captioned debtors and debtors-in-possession (the Debtors issued $175 million of Senior Subordinated Notes (the 8-5/8% Notes : 1. Milbank, as lead counsel, and MNAT, as Delaware counsel, currently represent a consortium of parties that are each a beneficial owner of the face amount of certain 8-5/8% Notes or the nominee, investment manager or advisor for beneficial holders of certain 8-5/8% Notes (the Ad Hoc 8-5/8% Noteholders. The Ad Hoc 8-5/8% Noteholders retained Counsel prior to the commencement of the Debtors chapter 11 cases. 2 8-5/8% Noteholders makes its own decisions as to how it wishes to proceed and does not act for or purport to represent or speak on behalf of any other Ad Hoc 8-5/8% Noteholder. It is anticipated that, over time, each Ad Hoc 8-5/8% Noteholder s holdings may change. It is also anticipated that, over time, membership may change. Noteholders are as follows: 2.
