3 BOARD OF DIRECTORS Tuan Haji Habib, Malaysian, aged 76, is the Founder and Chairman of the Group, established in the year 1958 and thereafter became a listed entity in He was appointed as a Director of Habib Corporation Berhad on 19 November 1997 and sits on the Board of the Group s subsidiaries. Tuan Haji is credited with having nurtured the c o m p a ny and was instrumental in building the foundation that has stood the test of time over the last 45 ye a r s. He has passed down his astute business acumen to his son Meer Sadik bin Habib Mohamed who took over the day - to -day operations of the Company in To d ay, Tuan Haji advises on the Group s business development and expansion plan. Tuan Haji was the former President of the Muslim J e wellers and Money Changers Association of Malaysia. He has also served as the Vice President of the Muslim League Organisation, a non-profit charity organization established in 1954 to assist underprivileged Muslims in Malaysia, and today remains as the Honorary Advisor to the organisation. He does not hold any shares in Habib Corporation Berhad and has no convictions for any offences within the past 10 years, Tuan Haji habib mohamed bin abdul latif non-executive CHAIRMAN En Meer Habib, Malaysian, aged 41, was appointed as a Director/Managing Director of Habib Corporation Berhad on 19 November 1997 and also sits on the Board of the Group s subsidiaries. He has also been a member of the Group s Audit Committee since 26 November En Meer is responsible for steering the Group s diversification, marketing, promotions, and research and development strategies to ensure the brand s ongoing growth and success in both local and international markets. En Meer graduated with a degree in Business Administration from Wichita State University, USA. He is also a qualified gemologist from the Gemological Institute of America. Presently, En Meer serves as the Vice President of the Old Free s Association (OFA) and is a member of the Young Presidents Organization (YPO). En Meer has a direct family relationship with the Group s founder and Chairman, and has a personal interest in the Company as disclosed in the Directors report. He has not been convicted of any offence within the past 10 years, meer sadik bin habib mohamed executive director/managing Director Dr Azman Ahmad, Malaysian, aged 43, was appointed November 1997 and later appointed as Chairman of the Audit Committee on 26 November He is also a member of the Nomination Committee and Remuneration Committee. He is a professional engineer with a degree in Civil Engineering (Honours) from University of Adelaide, South Australia, and a Doctor of Philosophy from University of Malaya. He is a corporate member of the Institution of Engineers, Malaysia, and registered as a professional engineer with the Board of Engineers Malaysia. Dr Azman has over 20 years of working experience in the engineering industry including consultancy, construction, property development and project management. He also has been on the Board of Directors of several listed companies in Malaysia and Australia. Dr Azman has no conflict of interest with the Group and no family relationship with any Director or major shareholder of the Group. 4 BOARD OF DIRECTORS En. Nahar Noordin, Malaysian, aged 47, was appointed N ovember He is also a member of the Nomination Committee. En. Nahar completed his Bachelors in Finance from the University of the Pacific, Stockton, California, USA and Masters of Business Administration (Finance) from California State University, Hayward, California, USA. Between 1980 and 1990, En. Nahar held senior management positions with Arthur Commodities Kuala Lumpur and Citibank Investment Banking Kuala Lumpur. In 1990, he served as Deputy Managing Director in Metacorp Berhad. In 1996, he was appointed Chief Executive Officer of Capitalcorp Securities Sc1n Bhd. From 1999 to 2001, he held the position of General Manager at Asset Management Group of Perbadanan Nasional Berhad. At present, En. Nahar is a director of Prestar Resources Berhad. En. Nahar has no conflict of interest with the Group and has a family relationship with the Managing Director of the Group. He has no convictions for any offences within the past 10 years, md nahar bin noordin non- En. Hassan Kamil, Malaysian, aged 41, was appointed November He is also the Chairman of the Nomination Committee and a member of the Audit and Remuneration Committees. En. Hassan graduated from the University of Iowa, USA, with a Bachelor of Science in Actuarial Science. He completed his Masters of Business Administration in Finance from the same university. From 1987 to 1996, En. Hassan held actuarial positions in the U.S. Since 1996, he has held the position of Senior Vice President and Chief Actuary of ING Insurance Berhad. En. Hassan is a Chartered Life Underwriter, Fellow of the Society of Ac t u a r i e s, Member of American Ac a d e my of Ac t u a r i e s, Ambassador of the Society of Actuaries,USA and Past President of the Actuarial Society of Malaysia. En. Hassan has no conflict of interest with the Group and no family relationship with any Director or major shareholder of the Group. He has no convictions for any offences within the past 10 ye a r s, mohamed hassan bin md kamil Mr Mok Yuen Lok, Malaysian, aged 44, was appointed as a Director of Habib Corporation Berhad on 29 March He is the Chairman of the Remuneration Committee and also a member of the Company's Audit Committee. Mr Mok is a Chartered Accountant and the Country Managing Partner of Horwath, an international accounting firm. His work experience of over 20 years includes initial public offerings, cross-border (buy-side) due diligences, business valuations, corporate turnaround exercises and Danaharta appointments. He is also a member of the Board of Directors of Horwath International, and a Council Member of Hospis Malaysia. Mr Mok has no conflict of interest with the Group and no family relationships with any Director or major shareholder of the Group.
