3 Moderator: Martin M. Coyne Over the last 17 years, Marty has served as a board director, advisor and governance evaluator for a diverse group of public, private, family owned and early stage companies. Over this span, he has served in all board leadership positions including board chair, lead independent director and chair of the audit, compensation and governance committees. As an operating executive at Kodak, he served as Executive Vice President and in numerous roles including Group Executive of the Photography Group, President of the Health Imaging and President of the Commercial businesses. Prior to that he served in leadership roles at Sterling Drug. He is CEO and Chairman of the New Jersey Chapter of the National Association of Corporate Directors, is a NACD Leadership Fellow and a NACD Faculty member. In 2011, he was the recipient of the Directorship 100 Award. In 2013, Agenda Weekly named him a Top 50 Digital Director. He is a member of the Content Advisory Council for Tone at the Top for IIA. He is a frequent speaker, panelist and the author of numerous articles on leadership development, change management, strategy, innovation and corporate governance. His book, How To Manage Your Board While Your Board Manages You, helps directors, CEOs and other C-Suite executives improve governance and the relationship between management and their board. He is also the Chairman and Founder of the CEO Learning Network. 3
4 Panelist: Tonia L. Pankopf Tonia L. Pankopf is Managing Partner of Pareto Advisors, LLC. She is an experienced public company director, seasoned global investment executive and former Wall Street equity research analyst, investment banker and hedge fund portfolio manager with significant experience identifying, unlocking and creating shareholder value. Her specific expertise in global information technology and financial services spans multiple industries including telecom, media, advertising, retail, consumer and natural foods. Tonia is currently a strategic and financial advisor to companies and investors and is an active independent board director as well as an experienced Audit Committee and Compensation Chair having served on public and non-profit boards. Tonia currently serves on the board of Landec Corporation where she chairs the Audit Committee and is a member of the Nominating and Corporate Governance Committee. More recently, she served for 13 years on the board of TICC Capital Corp., where she chaired the Compensation Committee and was a member of the Valuation, Audit and Nominating and Corporate Governance Committee. Tonia has more than 23 years of experience leading the research and investment management functions for major investment banks, hedge funds and professional service firms. She began her career at Smith Barney becoming one of the first equity research analysts to follow the Internet sector on Wall Street. She held leadership positions as a senior analyst and Vice President at Goldman, Sachs & Co. and Merrill Lynch and was a hedge fund Portfolio Manager responsible for all global IT hardware investments within a $1 billion technology fund. Tonia has been a member of the National Association of Corporate Directors (NACD) and became a Leadership Fellow in 2014 and is a frequent speaker on corporate governance issues. 4
5 Panelist: Stacie L. Roberts Ms. Roberts is the Director of Corporate Governance for Chesapeake Utilities Corporation, a diversified energy company engaged in natural gas distribution, transmission, gathering and processing, and marketing; electricity generation and distribution; propane gas distribution; and other businesses. She works with the Chesapeake Utilities team on an array of matters relating to corporate secretary, corporate securities, corporate governance, legal, government affairs, cyber security, and other corporate activities. Ms. Roberts is a participant and/or member of the Company s cyber security and risk management teams. Ms. Roberts serves on the Advisory Committee for the Middle Atlantic Chapter for the Society for Corporate Governance and was appointed in 2016 as its Corporate Secretary. She is a frequent speaker on governance and cyber security governance panels. She was recognized by Corporate Secretary Magazine as the 2014 Corporate Governance Professional of the Year (small to mid-cap companies) and was listed in the top 5 for 2016 and Chesapeake Utilities Corporate Governance Team was recognized by the magazine in 2017 as Governance Team of the Year (small to mid-cap companies). Ms. Roberts is a member of Leadership Central Delaware and previously served on the American Gas Association s Executive Leadership Development Program Planning Committee. Ms. Roberts holds a Master s Degree in Business Administration from Drexel University, Beta Gamma Sigma. 5
6 Panelist: Anne T. Chapman Anne Chapman is a Managing Director at Joele Frank, Wilkinson Brimmer Katcher, focusing on corporate governance, investor relations and shareholder communication. Prior to joining Joele Frank, Anne was a vice president of Capital Research and Management Company, a wholly-owned subsidiary of Capital Group. For more than 25 years she provided oversight of the firm s proxy voting efforts, working extensively with investment analysts and portfolio counselors on corporate governance, compensation, and social and environmental issues, participating in the formation of Capital s proxy voting policies, as well as the firm s engagement efforts with portfolio companies. She retired from Capital in November, Anne participates in numerous industry working groups and is a frequent speaker on corporate governance topics. She serves on the American Red Cross Los Angeles Region board and is Vice Chair of the Executive Advisory Board for the University of Redlands School of Business. Anne received a BS in business from the University of Redlands and is based in Los Angeles. 6
