1 ANZBC AGM 15 JUNE 2017 AGENDA ITEM 6 - ELECTION 0F OFFICERS There are five general vacancies on the Executive Committee and one officer vacancy in terms of Clause 11 c) of the Constitution. PROCEDURE Ballot forms will be handed out upon registration before the meeting commences. To be eligible to vote o You must be a member with entitlement to vote under Clause 6 of the Constitution (corporate, retired and individual members contributing a fee). o Your 2017 subscription must have been paid by the time of the vote. o You are authorised if a corporate member to be the voter for that corporate (i.e. only one representative of any corporate member may vote. The Chairman shall call for two volunteer scrutineers, who shall be members but not standing for election, to count the votes after the election has taken place. Each vote cast will be checked against a current list of fully subscribed members to ensure eligibility. For this reason you must for the vote to be eligible include your name and the name of the member (if corporate). In no circumstances will details of your vote be revealed to anyone other than the two scrutineers. Each member may vote for up to five but not more than two candidates. The votes must be made on one ballot paper per member. Whom you vote for must be clearly identified by boldly ticking or writing Yes beside the two candidates you are voting for. Candidates are entitled to vote. The two candidates with the most votes cast for them will be duly elected. In the event of a tie, the Chairman shall have the casting vote. The result of the election may be announced to members after the AGM and/or by newsletter within 7 days of the AGM.

2 CANDIDATES BRIEF BIOS The following nominations had been received by closing date, though it is possible additional candidates could be nominated from the floor at the AGM. For Chair Kenneth Leong (nominated by Alister Lawrence, seconded by Neil Kennedy) Kenneth Leong Crowe Horwath Business Advisor and Company Director Kenneth has extensive experience working with ASEAN businesspeople. He maintains active involvement in a number of Auckland-based businesses with an international/asean focus, including Healthy Breath (wearable technology), Euroasia (training) and Edenz Colleges (export education). As Principal-Asia Business at international business advisory firm Crowe Horwath, he advises senior businesspeople, including those from ASEAN, on their business dealings in New Zealand. He has a track record of facilitating business transactions across cultures, from deal origination to execution. Coupled with fluency in multiple ASEAN languages and cross-cultural skills, he has acted as commercial advisor to both large and small businesses for over 17 years. Kenneth arrived in New Zealand as an international student from Malaysia, to complete Bachelors and Masters-level qualifications in Accounting and Finance. Post-graduation, he worked for a Big 4 advisory firm and a global investment bank. He visits Malaysia and Singapore regularly to meet with clients and investors. For MEMBERS OF THE COMMITTEE Mike Atkins (nominated by Lester Khoo, seconded by Jimmy Walsh) Mike Atkins ASB Bank Mike is responsible for delivery of ASB s international trade products and services across all industry segments. His team of sales and service personnel assist in the delivery of solutions to optimise Working Capital and maximise Shareholder Returns in conjunction with the wider ASB Business Banking team to the New Zealand market place. It is through this relationship that he became involved with ANZBC, taking a leading role in the sponsorship and facilitation of the inaugural joint Export NZ/ANZBC trade mission to Indonesia. Mike is passionate about the governments NZ Inc strategy and keen to foster this message among the NZ export and ASEAN import communities.

3 Mike has been involved with international trade transactions for over thirty years, during which time a considerable portion was spent providing hands on advice to both importers and exporters. His involvement in this specialist area has also included training and advisory capacity for various Export Institute s and Export Agencies. Mike holds qualifications in Management and Marketing. Bernard Banks (nominated by John Steel, seconded by Alister Lawrence) Bernard Banks Bernard Banks and Associates Consultant, Gibson Sheat Lawyers, Wellington Immigration and employment lawyer Asia-Pacific labour market consultant, recent roles with ILO and other international organisations in Asia-Pacific region Current ANZBC ExCo member Chapter Chair ANZBC Laos Chapter, ongoing promotion of ANZBC and especially Laos Chapter, by developing relationships in New Zealand and Laos Wellington based, active in promoting ANZBC in Wellington and Auckland - Wellington synergies Visits Laos periodically, including delegation member representing ANZBC at ASEANrelated meetings in Vientiane in August 2016 Further ANZBC visit to Laos planned for October 2017 As Chair of LAWASIA Employment Law Committee, co-chaired employment law conferences in Siem Reap, Cambodia in 2013 and Hanoi, Vietnam in 2015 Regular business-related visits to Malaysia, Vietnam, Laos, Thailand Maintains contact with MFAT and New Zealand embassy officials, and ELTO aid program Greg Miller (nominated by Alister Lawrence, seconded by Neil Kennedy) Greg Miller Toll Logistics With more than 30 years of experience in the supply chain sector globally, Greg has led many mergers, acquisitions, trade delegations, trade negotiations and divestments for private and public sector companies including IPO experience. Greg Miller is the resident Executive Director for Toll New Zealand, the lead role he has held since June Greg also works across the Toll Global Network in Asia having worked and developed significant operations in this region for the past 25 years. In this position, Greg is responsible for the operational, commercial, financial and technical aspects of all Toll businesses in New Zealand covering road, rail, sea nationally and International freight forwarding sea, air, customs, container transfer terminals, contract logistics, parcel and courier sector, Intermodal operations, domestic coastal operations,

4 auto logistics, bulk feeds transport, petroleum haulage / fuel sales, Inventory capital technology and port operations with 25 years of supply chain experience across the Asian Pacific markets, advising many multinationals on future design of value chain & supply chain markets. Greg has been the Maori Kings representative for 10 years, Kahui Ariki for 6 years representing the King to the Crown, International diplomats and Monarchs. Having served as the King s representative on Te Arataura Parent Board of Waikato Tainui Tribe, Chair of the finance and investment committee, Trustee Director and Chairman of King Tuheitia s Trust - Te Taari O Te Kiingi Maori and as Chairman (speaker of the House) of the Waikato Tainui Tribal Parliament. Greg is a Chartered Fellow of the CILTNZ - Charted Institute of Logistics and Transport. Greg is a renowned NZ businessman and entrepreneur and has succeeded on the global stage with technology, innovation and business acumen. Greg has been on the Advisory Boards of the University of Auckland and Waikato University business schools AIS St Helens University, setting curriculum in supply chains and transportation for over 20 years. Greg has been educated at Massey University, Monash University and Hong Kong University Greg is a community leader advocating for children in sport from Northland to Auckland, Waikato and the BOP and supported the Royal Foundation for the blind for 20 years. He continues to advise MP s and Ministers of the crown on many areas including transport, technology and infrastructure. His interests include family, boating, and rugby for NRU. Wayne Tollemache (nominated by Alister Lawrence, seconded by Neil Kennedy) Wayne Tollemache JTC Consulting Ltd With a thirst for new challenges, Wayne s work has taken him around the world, with a range of roles in a range of industries. His 30+ years in the business world have seen him take on roles including COO, Executive Managing Director, and General Manager in New Zealand and Asia. A patriotic kiwi Wayne returned to New Zealand in 2012 after 10 years working and living in Asia (based in Malaysia and then Singapore). His passion for New Zealand and New Zealand SME s was a significant driver for his return and has since been working with SME s to help them grow domestically and break into the Asia markets. With five years governance experience and a Chartered Member of the Institute of Directors Wayne is a strategic thinker by nature and experience. His international experience gives him a unique ability to work in a diverse cultural environment and maximise complex relationships. 5 Peter Vile (nominated by Mitchell Pham, seconded by Mike Cao) Peter Vile Augen Software Director, Co-Founder and Chief Executive at Augen Software Group. Augen has a physical presence in Ho Chi Minh City where they are extremely active in fostering greater New Zealand collaboration in the market. Peter is passionate about fostering more New Zealand activity in the ASEAN region and assisting New Zealand businesses make their move into those markets. Jimmy Walsh (nominated by Mahi Tangaere, seconded by Gavin Haworth) Jimmy Walsh - Beca Jimmy is currently Business Director for International Growth at the Engineering and Professional Services consultancy, Beca Group. In this role Jimmy leads Beca s international consultancy business across a range of jurisdictions. A Chartered Engineer by profession, Jimmy joined Beca in Prior to this Jimmy worked in Ireland with the global engineering consultancy Atkins. Beca has offices or projects in 8 of the 10 ASEAN countries. Jimmy has particular experience of Beca s involvement in Myanmar, Philippines and Singapore. Together with his engineering background Jimmy also holds qualifications in Environmental Science (B.Sc. (Hons)) and dispute resolution (GradDip). He served on the Executive of the NZ Pacific Business Council from 2012 to With a keen interest in geopolitics, Jimmy has regular interactions with governmental and non-governmental sectors including NZTE, MFAT and the Asia NZ Foundation.
