It is a stretch. But it s not all doom and gloom. There are high-flying women in private equity and opportunities are opening up, but it is an area still unashamedly dominated by men. Few would argue that the legal profession has sufficiently tackled the diversity issue, so is the private equity vacuum just a symptom of a wider problem? This year s magic circle promotions revealed once again that the UK s largest firms are still struggling to reach their female partnership goals. Freshfields Bruckhaus Deringer was the best of a bad bunch, making up five women out of 18 partners globally. Linklaters just failed to attain its 30 per cent target with five female promotions out of 26, while Clifford Chance made up four out of 24. Allen & Overy (A&O) also missed the mark, with just two women making partner out of 24. If few women across the board are on the partnership track, how can private equity women hope to become members of one of the tightest legal communities out there? Just two out of the magic circle s combined 31 London promotions this year were in private equity and both were male. 3 Private equity Gender diversity few and far between. And in general, women are not getting them. Those women who have made partner agree it is an issue. However, there are few answers as to how to resolve the private equity and wider problem of gender diversity. It s a facet of a bigger question mark, says Sidley Austin partner Fatema Orjela. How do we keep talent in the profession? Partnership goals This is the main question that a variety of groups have been aiming to answer. Specifically, Level 20 was founded by a group of senior businesswomen in the sector who have been working to encourage more women to join the wider private equity industry. Members of Level 20 include Bain Capital managing director Cécile Belaman, Cinven partner Alexandra Hess and Keyhaven Capital managing partner Sasha van de Water. The organisation wants women to fill at least 20 per cent of senior positions by 2020, with females accounting for just 5 per cent of the top jobs in the European private equity industry in Even compared with law firm targets, these aims are low. A&O wants to have 30 per cent of its leadership positions filled by women by 2020, while Linklaters executive committee is already close to a 50 per cent split. It had been targeting 30 per cent representation for Having more female lawyers in leadership positions is a fine goal, but those leaders are unlikely to come from private equity at this rate. A&O and Linklaters have no female private equity M&A partners in their London teams, although Linklaters financial services partner Tracey Lochhead has advised clients such as Cerberus Capital Management on sector-specific transactions. Similarly, Clifford Chance partners Melissa Fogarty and Amy Mahon have strong relationships with Electra and EQT respectively Mahon in particular advises funds looking to invest in infrastructure. Made up in 2015, Freshfields partner Victoria Sigeti is virtually the only magic circle female lawyer to have been promoted in private equity in recent years. Sigeti has acted on deals for Cinven, CPPIB, 3i, General Atlantic and Permira, while her more senior colleague Farah Ispahani counts Apax Partners as a client as well as infrastructure-focused EQT and Allianz Capital Partners. In fact, data analysis from the magic circle shows that three women out of 13 have been promoted in UK private equity practices since 2009 Fogarty, Caroline Sherrell (now at White & Case) and Sigeti. That means women accounted for 23 per cent of private equity promotions while they made up 28 per cent of promotions across the board during the same time. Compared to litigation and finance, private equity is lagging behind in terms of gender diversity, albeit only slightly. Moving in-house From an in-house perspective, opinions on gender representation too are mixed. There is no shortage of female general counsel in the large corporates, observes Macfarlanes partner Jessica Adam, but we haven t got there quite yet with private equity. We are, however, seeing more women coming through in junior deal executive roles. So we ve been focusing on building and fostering relationships between our lawyers and deal executives at that junior level. True, the majority of general counsel at the world s largest private equity houses are male. However, a comparatively high proportion of spots are also taken up by women. These include Cinven head of When you re negotiating people try to win their points and some will use the woman card Helen Croke, Ropes & Gray legal Babett Carrier, KKR European general counsel Susanna Berger, Carlyle s investments general counsel Heather Mitchell and MidEuropa legal counsel Jana Philip. Carrier is a former Shearman & Sterling lawyer, while Berger hails from Simpson Thacher & Bartlett. Carlyle in-houser Mitchell and MidEuropa counsel Philip worked at Akin Gump Strauss Hauer & Feld and White & Case respectively. Moving in-house appears to be a route favoured by US alumnae in London, with the US firms having a similar problem to the magic circle. Women account for 10 per cent of Latham & Watkins City corporate practice Farah O Brien became the office s first female private equity partner, made up in White & Case s ratio is much the same, with women making up just over 12 per cent of the firm s private equity group in London. Its main private equity partners are Emma Parr and Caroline Sherrell. Turn back the clock three years and Simpson Thacher had no female partners in London. Now, private equity partner Clare Gaskell is one of five and looks set to become one of the most influential players in the firm s City practice. Working alongside former A&O partner Derek Baird, Gaskell will need to take on extra KKR and Blackstone work as part of succession planning for senior partner Adam Signy, who is expected to retire in the next few years. Simpson Thacher s private equity group will also need boosting after the departure of former London managing partner Greg Conway back to the US. Private equity aggression So why the disparity? Few female (or male) partners can give a reason for private equity remaining a largely male-dominated profession, with many disputing the notion that the industry is testosterone-fuelled and sidelines women. When you re negotiating people try to win their points and some will use the woman card, admits Ropes & Gray partner Helen Croke. But you ve got to ignore it. There can sometimes be an awful lot of aggression in negotiating deals and I ve seen male partners bully other male partners in just the same way. Reed Smith partner Laura Brunnen agrees and adds, I ve never felt less than equal. In my career, I ve just had one person outwardly single me as out and give me a difficult time because I m a woman. Nonetheless, a number of female partners do recall instances that feed into the idea of private equity as a laddish and aggressive warzone. 4 PROFILES Katja Butler, Skadden Arps Slate Meagher & Flom Six months after making partner at White & Case, Katja Butler moved to Canary Wharfbased Skadden. It was a surprise and high-profile defection, not least because she accompanied White & Case private equity co-head Richard Youle and a team of associates. Known for handling the portfolio work for clients such as HG Capital, Oaktree and Montagu, Butler was clearly an indispensable part of Youle s practice. Since joining, Butler has worked alongside Youle in HgCapital s $5.3bn ( 4bn) consortium buyout of Norwegian software company Visma. Ropes partner Helen Croke represented GIC, an investor in the consortium, in one of the few transactions this year that has involved more than two female partners at the deal table. Freshfields Bruckhaus Deringer advised Cinven in the disposal, with partners Adrian Maguire and Victoria Sigeti leading. Jessica Adam, Macfarlanes Jessica Adam returned to Macfarlanes from maternity leave earlier this year after making partner four years ago. She has risen up the ranks alongside her private equity colleague Emmie Jones, with both getting the partner nod in the same year. In a firm with virtually the lowest female equity partner headcount in the City, that is no mean feat. Having Emmie in the team as well as the other female partners across the firm has been a really valuable support, she says. There s someone there who can echo what you re saying. Only by participating can you influence things. Since returning to the firm Adam has worked on deals for Ancala Partners as well as Argus management team on its strategic partnership with General Atlantic. Like a number of partners in Macfarlanes private equity group, Adam s practice covers management teams as well as corporates and law firms. One of her biggest deals was for legacy Russell Jones & Walker when it was acquired by Slater & Gordon in Laura Brunnen, Reed Smith Laura Brunnen was one of eight London partners to make the move from King & Wood Mallesons (KWM) to Reed Smith early this year. At Reed Smith she completed the 215m sale for Graphite Capital of its tyre business to Sumitomo Rubber Industries a deal she had already started when the KWM saga started to unfold. The only private equity partner in Reed Smith s London office, Brunnen recently helped launch the 1973 Club for women in private equity, marking the year women gained access to the London Stock Exchange trading floor. The first event was attended by professionals from ICG, Inflexion, Permira, LionCapital and Vitruvian Partners, as well as fund manager Nicola Horlick. 41 Ed_PE Women - Co_The Lawyer December 2017_The Lawyer 41 23/11/ :01
5 Private equity Gender diversity Helen Croke, Ropes & Gray Late last year, Helen Croke left the safety of Travers Smith for Ropes & Gray. In 2017 there have been a stream of exits from Ropes City practice, but amid all the defections Croke s practice seems to be flourishing. She has brought in new clients for the US firm in London notably Bridgepoint Development Capital, Pulsant, Intermediate Capital Group (ICG) and Oakley Capital Investments this year. The biggest deal was ICG s $5.3bn consortium buyout of Visma in June in which ICG was part of a consortium of investors including HgCapital, Cinven, GIC and Montagu. Made up in 2008, Croke was Travers first dedicated female partner in the private equity team a position she held on to for four years until her younger associate Lucie Cawood was promoted. Anu Balasubramanian, DLA Piper There s no doubt about it Kirkland & Ellis has been home to some impressive private equity stars. A partner at Kirkland for six years, Balasubramanian joined DLA Piper in 2013 tasked with building on the firm s corporate work and to focus on the India market. She has strong relationships with ABRY Partners, which this year acquired Chiron Security Communications and sold Thomson Online Benefits to Mercer. 42 Clients also include Aurium Capital and Oakley Capital, the latter of whom invested in a portfolio of European real estate websites. Fatema Orjela, Sidley Austin One of the biggest lateral hires of 2016 was Sidley Austin s six-partner raid on Kirkland & Ellis London office, followed by its seven-partner recruitment from its rival in Munich a year later. Fatema Orjela was the only female partner in the City cohort, made up at Kirkland near the end of 2015 alongside fellow private equity lawyer Aprajita Dhundia. After Orjela s departure Kirkland has three female private equity partners in London out of 25 Valerie Goldstein is the most senior, while Rebecca Villarreal was promoted this year. Over a year into her new position at Sidley Austin, Orjela is still the only female private equity partner in the firm s London office. She has completed transactions for longstanding clients HIG Europe and TowerBrook. Most recently Orjela co-led on Apollo Global Management s acquisition of a majority stake in insurance company Catalina Holdings, alongside US-based partner Perry Schwachman. Emma Danks, Taylor Wessing (Not pictured) A partner at Taylor Wessing since 2010, Emma Danks can lay claim to being the first and only female private equity head of a top 20 UK firm, let alone any City practice. Clifford Chance-trained Danks has cultivated a highly respected mid-market practice over the past few years at Taylor Wessing, advising clients such as Synova, Caledonia Investments, Rutland Partners and Kester Capital. She has also been building on the firm s relationship with mid-market favourite Bridgepoint, which this year acquired shares in maternity clothes brand Seraphine. Farah O Brien, Latham & Watkins (Not pictured) Starting her career at Freshfields Bruckhaus Deringer, Farah O Brien swapped her listed client work for the US-focused private equity world of Latham & Watkins. Making partner around the same time as going on maternity leave, O Brien is one of two female corporate partners in Latham s London team. However, she admits there are more women at the junior end of the scale. Acting for firm clients such as Carlyle Group and KKR, O Brien has also been cementing a broader corporate client base acting for ViaSat on its joint venture with Eutelsat and Thomas Cook on its investment in Brussels Airlines. 6 weekends with their legal advisers. Another partner claimed women could also feel isolated as a result of late night drinking sessions after hours of heavy-handed negotiating in the boardroom. The dealmakers in private equity have to fight for their investments and that can put people at loggerheads in an office environment, notes one male partner. But while men find it easy to forget about that by going to the pub and moving on, women carry it with them. It s harder for them to let it go. It is clear that many of the UK s private equity women have encountered some form of sexism in one way or another some say they have been called both adorable and she-devil, while others say they have even been ignored altogether in the boardroom. However, there is a feeling that gender stereotyping is giving way to more sophisticated ideas in private equity. The younger generation is more aware of the gender issue and the traditional shooting trips, for example, are going out of fashion. Private equity ultimately is about personal relationships that are formed over a period of time, says Sidley partner Orjela. Now is the opportunity for women to shine. City perceptions are moving, adds DLA Piper partner Anu Balasubramanian. It s not hard to knock on doors or win work because I m a woman. Family pressures The overriding explanation for the lack of private equity female power-players is the pressure of having a transactional practice combined with the desire to start a family. People perceive that you can t do both, says Latham partner Farah O Brien. Many associates reach that mid-level point and consider moving in-house because they think it will be more manageable. If people don t regularly see female senior associates and partners, it feeds into that perception. Virtually all female partners interviewed by The Lawyer admitted they are almost always the only female partner in the room, let alone the sole woman in general. Despite most private equity teams counting more female junior associates in their ranks than ever before, the numbers nevertheless dwindle further up the scale. Therein lies the problem. I try and be as honest as possible when female associates ask my advice, O Brien says. If you want flexibility you have to be flexible in return as a senior lawyer, it would be difficult, for example, to always take Fridays off, as transactions don t work like that. Firms can work flexibly for you though. Technology is such that you can work from wherever suits you best, making it easier to fit around your other commitments. O Brien is not alone in saying she is asked regularly by junior lawyers about their career options and the challenges that come with them. Reed Smith partner Brunnen says: When I joined KWM a number of the female trainees came up to me saying how great it is that you ve joined. They d say, you seem to have managed to do everything. We know it s possible. For the junior lawyers coming through now, these partners serve as role models in the industry. Indeed, they are the UK s first examples of female private equity mentors. Today s cohort struggle to name any female role models of their own, largely because there were none. Brunnen, who trained at Slaughter and May, highlights an influential crop of M&A power-players such as Nilufer von Bismark and the late Frances Murphy, but says she had no City perceptions are moving it s not hard to knock on doors or win work because I m a woman Anu Balasubramanian, DLA Piper PE-specific female mentors. Similarly, Macfarlanes partner Adam claims now-consultant Bridget Baker inspired her, but adds she worked primarily in the funds space. Ropes & Gray partner Helen Croke had a very different experience, working as a trainee under Travers Smith s first female corporate partner Rachel Woodburn (who became head of the firm s professional support function a year after). Her next training seat was with private equity tax partner Victoria Nicholl, meaning Croke had far more female role models than many of her contemporaries. To me, women in private equity was an obvious fit, she says. Charlie Barter and Chris Hale (founders of Travers private equity practice) went out of their way to promote women. You have to make women feel that it s just not a big deal to have female private equity M&A partners in your team. The leadership question With more role models in the industry compared to a decade ago, the next focus is on whether these private equity players can move into leadership roles. Taylor Wessing recently appointed Emma Danks as its London head of private equity, for example the first and only woman from a top 20 UK firm to be in such a post. She acknowledges there are times when being a woman in a transactional environment can lead to a different dynamic, with more emphasis placed on listening and collaboration when negotiating. Empathy with the situation and what s going to work best commercially for all parties can be very effective, she says. Howevever, she adds: It s still about getting the best deal for your client and by no means does this mean a softer stance. There are likely to be few other management opportunities for women in the years to come. Unlike Danks, who was made up in 2010, today s private equity female stars are still the new kids on the block, meaning appointments to leadership roles will take a long time to come to fruition. The industry is not going to change overnight. Despite the delay, the industry is upbeat about the progress that has been made and the shift in perception of private equity as a male-heavy sector.
