8 8 Our Paris office Experience highlights SHT Nenskra Hydro Power Project Abu Dhabi Investment Authority (ADIA) Banking & Finance We advised Citibank, Deutsche Bank, Natixis and Société Générale on multiple prepayment facilities (totalling approximately USD2bn) in favour of Glencore Energy UK Ltd for advance payments for crude oil purchases from SHT, the Chadian national oil company. This deal was awarded TRF Deal of the Year Awards 2014 and has been described in the Financial Times as transformational for the Republic of Chad and SHT. Project Finance We advised the Sponsor and the Project Company on the negotiation of an implementation agreement with the Government of Georgia, a power purchase agreement with ESCO (Georgia s electricity system operator), and a EPC contract with Salini Impegilo SpA in relation to the 280MW Nenskra Hydro Power Project set to be constructed on the Nenskra river in Upper Svaneti, Georgia. Real Estate, Tax, Public Law We advised Abu Dhabi Investment Authority (ADIA) on the acquisition from a UBS managed fund of a 100% shareholding interest in a construction project in Paris La Défense consisting in the demolition of an existing office building, known as Les Saisons (CB32) and its redevelopment into a 51,200sqm office tower to be known as Tour Alto. 9 9 GE Capital Engie 3i Infrastructure and Deutsche Asset Management Tax We advised GE Capital on the French tax aspects of the sale to Blackstone of its 70 French real estate assets. Assets were valued EUR2bn. Mergers & Acquisitions, Energy, Real Estate We advised Engie on the acquisition of the remaining 51% of Maia Eolis, the company specialized in the development, construction, operation and maintenance of wind farms in France, bringing its ownership stake to 100%. Engie has thus strengthened its position as France s Nº1 in wind power, with 1,533MW of installed capacity. Mergers & Acquisitions, Infrastructure, Regulatory We advised the consortium composed of 3i Infrastructure and Deutsche Asset Management on its acquisition of TCR, Europe s largest independent asset owner of airport ground support equipment.

10 10 Our Paris office Enaex BNP Paribas A bank syndicate Mergers & Acquisitions, Competition, Public-Regulatory, IP, Innovation & Digital We advised Enaex, a subsidiary of the Chilean Sigdo Koppers Group, on its acquisition of 100% of the shares of the French Group Davey Bickford, one of the leading worldwide manufacturers and distributors of ignition solutions for the mining industry. ICM, Tax We advised BNP Paribas in relation to the inaugural EUR750m issuance of perpetual fixed rate resettable additional Tier 1 Notes. This was BNP Paribas s first hybrid capital issue qualifying as Additional Tier One under the Capital Requirements Regulation (CRR). Corporate, ICM, Tax, Regulatory We advised the bank syndicate on the initial public offering of Amundi, the leading Europeanbased asset manager. Amundi is valued around EUR7.5bn, representing one the most important initial public offering in France this year and over the last years. Allen & Overy LLP 2017

11 11 National Bank of Greece S.A. Corporate, Regulatory We advised National Bank of Greece S.A. (NBG) on its recapitalisation to raise total regulatory capital of EUR4.48bn. This recapitalisation involved the issuance of new equity pursuant to an international institutional offering, a Greek public offering and a liability management exercise, together with the bailin of senior debt and capital instruments pursuant to the Greek recapitalisation law. Previously we already advised National Bank of Greece S.A. in connection with its issuance of 1,136,363,637 new ordinary shares at a price of EUR2.2 per share. The total gross proceeds from the offering were EUR2.5bn.
