Lee Dennison Building, 100 Veterans Memorial Highway, Hauppauge, NY was called to order at 12:33 p.m. PUBLIC COMMENT Mr. Catapano opened the public comment portion of the Suffolk County Industrial Development Agency. No comments were received for the Public Comment portion of the Suffolk County Industrial Development Agency. Upon a motion by Mr. Giordano, seconded by Mr. Hendricks, it was: RESOLVED, to end the Public Comment portion of the meeting of the Suffolk County Industrial Development Agency. EXECUTIVE DIRECTORS REPORT Mr. Catapano stated Jones Lang LaSalle (JLL) Life Sciences Outlook reviewed the ten best cities and Long Island was ranked #8 as a region. Pharmaceutical and medicine manufacturing establishments in Suffolk County increased over 25% since In conjunction with NYS and Suffolk County Department of Labor a job fair was held for Entourage at Islandia Village Hall. Mr. Catapano indicated the job fair had between 200 and 235 applicants for Entourage and Jonathan Webb, President of Entourage interviewed applicants. This was the first phase for Entourage they are hiring 60 employees and plan to have a second phase in September/October Mr. Catapano stated he would like to thank Newsday for providing the job fair information in the newspaper as they played in big role in this event. Beyer Graphics: Request for an inducement resolution for a lease transaction. Mr. Catapano presented Exhibit A. Beyer Graphics prints, packages and manufactures folding cartons, specializing in pharmaceutical, cosmetics and the apparel industries. Mr. Catapano stated Beyer Graphics is a family owned business they currently own two buildings and would like to purchase a third totaling 71,000 square feet. Mr. Catapano stated the three buildings are located at 30, 40 and 50 Austin Blvd., Commack, NY. The owner of the company is considering switching out offices after the purchase of the 40 Austin Blvd. building. Mr. Catapano indicated renovations to the building are

3 SCIDA MINUTES -3- JULY 28, 2016 approximately $200,000 and the Company currently has 100 employees and will add an additional 5 employees. The average salary is approximately $80,000 a year. Mr. Catapano introduced Daniel Beyer, President, Beyer Graphics to Board Members. Mr. Beyer stated the business was founded in West Babylon, NY in 1982 by his father. The Company has grown and evolved into one of the leading printing and packaging design companies specializing in pharmaceutical, cosmetics and apparel industries. Mr. Beyer stated in the 1990 s the apparel industry moved offshore and his company started to focus on providing service-driven solutions to meet the packaging needs of the pharmaceutical and cosmetic industries. Mr. Beyer stated the Company currently occupies three buildings (owns 2 and leases 1) and would like to purchase and consolidate all three. Mr. Beyer stated the Company made many improvements and renovations to their leased property (40 Austin Blvd., Commack) and has purchased two new UV presses within the last seven months. Mr. Beyer indicated the Company uses local vendors; Graphic Paper, Arma Container Corp., ELM Global Logistics. Mr. Beyer stated he has several local customers; LNK, Contract Pharmacal and Nature s Bounty. He indicated he plans to add an additional 5 employees within two years. Ms. Minieri asked the lease at 40 Austin Blvd. is coming due and you have acquired two buildings and Mr. Beyer responded yes. Mr. Harvey stated your average salary is $84,000 does that include a benefit package and Mr. Mr. Beyer said no it does not include benefits. Upon a motion by Mr. Hendricks, seconded by Mr. Giordano, it was: RESOLVED, to approve an inducement resolution for a lease transaction in the approximate amount of $3,740,000 for Beyer Graphics facility. Evaric Pharmaceutical: Request for an inducement resolution for a lease transaction. Mr. Catapano presented Exhibit B. Evaric Pharmaceutical manufactures and distributes generic pharmaceuticals. Mr. Catapano indicated Evaric is owned by Dr. BPS Reddy. Dr. Reddy is the Chief Executive Officer and owner of Hetero. Hetero is the largest privately held pharmaceutical company in India with offices in 35 countries and 15,000 employees. Hetero owns part of Ascent Pharmaceuticals Inc. a generic drug maker in Central Islip. Dr. Reddy sold his former company Invagen Pharmaceuticals to Cipla Inc. The new venture for the Company includes purchasing 155 Commerce Drive, a 107,000 square foot building in Hauppauge which will house Evaric Pharmaceutical. Mr. Catapano stated the building needs interior renovations and they need to purchase equipment. Mr. Catapano stated Ropack was the previous owner of the building and a current project of the IDA. Ropack had a 15 year abatement and we are recommending the same benefit for Evaric. Mr. Catapano indicated Evaric intends to add 36 jobs in the second year and by year five increasing to a total of 108 jobs. Mr. Catapano introduced Vasu Sabbela, CFO of Evaric Pharmaceutical and Ralph Perna, Executive Managing Director, Newmark Grubb Knight & Frank to Board Members. Mr. Sabbela stated he is purchasing 155 Commerce Drive, a 107,000 square foot building in the Hauppauge Industrial Park. Mr. Sabbela indicated it will take approximately 18 months to renovate the building to meet Food and Drug

4 SCIDA MINUTES -4- JULY 28, 2016 Administration (FDA) regulations. Mr. Perna stated initially the Company is not going to use the financing and would like to put off the abatement of mortgage tax. Mr. Catapano stated this has been done in the past the Company is informing us so the documents are set-up with the transaction counsel. Mr. Perna stated Evaric would like to mimic the Ropack abatement program. Ms. Minieri asked how does Evaric differ from the building in Central Islip and Mr. Sabbela said the business in Central Islip is a manufacturer of controlled substances and over the counter and Evaric will be manufacturing pre-approved products. Mr. Perna indicated that a location option for the new Evaric company is in Cranberry, New Jersey where the parent owner of Evaric has a manufacturing facility. Upon a motion by Ms. Minieri, seconded by Mr. Harvey it was; RESOLVED, to approve an inducement resolution for a lease transaction in the approximate amount of $15,700,000 for Evaric Pharmaceutical facility. Ropack, Inc.: Request for consent to amend project documents. Mr. Catapano presented Exhibit C. Mr. Catapano indicated that Ropack is a Canadian pharmaceutical company that was approved by the Agency in Ropack intends to sell its 155 Commerce Drive, Hauppauge building and would like to amend its transaction with the IDA. Mr. Catapano stated the Commerce Drive facility is currently vacant and was to be used for warehousing of products after being manufactured at Mall Drive. Ropack has been delayed in receiving the proper permits and approvals to allow them to start to manufacture pharmaceuticals. The Company feels that there warehousing can be accommodated at their 49 Mall Drive, Commack facility and lease other warehousing space in the surrounding Hauppauge area. Mr. Catapano indicated that Ropack intends to start production at 49 Mall Drive by year end. This is a better use for Commerce Drive with 100 manufacturing jobs of Evaric rather than 15 warehouse jobs that were proposed by Ropack. Mr. Catapano stated Ropack is looking for consent so they can restructure and sell 155 Commerce Drive facility. Mr. Catapano introduced Daniel Dornfeld, Partner, Forchelli, Curto, Deegan, Schwartz, Mineo & Terrana, LLP, Transaction Counsel and Alex Wellems, Director Manufacturing, Ropack, Inc. to Board Members. Mr. Dornfeld stated that Forest Laboratories the previous owner lay off their employees and Ropack hired Alex Wellems, former employee of Forest. Mr. Dornfeld indicated that it is taking Ropack longer than anticipated to start manufacturing as the facility needs to be re-certified by the FDA. The 49 Mall Drive facility is creating high paying jobs and we would like to amend the current IDA transaction. Mr. Dornfeld stated Ropack invested substantial funds into the Commerce Drive facility and after accounting for the transaction costs, Ropack will not make any money on its sale of that property. The proceeds will go to pay off nonsecure debt and the amount that was owed will stay with the property. Mr. Wellems indicated that the Company purchased a press for $1 million and spent between $500- $600 thousand on other equipment. Ms. Minieri stated the Company is looking for a modification of the documents and we have an application from Evaric; what is the total cost Mr. Dornfeld responded the bank loaned in excess of the value of building to

Mr. Dornfeld stated the new fair value of the building at Mall Drive is approximately $21 million and the bank would like to keep full mortgage on this property because of this. Mr. Giordano said the Company is requesting that the IDA waive rights to take back some benefits with regard to recapture. Mr. Catapano stated that the only IDA benefit provided so far was the mortgage recording tax exemption. Mr. Dornfeld indicated that the Bank of Canada is willing to not modify the mortgage and shift everything over to the Mall Drive facility and the majority of the equipment is at that facility. Ms. Cahill stated the mortgage is the same the question is the proportionality of jobs. Mr. Dudine asked if the employment is still there and Mr. Catapano responded that most of the employment was going to be at the Mall Drive facility. Mr. Dudine stated it is important that the building is vacant if it was up and running then jobs are most important, considering it was vacant, capital investment is probably a heavier benefit. Mr. Catapano stated because of the delay the company is indicating that it may need an additional year to reach the 100 job level. IDA transaction counsel has suggested to include that provision while the documents are being amended at this time. The Company indicated that the additional time may not be needed but wanted to inform the Agency of its possibility. Pursuant to open meeting law Ms. Minieri suggested the Board go into Executive Session to discuss the medical, financial, credit or employment history of a particular person or corporation, or matters leading to the appointment, employment, promotion, demotion, discipline, suspension, dismissal or removal of a particular person or corporation. Upon a motion by Ms. Minieri, seconded by Mr. Hendricks, it was: RESOLVED, to go into Executive Session at 1:35 p.m. At 1:35 p.m. all individuals left the Meeting except Board Members, Anthony Catapano, Kelly Morris, William Wexler, Agency Counsel and Transaction Counsels. At 1:50 p.m. all individuals re-entered the Meeting. Upon a motion by Mr. Hendricks, seconded by Ms. Minieri, it was: RESOLVED, to end the Executive Session at 1:50 p.m. and reconvene the Regular Meeting. The Executive Session consisted of discussion only and no action was taken. Ms. Minieri indicated that Tony Catapano and Kelly Morris shall meet with Ropack, Inc. to discuss the recapture issue and report back to the Board at the next board meeting.

6 SCIDA MINUTES -6- JULY 28, 2016 Upon a motion by Mr. Harvey, seconded by Mr. Giordano, it was: RESOLVED, to approve the sale of 155 Commerce Drive, Hauppauge. Minutes The Minutes of the June 23, 2016 Meeting were accepted by the Board. Upon a motion by Ms. Minieri, seconded by Mr. Hendricks, it was: RESOLVED, to adjourn the Regular Meeting of the Suffolk County Industrial Development Agency. The Meeting adjourned at 1:55 p.m. The next Meeting of the Suffolk County Industrial Development Agency is tentatively scheduled for August 25, 2016.
