(GRAHAM), was founded in 1984, and its consulting line of business, Graham- Rahbani Consulting, provides premier consulting, staffing, management, technical and training services to private and public sector institutions, including 18 federal and state government agencies, and four international financial institutions, and numerous Fortune 1,000 firms. GRAHAM s executive staff and senior consultants are particularly strong in banking, finance, and fiduciary risk management. They also have skills in human and institutional capacity development, human performance improvement, personnel management, and training services. Graham-Rahbani Consulting s senior staff have worked in over 60 countries on 6 continents including: Afghanistan, Azerbaijan, China, Djibouti, Egypt, Ethiopia, Jordan, Kenya, Morocco, India, Indonesia, Japan, Lebanon, Malaysia, Mali, Pakistan, Philippines, South Africa, Syria, Tanzania, Taiwan, Thailand, Uganda, United Arab Emirates, and Vietnam, among others. GRAHAM is well known for its ability to manage multiple contracts and task orders at one time. For example, at OPM we name managed multiple contracts, with which we have held more than 500 task orders. GRAHAM currently has 9 contracts with the Overseas Private Investment Company (OPIC), two with The World Bank, and we are we are working on our fourth contract with the US Department of State and manage multiple staff at the US Department of Commerce. List of Federal Clients: Graham has worked with 18 US government agencies, including: Department of Commerce - Bureau of Economic Analysis Department of Labor Department of Justice Department of State, Broadcasting Board of Governors Department of Veteran Affairs Executive Office of the President Merit Systems Protection Board Overseas Private Investment Corporation National Institutes of Health Department of the Interior U.S. District Courts Graham s Work with International Economic and Financial Institutions When current Chief Executive Officer Kami Rahbani assumed control of Graham, it expanded its strategy and began to focus on economic and financial consulting areas with international financial agencies, namely OPIC, the International Monetary Fund, the World Bank, and most recently the Pan-American Health Organization, a World Health Organization agency. This new strategy, in addition to its traditional work in personnel management and staffing services, builds off of Graham s 30 years of experience in HRM and workforce planning. This strong foundation has enabled GRAHAM to expand dramatically and successfully enter in economic and financial consulting. Page 2 of 5

3 International Monetary Fund (IMF): GRAHAM has a blanket purchase agreement with IMF to provide staffing support to the various offices within the organization. During the past year GRAHAM, has provided administrative and technical staff support services to IMF in budget and statistical analysis, resource planning, and financial contracts execution. GRAHAM staff serve as liaison between various divisions to assist the IMF to address resource allocation issues. Overseas Protection Investment Corporation (OPIC): GRAHAM holds a Blanket Purchase Agreement (BPA) with OPIC that currently has 9 multi-year task orders in place. Under this BPA, GRAHAM is providing project finance, financial analysts, engineers, and other specialized personnel capable of providing project finance underwriting and assist in the administration of various technical assistance programs. In addition to the BPA contract, GRAHAM has two other contracts with OPIC for: a Portfolio Monitoring and Budgets Services contract to provide senior financial analyst and project evaluation advisor to support USAID-OPIC projects in the sub-sahara region; and a Credit Policy and Portfolio Management for Power Africa, where GRAHAM staff provide pre-award absorptive capacity assessments and technical assessments, as well as post-award progress reports, fiduciary risk assessments, and asset management training. US Agency for International Development (USAID): GRAHAM currently works with the USAID Office or Economic Growth as a sub-contractor to NOVAD, under the USAID/Bureau for Economic Growth, Education, and Environment (E3) Technical and Administrative Services. US Department of Commerce, Bureau of Economic Analysis (DOC/BEA): DOC/BEA develops domestic and international commercial and trade information concerning all US economic activity. GRAHAM provides BEA with on-going staff support, statistical analysis, and reporting writing and publications support. Most of our people at BEA are accounting and financial staff. The World Bank (WB): GRAHAM has aided the World Bank Africa and Latin American and Caribbean regional divisions, in fielding technical professional staff with specialized language skills, as well as experts in education, health, and finance, among others. GRAHAM also has a special mandate to facilitate achievement of the Bank President's diversity goals by sourcing professionals from Africa, the Caribbean, and Latin America. GRAHAM has successfully done so in positions such as Program Analyst II, Civil Engineer, Fiscal Advisor, Writer/Editor, Information Technology, Specialist, Research Strategic Planning Analyst, Webmaster, Administrative, Operations, and Special Assistants to Bank Executives. Graham Staff Expertise in Public Financial Management Graham s CEO, Kami Rahbani is a retired senior partner from PricewaterhouseCoopers, who has over 30 years of experience with structured finance for government clients. Much of his experience has been spent working in public sector financial roles, especially in blended/partnered financial arrangements, large project finance, and financial systems Page 3 of 5

He was also Chief of Party for the $218 million USAID/Afghanistan Capacity Development Program, which supported 15 government agencies, the most prominent of which were the Ministry of Finance and the Central Bank. He became CEO of Graham, Inc. in 2011 and expanded it from approximately $1.5 million to $5 million annual income and moved it into economic and financial consulting. Laura Andersen is on assignment from Graham to OPIC. She is skilled in analyzing financial models, accounting and financial statements, project finance transactions, and viability of business plans; reviews legal documents and contracts; and conducts analysis of credit rating, macroeconomic, and other risk indicators in other countries using online and donor publications. Brian Conway is currently on assignment as a senior advisor to OPIC. He is the retired chief of Bank of America Asia, where he headed, among other things, BOA s Asian regional project finance group. He has worked on major public sector facilities finance programs throughout Asia. He is currently on assignment to OPIC as a Power Africa Analyst. Dairo Isomura is Senior Transaction Advisor and an international public finance professional with the skills and knowledge pertaining to limited recourse finance to screen, structure, perform due diligence, and execute transactions. He has particularly strong expertise in power, oil and gas, and renewable energy financial programs and public-private partnerships. He has been seconded for 5 years to OPIC. While working at JPMorgan he received Six Sigma Green Belt certification. Rebecca Maestri is a senior advisor at Graham, assisting with business development as well as being the Office of Small Business Utilization for the firm. Ms. Maestri recently retired after 25 years of service at USAID, serving in positions such as Senior Program Officer for the E3 Bureau, Senior Administrative and Management Officer for the Bureau for Asia and the Near East, and as the senior advisor and team lead for the $1 billion Financial Services Indefinite contract series, under the Support for Economic Growth and Institutional Reform program. Stephen Matzie is on assignment to OPIC from Graham where he performs in-depth analyses of: the nature of the proposed projects (solar, wind, biomass, geothermal, hydro); the viability of the renewable resource; the suitability of the proposed technology; key risks related to the project's contractual obligations requiring an evaluation of power purchase agreements; the financial conditions of sponsors, equipment manufacturers, key contractors, and other project parties; and country-related legal, macroeconomic, and microeconomic risks. From he was a Senior Investment Officer for the Development Credit Authority (DCA). At USAID, he focused on project and structured finance and has helped grow the program to $4 billion portfolio in new business. Page 4 of 5

5 Darshan Patel works for Graham at OPIC and is a Small and Medium Enterprise Finance Program Support Specialist. He evaluates financing proposals of U.S. firms pursuing investments in emerging market countries, review financial statements and cash flow models of potential deals, and prepares internal screening and investment memoranda for senior executives at OPIC. Ricardo Salinas is serving as a public sector financial analyst working on big deals at OPIC for Graham. Previously he was an assistant vice president for the Public Financial Investment Banking Division for Barclay s Bank, where he served as primary analytical lead for a small, entrepreneurial team serving public sector issuers in the municipal bond market; he executed $4.8B in senior managed bond financings as lead associate/analyst and supported $19.4B in total transactions; he led financial modeling for four of the firm s largest municipal transactions in 2012 contributing to 9% of total market share; and he managed the totality of the deal execution process including due diligence, credit structuring, investor roadshows, rating agency presentations, and legal documentation for senior managed deals across the credit, product, and sector spectrums. Jason Whitney is on assignment to OPIC as a Social Enterprise Financial Officer. He conducts loan due diligence on social sector investments by OPIC and USAID in Africa; he writes credit memo sections related to off-grid electricity market landscape and competitors; and he provides financial modeling analysis and assessment of existing portfolio performance and risks. He previously served as a public financial services advisor at Deloitte Consulting in their Federal Advisory Practice. GRAHAM s Dr. J. Wright was on the $7 billion SEGIR IQC series management team and later was Deputy Blanket Purchase Agreement Manager for the $1 billion USAID Financial Services BPA when he worked for IBM. He has worked on projects that have supported Public Financial Management capacity building and reform in Afghanistan, Egypt, Jordan, and the Ukraine. He was also a technical advisor for the Financial and Economic Leveraging and Dissemination IDIQ leader-with-associates grant with Academy for Educational Development. He was a Senior Trade and Development Advisor at USAID in the Office of Emerging Markets and a Senior Trade Advisor at USAID/Egypt. Page 5 of 5
