1 1/9 1.0 PURPOSE This specification describes the general requirements for Engineering Services provided to Vale. 2.0 GENERAL For the purposes of this document, the Engineering Consultant shall be referred to as the Engineer. The Engineer will deal directly with Vale s Project Engineer for technical matters, and Vale s Engineering Outsourcing Coordinator (EOC) for all non-technical matters. All correspondence shall be in writing. Telephone conversations related to the project shall be followed-up by with copies to Vale s Project Engineer and the EOC. Refer to Vale Engineering Specification SPEC for additional information. Note: On projects where an EOC is not assigned, all technical and non-technical matters are directed through Vale s Project Engineer. 3.0 DESIGN REQUIREMENTS 3.1 GENERAL Plant Layout and Design must be in accordance with the requirements of Vale Specification SPEC and all other specifications listed in the Reference Document section of this document. If the Engineer wishes to offer methods and details that are superior to Vale Specifications, these may be incorporated but only after approval in writing from the Vale Project Engineer. If the Engineer determines that a particular Vale Engineering Specification is not appropriate for the application then this must be brought to the attention of Vale s Project Engineer. When referencing a Vale Engineering Standard Specification, the Engineer shall ensure that it is the latest revision. The Engineer shall confirm and be responsible for the accuracy of all calculations. Any drawings or other reference information in archive, or provided to the Engineer, are to be used for reference only. Any critical information as it relates to the project must be verified in the field by the Engineer. 3.2 DESIGN CALCULATIONS All design calculations must be completed in accordance with the requirements of Vale Specification SPEC-0001.

2 2/9 3.3 SPECIFIC DESIGN REQUIREMENTS Structural, Mechanical, Electrical and Instrumentation All discipline engineering is to be in accordance with the requirements of Vale Specification SPEC The Engineer shall not transfer the design responsibility to fabricators and constructors through purchase orders or construction specifications unless this method is approved by Vale in writing. 3.4 PROCESS HAZARDS REVIEW The Engineer shall complete and document the required Design Process Hazards Reviews (PHR) in accordance with Vale Engineering Specification SPEC Any Engineering related action items shall be incorporated into the design before final package issue. The Engineer shall also participate in FEL stage PHR s and Construction and Commissioning PHRs. 3.5 PURCHASED EQUIPMENT The Engineer shall ensure that Vale receives all manufacturer s and fabricator s drawings, specifications and manuals in accordance with Vale Engineering Specification SPEC DRAWING REQUIREMENTS 4.1 GENERAL Existing drawings of Vale facilities are available to the Engineer for viewing and printing through the Drawing Management System (jdms) in the print room of the Engineering Building located in Copper Cliff. Requests for existing drawings for revision, and the reserving of new drawing numbers shall be in accordance with Vale Specification SPEC All drawings must be submitted electronically and in accordance with Vale Standards SPEC series and SPEC-0000 series standards. Drawings shall be drawn, checked, approved and reviewed by the Engineer in accordance with the requirements of Vale Standards SPEC series and SPEC-0000 series standards. All cross-references between drawings shall be done using Vale drawing numbers only. All new drawings are to include the Consulting Firm s logo in the lower right hand corner of the drawing. For revisions to existing drawings, no logo is required but the Consulting Firm s name is entered in the drawing revision description similar to the following example:

3 3/9 ~ Platform Added At EL 96-0 (ABC Engineering) ~ Upon issuing for construction, drawings are submitted to Vale for archiving, accompanied by drawing checker report. For drawing submission, return of drawings, and submission of vendor drawings for archive, refer to SPEC AS-BUILT DRAWINGS Generally, as stated above, drawings are submitted for archive at the time of Issue for Construction. Only drawings that incur changes in the field during construction require updating to the as-built condition. Only those drawings requiring an as-built update are requested for check-out, and not the entire drawing package. For As-built drawing requirements, refer to Vale Specification SPEC DESIGN CHANGE CONTROL All design changes to scope, budget or schedule must be authorized using the Design Change Request template NAV-TE Additional work must be approved by Vale prior to proceeding. 6.0 PROGRESS OF WORK 6.1 PROGRESS PRINTS AND QUALITY ASSURANCE REVIEWS The Scope of Work for Engineering Services will define the requirements for progress prints and quality assurance reviews. Prints will be submitted via in PDF format. The prints will be stamped above the title block "Progress Prints. The will list the drawings to be reviewed. Reviews by Vale s Project Engineer will be of a cursory nature to ensure general compliance with Vale standards and industry best-practices. This review by Vale does not relieve the Engineer of any responsibility or accountability. No responsibility for the design is assumed by Vale. Upon receipt of the reviewed prints, the Engineer shall address all comments. 6.2 PROJECT SCHEDULE Where requested, a detailed project schedule, in Microsoft Project, will be updated for regularly scheduled meetings (issued in both.pdf and.mpp formats). 6.3 WEEKLY STATUS REPORTING The Engineer shall submit weekly status reports using Vale Form NAV-TE-0110, or upload sheet (in the case of overflow consultants).

4 4/9 6.4 MONTHLY STATUS REPORTING The Engineer shall submit monthly cost forecasting as specified on Vale s Consultant Forecasting Schedule. This schedule is issued at the beginning of each year to consultants and the PMO groups, by Central Engineering. 6.5 WEEKLY PROGRESS MEETINGS Weekly meetings will be held reviewing the project status as required. The Engineer shall record and issue meeting minutes to all meeting participants and the Vale Project Manager and Engineering Outsource Coordinator. The minutes shall be issued within two days of the meeting. The engineer shall provide minutes for all kick-off, design review and process hazard review meetings. 7.0 CLIENT REVIEW (DESIGN REVIEW WITH PLANT) Design reviews with the plant should occur at the 30% and 70% design complete stage of a project, but depending on the size and complexity of a project, more or less reviews may be required. Refer to Vale Guideline GUID for client review requirements. 7.1 VALE AND/OR THIRD PARTY REVIEWS At any time, the Engineer s Work, including progress prints, functional specifications, design briefs, etc. shall be subject to review by Vale Representatives or Third Party Representatives retained by Vale, to ensure quality, design intent, functionality, operational compatibility, completeness, etc..0 DESIGN PACKAGE ISSUE Completed design packages are issued to the EOC as individual files, combined into one ZIP file, and will typically include: A Design Package Transmittal (PDF Format) Technical Scope of Work (PDF & Word format) Drawings (PDF Format) Custom Specifications (PDF Format) Equipment Specifications (PDF Format) Functional Specification (PDF Format) PHR (PDF Format) Report (PDF Format) Estimate (PDF & Excel format) NOTE: For any design package that includes equipment/piping that requires TSSA approval and registration, a copy of the design package must be forwarded to tssa@vale.com. The transmittal above must also indicate that a copy has been sent to that address.

5 5/9 9.0 DELIVERABLES All Project Documentation shall be considered Deliverables and shall form the core of the Project record. It is the intent that these Deliverables be submitted in electronic format unless otherwise specified. Final deliverables shall be in their native format accompanied by a PDF copy of each. Progress issues during the course of the project will generally be in PDF format. It is the Engineer s responsibility to ensure that the requirements for all deliverables be applied to all Subconsultants, Contractors, Subcontractors and Vendors. All supporting and originating data (graphs, data, pictures, tables, etc.) that are developed and incorporated into the deliverable documentation shall be included in the electronic deliverables in a logical file folder structure. All data collected as part of the Project and relating to the deliverables that have been organized into database tables and spreadsheets shall be included electronically as supporting data for the deliverable. 9.1 MEDIA Upon completion of the job, deliverables are submitted to Vale s EOC via for smaller jobs or through Vale s FTP site for larger jobs. Files shall be organized into a logical file folder structure to match the grouping of the data. Example: Design Calculations, Letters, Reports, Scope of Work, Drawings, PHR, etc. 9.2 FILE FORMAT All project documents that are part of the Deliverables shall be supplied in current versions of Microsoft Office compatible file formats for current Windows operating systems. All photographs shall be supplied in JPEG format. When inserting photos into a document, such as a report, the resolution should be suitable for web viewing, in order to minimize file sizes. Higher resolution pictures should be submitted separately when required, depending on the purpose or application. 9.3 FONTS Except for CADD files, all deliverables shall use Arial font. The preferred font size is twelve point but shall be no less than ten point.

6 6/9 9.4 FINAL DELIVERABLES Final deliverables shall be created and forwarded to the EOC by the Engineer. This information, once submitted, will be filed for Vale's records. All of this information shall represent the final/latest revision of all documents, drawings, manuals, design calculations, etc. Final deliverables include but are not limited to: Engineering Drawings with the Drawing Checker report (submitted upon issue for construction) Engineering Drawings as-builts (where applicable) Design calculations (Indexed and arranged by Plant, Area Code, Discipline and Description) All Lifting Device documentation Process Hazard Reviews documentation Soils Reports arranged by Plant, Area Code and Description Shop Fabrication Drawings including all erection diagrams and detail drawings for steelwork, steel reinforcement and equipment, Bills of Materials, Mill Test Certificates, Reinforcing Schedules, etc. Vendor Data including: o a list of all equipment by equipment number referenced to Plant, Area Code and Description as to where the equipment is located o all equipment drawings o all supplementary documents o data sheets o performance curves, set-points, calibration information, etc. o operating and maintenance manuals including spare parts lists, schematic and wiring diagrams of internal systems such as hydraulic, pneumatic, electrical, instrumentation All custom Equipment Specifications For EPCM contracts - Purchase Orders including: o List of all POs describing equipment by Plant, Area Code, Description, PO No. o Copies of all POs with all pertinent equipment specifications, change orders and correspondence

7 7/9. o Copies of general terms and conditions used for the purchase of equipment. Any exclusions negotiated with the supplier on a specific order shall be noted, especially as they apply to proprietary information For EPCM contracts - Contract Information including: o List of all contract packages o Copies of contract documents issued for each contract o Name of general contractor for each contract and subcontractors for structural, miscellaneous steelwork, chute, bins, tanks vessels, etc. for which shop fabrication drawings would have been prepared Quality Assurance including copies of all inspections, NDE reports and tests - Commissioning and Performance Test Reports - Special Studies and Reports Functional Specification for PLC/DCS programming and for complex systems. PLC, DCS and HMI Programs - Copies of all programs Commissioning Manual including any checklists and sign-offs Training Course and Manual o Operator/maintenance training course at Vale s site, including training manual o Updated operating and maintenance procedures if required Miscellaneous - Any other general project files, correspondence or communications that should be retained by Vale Job Completion form NAV-TE-0161, must be submitted within 4 weeks of issuing the final job deliverables INVOICES Proforma invoices shall be submitted to the EOC (Project Engineer for jobs where no EOC is assigned) for approval and authorization of payment. Proforma invoices shall be submitted to suit the cost forecasting report that is submitted monthly by the consultant. 9 9/ REVISION AND TRANSITION NOTES Revision notes describe: what was changed, and if applicable, why it was changed, and the plan to implement the change, including whether changes are retroactive. Note: The revision notes are a summary of the changes and may not necessarily be a complete list. A risk code is entered for each revision and if applicable, the revision notes will describe how risk was addressed for the revision. Risk Risk Category Code A This revision is a minor change and/or introduces no risk. B C Risk has been addressed for this revision by the reviewer and approver. Low risk or no new hazards identified. For this revision, a PHR or other risk management tool has been used to address risk and minimize hazards. This risk assessment has been documented and is available through Central Engineering.
