Environmental Sensors Inc. (ESI) develops high-tech sensors that optimize the measurement of these resources, providing significant benefits to producer and environment. Established in 1973, ESI is a British Columbia-based, leading developer of moisture sensing and monitoring systems for a variety of industries. Although less than one percent of all water on the planet is fresh water, it is subject to enormous waste. For instance, 80% of American fresh water is used for agricultural purposes, and only about half of this amount ever reaches the intended crop. ESI s MoisturePoint and GroPoint systems allow growers to maximize irrigation efficiency by monitoring moisture content in the root zone of the crop, thereby saving up to 40% of water. As global concerns for fresh water consumption continue to grow, Avis Financial recognizes ESI s solution as a big opportunity. ESI also has its eye on the oil industry, where discoveries of new oil wells have been declining for decades. Conventional oil is mainly extracted from increasingly unstable geo-political regions of the world and from wells and reserves that are difficult to operate. Water concentrations continue to increase as these wells become less productive. ESI s FloPoint product measures the amount of water within an oil stream - a critical aspect of oil recovery, particularly from secondary oil wells. The company s solution represents a major breakthrough in a market that is worth several US$ billions. Investment Opportunity As a result of redemptions during the recession, mutual funds failed to follow up on investments into ESI. This put the company into a difficult position and created a highly lucrative investment opportunity for Avis and its partners. Avis Financial has eliminated or acquired most of ESI s debt, brought the company back to trading and installed a new board of directors and management. Furthermore, it has implemented a number of controlling procedures and is establishing sales & distribution channels for ESI s products. ESI has 1) potentially market-leading technology; 2) reputable existing clients in both agriculture and oil industries; 3) expanding markets for each product line; 4) ongoing negotiations for valuable distribution contracts. As a result of these factors, Avis is convinced that it can successfully support ESI in multiplying its current low share price within a relatively short time frame. Products The GroPoint sensor is a small, rugged, portable, and reliable water monitoring sensor based on TDT technology. It provides continuous moisture data and is designed specifically to allow for the optimization of irrigation control systems in farms, vineyards, golf courses and large commercial growing operations. Such optimization leads to maximized yield, improved crop quality, shorter time to market, water and energy savings and improved profitability.

2 The market potential is large, as there are an estimated total of 570 million acres of irrigated land worldwide, and less than 2% of it is operated with water-conserving technology. Concerns about fresh water supplies are increasing, and pressure to conserve water is already being applied by many governments worldwide. GroPoint sensors are well placed in their market, providing robust and reliable performance at a pricepoint that most of their competitors cannot match. GroPoint has recently been redeveloped to feature a serial/digital interface (SDI-12), significantly increasing its compatibility with irrigation systems. Other advantages of GroPoint include a fully integrated wireless system (which can be built up from basic to high-tech with additional components), easy installation (no access tubes, buried elements), coverage of all important measurements, and a high level of reliability (reducing costs for the consumer in the long-term). MoisturePoint sensors are designed to give highly accurate readings of soil-moisture at several depths. MoisturePoint already occupies a strong position within environmental-regulatory, academic research, and agricultural markets. Its closest competitors are both European, which gives ESI greater access to the North American market. MoisturePoint is very robust and causes minimal soil disruption during installation. In contrast to its competitors, ESI has targeted landfill-analysis markets in addition to agricultural markets, and with increasing environmental regulation by governments it is reasonable to expect an increased demand for environmental monitoring systems such as MoisturePoint. ESI s FloPoint addresses this need, aiming for greater accuracy at a significantly lower cost than leading competitors. FloPoint, as a prototype, is currently being tested by the Canadian oil industry. As concerns for efficiency of oil production and efforts to extract oil from more difficult sources are ever-increasing, ESI hopes to capitalize on its huge market potential. Next Steps In December 2010, ESI was able to hire Ingvard Find as its new CEO. Mr. Find has held positions with major international irrigation and agriculture companies including Rain Bird, Lindsay Corporation, McCain Foods and John Deere Water. His entrepreneurial drive and strategic initiatives in the areas of new technology and market development have led these companies to significant market growth and expansion. Mr. Find serves on ESI s restructured Board of Directors alongside Stephan Radermacher (COO Avis ) and Johan Grandin (Element & Associates Corporate Finance). Avis Financial is convinced that ESI s new board and management will lead the company to realize its true market potential. ESI will use the proceeds from the current financing round to hire new staff in senior management and marketing, expand manufacturing to meet existing and anticipated demand for ESI s moisture monitoring and associated wireless systems, and to further develop the next generation of products for the oil industry. FloPoint is a patented water measurement device capable of determining the percentage by volume of water in a hydrocarbon (oil) stream that is flowing through the instrument at any given time. During the late 1980s the oil and gas industry realised that the availability of accurate well testing meters could have a large economic impact on the infrastructure of oil and gas developments. This has driven the development of high accuracy, high water cut measurement systems in the oil industry. There is a recognised need for improvement of watercut (water-in-oil) measurement systems.

3 AVIS MEDIA Summary Avis Media offers IPTV/OTT/hospitality solutions and media content to hotels, hospitals, public venues, and residential houses in the Middle East, Turkey, and Asia. The company intends to establish itself as a leading provider of innovative media solutions. Avis Media has its headquarters in Gothenburg, Sweden. It is a wholly owned subsidiary of the Zurich-based business developer Avis Financial Corporation, which supports Avis Media in the preparation and execution of its projects. The Platform Over an 8-year period, Avis Media has developed an open media platform through which it can deliver media content & hospitality services, including digital video (pay per view), audio on demand, information services (special offers, welcome messages), management services (room status, parental lock, pms interface), conference services (agenda, seminar registrations), electronic newspapers/maagzines, and guest order services (room service, taxi, games, wake up calls). Avis Media offers an end-to-end solution; the platform is capable of running multiple services in a single integrated environment. Crucially, it is settop box independent and can seamlessly integrate with most third party systems. Content The content provided through Avis Media s platform includes digital TV streams (with channels from around the globe), video & audio on demand, internet applications (facebook & twitter), video games, information and advertizing. Avis Media has secured cooperation with Saregama, India s largest record label and film distributor, Middle Eastern content providers, as well as Filmbank, a leading international provider of hotel entertainment content. Representing most major film studios, such as Warner Bros., Sony Pictures, MGM, United Artists, Walt Disney (incl. Touchstone, Pixar and Miramax) and Twentieth Century Fox, Filmbank is able to offer many films only weeks after cinema release. HD content is now also available for most new releases. Market According to the newly completed IMS Research study IPTV: A Global Market Analysis (2011), the worldwide IPTV subscriber base in 2015 will exceed 70 million. Currently, the market size is roughly 36.5 million. This doubling of the market will mainly result from increased demand across Western Europe and China (with yearly double-digit growth rates), the IMS claims. It further points to Latin America s market potential and mentions the rapid recent IPTV growth in Eastern European countries like Croatia, Slovakia, and Slovenia. According to IMS study, IPTV will also play a large role in the hospitality market, with set-top box shipments expected to increase by 75% from 2011 to 2015 as hoteliers begin to realize the flexibility and scalability of the platform - hoteliers are recognizing the value of the IP platform and are increasingly moving to adopt it. With its focus on IPTV solutions, particularly in the hospitality market, Avis Media is perfectly positioned to capitalize on this growth over the next years.

4 Middle East In the United Arab Emirates, Avis Media has become the preferred provider for OTT & hospitality of Etisalat, the Middle-Eastern telecommunications giant. Avis Media has recently completed its first project for Etisalat by successfully installing its system throughout the new Dubai Sports City complex. Next Steps Avis Financial is currently assisting Avis Media in negotiating contracts for projects in the Middle East, Eastern Europe and Asia, and setting up its operation in view of fulfilling major contracts. After having successfully completed its first projects, Avis Media is now preparing for trials in a number of hotel chains, holding presentations at trade shows, developing online applications and continuously refining its middleware. Turkey One of Turkey s largest news agencies has chosen Avis Media and its partners to distribute its media content via IPTV to customers around the world. This project is set to begin in the coming weeks. Asia Avis Media has recently acquired a participation in the company Indian Titian Media Ltd., which has been providing entertainment solutions for 18 years. Avis Media has entered negotiations with the ITC hotel group - which intends to use Avis Media s solution in its hotels (Sheraton, ITC Hotels, WelcomHotels) - and is exploring opportunities in the Maledives.

The company is primarily focused on creating shareholder value by finding and exploiting valuable resources from promising areas in North America and Europe. In Central Italy, Adroit owns 4 properties and primarily focuses on antimony and gold. In the province of Ontario, Canada, Adroit has 6 properties and focuses on gold, silver, copper, zinc and diamonds. In light of the following factors, Avis Financial believes that Adroit Resources Inc. offers an excellent investment opportunity: Properties Central Italy The exploration and development project in Tuscany, Central Italy, is mainly focused on Carlin-type gold and antimony. Adroit holds 4 properties (6 permits) that are situated in an active geothermal region with a number of known - but under-explored - gold and antimony deposits, as well as potential for new discoveries. In recent years, a number of fine-grained gold mineralized systems have been found within limestone. Besides gold, Central Italy was also a world class antimony producer until the late 1980s, with a cumulative production of around 1 million metric tonnes. The company has a well-diversified property portfolio with significant potential for precious and base metals as well as diamonds. Independent geologists in various areas have already confirmed the existence of very valuable resources on Adroit s properties; It is well positioned to benefit from the extraordinary current price trend, specifically in the gold, antimony, and silver markets; It operates an effective risk-reduction strategy: commodity spread and multiple properties; As a result of a forced sell-out of mineral funds following the financial crisis, Adroit stock has fallen to a very low level. This has opened up a unique opportunity: as soon as Adroit s resources are established according to official guidelines, the share price which is very low at present is expected to rise dramatically; Should any or several of the projects be successful, Avis Financial anticipates a joint venture with or an outright sale to a larger, well-financed mining concern, at a price reflective of the value of the properties. With today s gold and antimony prices, Adroit s Italian properties are particularly attractive for investors; the company s Manciano resources alone have been estimated to contain a metal value of several hundred US$ million. One of these properties, Poggio Pietrici, was explored by the Anglo American-AGIP joint venture in the 1980s, with several encouraging results: In all, the parties diamond-drilled 108 holes comprising over meters of core. The best results were found in hole H, where the they intersected a layer of a high grade sweetener. All 25 assays taken from the hole returned values exceeding 18 g/t gold. To confirm the results of the earlier exploration, Adroit Resources drilled four vertical holes and one inclined hole at depths of m. Results from the first two holes confirmed the presence of shallow antimony mineralization in the northern part of the property. The other three holes drilled confirmed the presence of gold around the central part of the property. The presence of silver was also confirmed.

6 Avis Financial visited Adroit s Tuscany sites and met with its management and consulting geologists. Marcello De Angelis, an independent consulting geologist who has conducted extensive exploration in the region told Avis Financial that this property [Poggio Pietrici] has the potential to contain a body of at least oz of gold. Since the visit, three further geologists have confirmed a similar gold-potential on a number of other Italian Adroit properties. The Central Italian properties are all relatively near one another and in close proximity to the coast. All properties have full access to nearby roads and railroads (creating an ideal mining/transportation locale), climate is favorable to year-round exploration, and there is a large mining population resource. Avis Financial expects Adroit s Central Italy project to be a major revenue generator in the medium term. Ontario, Canada In north-eastern Ontario, Adroit is currently focused on 4 of its 6 properties: The Simon property, located in southern Ontario, has shown particularly promising results for copper and zinc but also contains credits of silver and gold. The Argentia Ridge property has attributes of large silver deposits and is located in South Lorrain Township, which has historically produced 23.3 million oz of silver (Ag). In July 2007, Adroit Resources conducted summer field work on the Niemetz Property, which confirmed gold and copper mineralization. The Ha Red Vein property has potential for large copper, gold and zinc deposits. New Mobile Metal Ion (MMI) scans and first drill results have indicated several Volcanic Massive Sulphide (VMS) deposits on the Red Vein property. VMS deposits are major sources of Cu and Zn and contain significant quantities of Au, Ag, Pb, Se, Cd, Bi, Sn as well as minor amounts of other metals. Given the promising results and generally favourable conditions, Avis Financial is confident that a highly profitable Canadian mining operation is within the company s reach. What is Antimony? Antimony (Sb), as an alloying element, is used in both industrial and domestic applications, such as batteries, ammunition, cable sheaths, pumps and pipes as well as several applications in the electronics industry. It is regarded as a strategic metal. The main demand for antimony, however, is the use of antimony trioxide, which mainly serves flame retardant applications, such as children s clothes and toys as well as aircraft and automobile seat covers. Increased safety regulations continue to grow demand. Antimony trioxide is also used in the production of PET bottles, which is rapidly growing in emerging markets. China s recent, forced closure of antimony mines has helped push antimony prices to record levels. Chinese authorities are not accepting new antimony mine applications until at least June 2011, in order to conserve rapidly depleting resources. In spite of China producing 90% of the world s output, Chinese companies have been buying antimony resources outside China. For example, a Chinese company owns the only producing antimony mine in North America. There are no known producers of antimony in the entire EU. This leaves the EU in a vulnerable position, and a producing antimony mine in Tuscany could be the first step toward antimonyindependence. The Price of Gold Over the past decade, the global price of gold has experienced a major increase, rising from US$ 300/oz in May 2001 to almost US$ 1 500/oz in April This astounding upward trend has made the yellow metal highly attractive to investors. Next steps Adroit Resources is currently analyzing results from recent drilling expeditions on its Canadian properties and preparing drilling projects on its Italian properties. Adroit s goal is to create a stable and hugely profitable mining venture.
